This Exclusive Distribution Agreement is entered into effective as of June 15, 2022, by and between
Karallief Herbal Extracts, an American Company with an address located at One Mifflin Place, Suite
400, Cambridge, MA 02138, USA, R&G FRESH, an England Company with an address located at 7
Chancerygate Wy, Farnborough GU4 8FF, United Kingdom and Erbal Tea located at R. Tabiana Street
Leon, Iloilo, Philippines.

The parties agree as follow:

1. APPOINTMENT

A. Subject to the terms and condition of this Exclusive Distribution Agreement, Supplier
appoints Distribution accepts such appointment and agree to act as Supplier’s exclusive
distribution of the Suppliers Products within the geographical territory define as follows.
B. Distribution agrees to exercise its best effort to (a) promote the side of and obtain orders for
the Suppliers Products in the Territory. (b) abide by Suppliers policies and procedures with
regard to the purchase, sale, and support of Suppliers Product, and (c) conduct its business in
a manner that reflects favorability at all times on the Supplier Products and the goods name,
goodwill, and reputations or its affiliates. Distributor acknowledges and agrees that it has no
rights or claim of any type to the Suppliers Products, or any aspects thereof, except such right
as are created by this Exclusive Distribution Agreement.

2. PRODUCTS AND PRICING


Suppliers Products consist of the items or classifications of item in this section below, and the
purchase price to distributors of suppliers delivered pursuant to this Agreement shall be as set
forth this section below.

3. OBLIGATION OF THE PARTIES

3.1 Manufacturer's Obligations:


a. Manufacturing and supplying the Products in accordance with agreed-upon specifications and
quality standards.
b. Providing necessary product documentation, marketing materials, and technical support.
c. Timely delivery of the Products to Distributor's designated location within the Territory.

4.2 Distributor's Obligations:


a. Actively promote, market, and sell the Products within the Territory.
b. Maintain an adequate inventory of the Products to meet customer demand.
c. Provide after-sales service and support to customers within the Territory.
d. Comply with all applicable laws, regulations, and product licensing requirements within the
Territory.

4. CONFIDENTIALLY
During the term of this Agreement and thereafter, both parties shall maintain the confidentiality
of any proprietary or confidential information disclosed by the other party.

Please indicate your acceptance of the terms of this Agreement by signing and returning a copy to us.
This Agreement shall become effective as of the date of your signature.
