LEGAL WRITING EXERCISE

Instruction:

Your services were engaged to draft all the legal instruments necessary to the given scenario.

Ivana B. Lawi, of legal age, married to Aidan B. Fiero, is the registered owner of a certain
real property located at Brgy. Villamonte, Bacolod City covered by Transfer Certificate of Title No.
092-2020123456 of the Registry of Deeds of Bacolod City, containing an area of 1,000 square
meters.

She now intends to sell the 500 square meter portion of the said property to Cocomelon
N. Martin, also of legal age, single and resident of Brgy. Banago, Bacolod City. However, she found
out that the Owner’s Duplicate Copy of TCT No. 092-2020123456 was lost in her files and should
be registered with the Registry of Deeds of Bacolod City, preliminary to the filing of a Petition for
Replacement of the Lost Owner’s Duplicate Copy in Court.

Meanwhile, considering the circumstances, both parties agreed to draft an instrument


that pending the replacement of the title, Mr. Martin shall make an earnest money of PHP
5,000,000.00, equivalent to 50% of the total consideration. The remaining balance shall be paid
upon receipt of the replaced owner’s duplicate copy of the title and deed of absolute sale shall
be executed after full payment of the total consideration.

Furthermore, Mrs. Fiero agreed to rent out the other 500 square meter portion of the
property to Mr. Martin for PHP 50,000.00 per month for a term of 5 years, which may be renewed
at the option of the parties. Provided, that a one month rental advance and one month rental
deposit shall be paid. Mrs. Fiero likewise agreed that if she decides to sell the property during
the lease period, she shall first offer the same to Mr. Martin.
