Re: Lease Agreement and Legal Position

Dear Mr. Dubyak,

I am writing in response to your recent correspondence concerning the Lease Agreement referenced in relation
to Scott's Trucking & Logistics, LLC ("Scott's Trucking").

First and foremost, I must clarify that while the Lease Agreement in question may have been signed, it was never
executed under applicable Ohio law. Under Ohio Revised Code § 5321.01 et seq. and general contract
principles, a lease agreement is not considered fully executed or enforceable without accompanying
payment or other consideration to effectuate the terms of the contract. No such payment or other
executional steps were taken in this instance.

Furthermore, Scott's Trucking & Logistics, LLC, its employees, and its contractors do not currently possess or
occupy the property in question. There has been no usage, benefit, or exercise of any rights under the unsigned
and unexecuted Lease Agreement.

In light of these facts, any intention to pursue legal action regarding this matter appears unwarranted and would
not serve the interests of either party. I respectfully urge you to reconsider any further legal steps, as they may
result in unnecessary expenses and efforts for all involved. Should you wish to discuss this matter further, I am
open to engaging in a constructive dialogue to resolve any concerns amicably.
