JOINT VENTURE AGREEMENT

Rewamp Services and Projects (Pty) Ltd
1. PARTIES TO THE AGREEMENT
This Joint Venture Agreement (“Agreement”) is entered into and effective as of the
___ day of ____________, 2025, by and between:
Masiza Security and Training, a private company duly registered and incorporated
under the laws of South Africa with registration number 2020 / 511884 / 07, having its
principal place of business at 12174 Extension 9 Gobeni Street, Jouberton,
Klerksdorp, North West, 2574, and tax number 9258404244 (hereinafter referred to as
“Masiza”)
AND
Rewamp Services and Projects (Pty) Ltd, a private company duly registered and
incorporated under the laws of South Africa with registration number
2015/251164/07, having its principal place of business at 45 Dundon Street,
Wolmaransstad, North West, 2630 (hereinafter referred to as “Rewamp”).
2. BACKGROUND
The Parties wish to associate themselves as a joint venture for the sole purpose of
submitting a tender and, if successful, executing the project as per the specification
titled “Alarm Monitoring and Armed Response Services for a period of 36 months”
issued by Legal Aid South Africa.
3. NAME AND ADDRESS OF THE JOINT VENTURE
The Joint Venture shall operate under the name:
Masiza-Rewamp Joint Venture

4. PURPOSE OF THE JOINT VENTURE
The purpose of this Joint Venture is to:
- Jointly prepare, submit, and manage a response to the Legal Aid South Africa
tender.
- If awarded, jointly execute the contract as per the tender specifications.
- Combine resources, skills, and experience to deliver effective security services,
including alarm monitoring and armed response, over a 36-month period.
5. SCOPE OF WORK
Masiza Security and Training will be responsible for:
- Armed response services, security personnel, operational planning, and
compliance.
- Supervision and execution of on-site physical security.
Rewamp Services and Projects (Pty) Ltd will be responsible for:
- Alarm system installation and monitoring technology, project administration, and
logistical support.
- Reporting, stakeholder communication, and contract administration.
6. SHARING OF PROFITS AND LOSSES
The Parties agree to share all profits and losses of the Joint Venture equally (50/50),
unless otherwise agreed in writing.
7. MANAGEMENT STRUCTURE
A Steering Committee comprising one representative from each Party will manage
the Joint Venture.
All major decisions will require the unanimous agreement of both Parties.
8. BANK ACCOUNT
A separate bank account shall be opened under the name of Masiza-Rewamp Joint
Venture. All revenues, expenses, and disbursements related to the Joint Venture will
flow through this account.
9. DURATION
This Agreement shall remain in force:
- Until the completion of the Legal Aid South Africa contract and all associated
obligations;
- Or until terminated by mutual written agreement of the Parties.
10. CONFIDENTIALITY
Each Party shall keep all information related to the Joint Venture and the Legal Aid
South Africa tender confidential unless disclosure is required by law or mutually
agreed upon in writing.
11. TERMINATION
This Agreement may be terminated:
- By mutual consent of the Parties;
- Upon the failure to win the tender;
- Or upon default by either Party in fulfilling its obligations, after written notice and
failure to remedy the default within 14 days.
12. DISPUTE RESOLUTION
Any dispute arising under this Agreement shall be resolved amicably between the
Parties. If unresolved within 14 days, it shall be submitted to mediation or arbitration
in accordance with South African law.
13. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of
the Republic of South Africa.
14. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties in relation to
the subject matter and supersedes all prior agreements or understandings.
