nd we are goin to talk about the ethical p ractices and Corporate Social responsibilty at HUL... -------------------------------------------------------------------------------Slide 2: Hindustan Unilever Limited (HUL) is India's largest consumer goods company headq uartered in Mumbai, Maharashtra. It is owned by the British-Dutch company Unilev er which controls 52% majority stake in HUL. The various products sold, include foods, beverages, cleaning agents and persona l care products. Hindustan Unilever's distribution covers over 2 million retail outlets across In dia directly and its products are available in over 6.4 million outlets in the c ountry. Nielsen is an organization that does market research. According to their market research data, two out of three Indians use HUL products. HUL is one of the country's largest exporters; it has been recognized as a Golde n Super Star Trading House by the Government of India. HUL is One of the eight Indian companies to be featured on the Forbes list of Wo rld s Most Reputed companies in 2007. -------------------------------------------------------------------------------------Slide 3: This is a definition given by International Good Practice Guidance Code of Conduct in easy words can be said as something that states what is to be done and what should not be done by businessmen There are 3 main factors that an organization must keep in mind while framing th e code of conduct: the first one is involvement of senior management as there should be a role mode ls or mentor to guide the ethics programme.... plus they are experienced.... the 2nd one is involvement of employees as they are the one's that are affected by it the 3rd is picking the well tested model so that there is a trust that their own organizations can also do well with the code of conduct... for example: new com panies may try using the code of conduct of INFOSYS to draft their own code of c onduct.... ---------------------------------------------------------------------------------------

Slide 4: The code of conduct at HUL is made for everyone working in HUL.... but some part s of the code of conduct are forced on the directors: To act in the best interest of the company says that the director should be hone st, fair and ethical and not take improper advantage of his position as a direct or To follow all laws, rules and regulations that are set upon a company by the sta te and central government... To act in a fair and openess manner as such that subbordinates can also express their views, opinions and ideas rather than being the independent person in maki ng decisions. To do all possible initiatives that can improve the name of the organization... Suppose a director has any personal interest in terms of decision, then the dire ctor must openly disclose it. For example: if HUL is merging with another compan y for a new product, and the director is getting some monetary benefit from the senior management of the other organization then he must disclose this informati on.
