AGREEMENT This agreement, entered into on the _______ of _______________, ________, between Mary Lee Ward (hereinafter Ms.

Ward), whose principal residence is located at 320 Tompkins Ave, Brooklyn, New York, and 768 Dean Inc. (hereinafter 768 Dean), a corporation having its principal office located at 1168 Fulton Street, Brooklyn, New York. This agreement resolves any pending eviction proceeding initiated by 768 Dean against Ms. Ward. This agreement also resolves any disputes regarding ownership and possession of the subject property 320 Tompkins Ave, Brooklyn, New York. This agreement is considered legal and binding. If there should be any legal dispute, the laws of the State of New York shall apply. Ms. Ward and 768 Dean agree to the following terms: 1. Ms. Ward may continue to reside at subject property 320 Tompkins Ave, Brooklyn, New York for the remainder of her life with no rent payments due to 768 Dean or any other party. 2. 768 Dean, and its successors in interest, will not pursue further eviction proceedings against Ms. Ward and will not hire a marshal to evict Ms. Ward. 3. 768 Dean will deed the subject property 320 Tompkins Ave, Brooklyn, New York to a 501(c)(3) tax-exempt not-for-profit organization. The specific organization will be determined by Ms. Ward and will be responsible for maintaining the subject property as affordable housing in the community of Bedford-Stuyvesant, Brooklyn. 4. In consideration of this agreement, Ms. Ward will release the entirety of the surplus funds from the 2008 foreclosure sale (currently held in an escrow account) to 768 Dean within 30 days of the date of the execution of this agreement.
