Analysis of the Code of Conducts The 3 companies chosen by me are: ORGANISATION LINK SECTOR YUM! http://www.yum.com/investors/governance/conduct.asp FAST-FOOD e-bay http://investor.ebay.com/documentdisplay.cfm?DocumentID=649 E-COMMER CE NESTLE http://www.nestle.com/Resource.axd?Id=91079B30-575B-4DCA-A3F6-566FD5C676 83 DAIRY AND COFFEE The above companies were specifically chosen for the following reasons:- These c ompanies have proved their metal and are recognized worldwide having thousands of employee and a very filtered and tested code of conduct. Similarities: 1. They are all very comprehensive and cover all aspects: towards employees , customers and clients and suppliers- Treat all customers and suppliers honestl y, fairly and objectively 2. They have been phrased very carefully avoiding any legal loopholes3. Strict emphasis is placed even on the directors/top management not to w ork in the detrimental interests of the organisation.- companies interest comes first. Reputation of the company is an asset which is the responsibility of each associate employee, director, supplier etc. 4. All 3 companies speak about the compliance with legal requirements- Comp liance with all applicable laws and regulations both internal and external mus t never be compromised . 5. In case of conflict situation - the employee shall disclose it to his or her Line Manager and/or the HR or the Legal or Compliance Function to resolve t he situation in a fair and transparent manner. 6. All the three companies focus on law abiding- good corporate citizenship . Differences: Extra emphasis is placed on certain aspects pertaining to the sector: 1. YUM! has the most comprehensive code, followed by e-bay and the smallest i s Nestle. This reflects their sphere of influence and the no of people influenced by it. 2. e-bay when it comes to international trade e-bay follows several internatio nal codes- Anti-boycott Laws ,Economic Sanctions, Foreign Exchange Controls ,Law s Governing Export Compliance & Technology Transfer and immigration Laws 3. NESTLE They condemn any form of bribery and corruption -Employees must n ever, directly or through intermediaries, offer or promise any personal or impro per financial or other advantage in order to obtain or retain a business or othe r advantage from a third party, whether public or private
