Abstract: ProvisionsoftheActtoprepareEURO2012torequiretheestablishmentofseveralcompaniestargetedhostci eswhe re tournament will take place. On the basis of agreements to delegate tasks, set the Mayors, the organizers, as they implemententerpriseprojectsupervisorsintheorganiza onoftheprepara onsforthetournamentandperformtasks relatedtotheconstruc onofstadiumsandassociatedinfrastructure. INTRODUCTION Theaimofthisstudyistoanalyseissuesrelatedtospe cialpurposevehiclesestablishedbymunicipalgovernments of selected Polish towns which have been entrusted with the organisa on of EURO 2012. Is species in par cular formal and legal bases of their ac vity necessary for the plannedinvestmentstobecompleted,mainlyoutsideWar saw. Legal bases for the organisa on of European Football ChampionshipEURO2012inPolandhavebeendenedin a law specially adopted for this purpose (hereina er re ferred to as the Op Act) [1]. Pursuant to this act, the comple on ofenterprises related to thechampionship or ganisa on has been entrusted to companies specially es tablishedforthispurposespecialpurposevehicles,which adoptaformoflimitedliabilitylegalcompanies.Theyhave becomeatoolforthefullmentofnecessaryorganisa onal proceduressoastoholdEURO2012tournamentineachof tournament host ci es, allowing the fullment of the en trustedtasksinselectedtownsandcommunes. ATTRIBUTESOFASPECIALPURPOSEVEHICLE Un l present the contract of a special purpose vehicle (SPV)hasnotbeenregulatedinPolishlaw.Thismeansthat itisaninnominatecontract,whichhasbeenshapedbythe businesstradingprac ce,servingthefullmentofapar c ularpurpose.Aspecialpurposevehiclemaytakeaformof alimitedliabilitycompany.Itsessenceisdeterminedbythe factthatpartnersobligethemselvestostrivetoachievethe common goalby makingcontribu ons and, if the contract orthestatutesofacompanyprovideso,bycoopera ngin anotherpar cularway[2]. Special purpose vehicles may be used for a par cular concretegoal.Itmightbee.g.construc on,comple onof aninvestment,purchaseofarealestateetc.[3].Intrading businessprac cespecialpurposevehiclesareusuallyused by its par cipants to complete larger investments. Due to

the owned construc on, they might also be useful in the comple on of new and innova ve enterprises which re quire the applica on of special methods. Owing to all the abovemen onedfactors,aspecialpurposevehiclemaybe usedinprac ceasaproperlegalformalsoforensuringthe comple on of enterprises related to the organisa on of European Football Championship EURO 2012, which has beenentrustedtoPoland[4]. ORGANISATIONOFPREPARATIONSFOREURO2012 While crea ng organisa onal and administra on bases for prepara ons of the nal tournament of the European FootballChampionshipUEFAEURO2012,thelegislatoras hasbeenmen onedbeforeinart.7oftheactprovided fortheestablishingofafewspecialpurposevehiclesdeal ing with the organisa on of preparatory procedures in townsappointedtobehoststoEURO2012. Thesetownshavethestatusofcommunes.Thismeans that they act pursuant to the Commune Selfgovernment Lawdated8thMarch1990[5],simultaneouslycarryingout the tasks of a county on the basis of the County Self governmentActdated5thJune1998[6].Pursuanttothese acts(statesystemacts),withintheframeworkoftheirown tasks, they also full tasks related to the organisa on of EURO 2012. Pursuant to art. 7 of the Commune Self government Act and art. 4 of the County Selfgovernment Act,thecommunesowntasksareamongothersrelatedto spa alorder,publicsafety,realestatemanagement,water supplyetc. The right to set up special purpose vehicles by the townshoststoEURO2012,whichhasbeenprovidedfor bytheOp Act,meansthatbygran ngthemindepend ent decisions on organisa onal solu ons the legislator es tablishedformalandlegalframeworkforthem.Thisapplies in par cular to four towns organisers: Gdask, Pozna, Warsaw and Wrocaw. These towns created special pur pose vehicles according to the principles specied in the Op Act,pursuant to art.7paragraph7. Underthe cur

rentlegalstatustheprepara onsoftownsforEURO2012 are eected by: Na onal Sport Centre Ltd, seated in War saw and limited liability special purpose vehicles estab lishedbythetownswhicharehoststohetournament:In vestmentOceEUROGdask2010Ltd,Wrocaw2012Ltd and Euro Pozna 2010 Ltd. The above men oned compa nies operate on the basis of contracts for tasks concluded withthemayorsofthelistedtownshosts. Na onalSportCentreLtd,whichcarriesouttasksrelat ed to the prepara on and performance of EURO 2012 en terpriseinWarsawisaspecialpurposevehicle.Thisresults notonlyfromthescopeofac vi es,butalsofromthestra tegic posi on of the city of Warsaw in the organisa on of EURO2012inPoland.Apartfromthat,theac vi esofthe Centre include the prepara ons of investments related to theconstruc onofNa onalSportCentre,includingNa on alStadiuminWarsawandaccompanyingfacili es,together withthetechnicalandtransportinfrastructure. Intheremainingtowns,otherthanWarsaw,whichwill behoststothechampionshipthetasksrelatedtothecon struc onofadequateinfrastructurehavebeenentrustedto territorial selfgovernment units, which as men oned beforeareperformedbyspecialpurposevehicles,special lyestablishedforthispurpose.ThustheOp Actprovid edthetownshostswithappropriaterights.Theyaresup posedtoservethepurposeofstreamliningandfacilita ng theac vi es in the organisa onofthe championship. It is also worth stressing that the organisa on of EURO 2012 tournamentgivesgreatpossibili esofdevelopmenttothe setowns,alsoinabroaderaspect. FORMALANDLEGALBASESOFSPECIALPURPOSEVEHI CLESOPERATIONINTOWNSHOSTS Theestablishingofaspecialpurposevehiclebyaterri torial selfgovernment is not an easy task, chiey because pursuant to the exis ng law regula ons in the process of se ngupanSPVitisnecessarytotakeintoconsidera on legal solu ons contained in many acts as well as in many ordersapartfromtherelevantprovisionsoftheOp Act [7]. The act which is of primary importance for the estab lishingofaspecialpurposevehiclebyatownhostisalso theMunicipalManagementActdated20thDecember1996 [8].Fromthepointofviewofthevalidityoflaw,itisaspe cial provision in rela on to the commercial companies code. This means in prac ce that there are certain dier encesbetweenregula onsapplyingtothecommerciallaw companies and companies with par cipa on of territorial selfgovernmentunits[9]. The establishing of a special purpose vehicle requires rstofallaresolu ontobepassedbyatowncouncil[10]. Thisresultsfromart.18paragraph2subparagraph9le erf oftheCommuneSelfgovernmentAct.Pursuanttothepro visionsoftheOp Act,aspecialpurposevehiclemaybea limitedliabilityvehicle,andthesubjectofitsac vityshould beprepara onorperformanceorcoordina onandsuper vision of EURO 2012 enterprises, including among others subs tute performance of investors tasks and investors supervision. The detailed scope of tasks related to EURO 2012whichhavebeenentrustedtoaspecialpurposevehi cleisspeciedbythetowninawri enagreement.Itspro visionspreventthecompanyfromengaginginanotherac vity [11], which is a very important issue in the case of ensuringtheorganisa onofthetournament. Pursuant to art. 7 paragraph 3 of the Op Act, the minimumamountofaspecialpurposevehiclessharecapi

tal is PLN 2 000 000 [12]. Pursuant to art. 9 paragraphs 2 and4oftheabovemen onedactinconjunc onwithart. 2151oftheCommercialCompaniesLawthesuperviso ry board of a company consists of three to ve members. Membersofthecompanyssupervisoryboardshouldmeet the requirements of the Municipal Management Act. This meansthatpursuanttoitsprovisionssupervisoryboard members represen ng a territorial selfgovernment unit mustpassanexamaccordingtotheprocedurespeciedin the provisions of the Commercialisa on and Priva sa on Act[13].Themandatorytermofasupervisoryboardmem berwithamajorityinterestofaterritorialselfgovernment unit,thereforealsoofaspecialpurposevehiclepursuant toart.10aparagraph3oftheMunicipalManagementAct isthreeyears. PursuanttotheOp Act,themanagementboardofa specialpurposevehiclemayconsistofnomorethanthree persons. The Op Act does not specify who should ap point members of the management boards of special pur pose vehicles established for the purposes of EURO 2012. Forthisreasonitshouldbeassumedthattherightsinthis scopebelongtothesupervisoryboardpursuanttoart.10a paragraph6oftheMunicipalManagementAct,applyingto allcommunalcompanies. For all special purpose vehicles established to imple mentEURO2012enterprisestheOp Actinart.10para graph 1 introduced limita ons of their ac vity in certain areas. Pursuant to this provision a special purpose vehicle maynot: beengagedinac vitywhichisnotrelatedtoEURO 2012enterprisesthathavebeenentrustedtoitina specialpurposevehiclecontract, createotheren es, acquiresharesorother tlesofpar cipa oninoth eren es, besubjectedtorecoveryorbankruptcyproceedings, Wishingtoeliminatethelimita oninac vi esonbehalf oftheorganisa onofEURO2012,inanorderissuedbythe CouncilofMinistersthelegislatorintroducedthesocalled listofEURO2012enterprises[14].Thelistprovidedabasis to introduce some facilita ons necessary for the organisa onofthenaltournament.Theyareconnectedwithac v i esperformedevenbeyondspecialpurposevehicles,with inasimpliedpublicordersprocedureandaquickadminis tra ve procedure. This results from the fact that such en terpriseshavebeengrantedthepublicpurposeinvestment status, which allows e.g. issuing a building permit despite thelackofalocalareadevelopmentplan. ENDING Theorganisa onofEURO2012inPolandhasbeenen trustedtolimitedliabilityspecialpurposevehicles.Thisway theperformanceofpublictaskshasbeenshi edfromthe administra velegalspheretothecivillawsphere,thatisto theprivatelawarea.Forthisreason,acontractfortasksis of primary importance and the ac vi es performed by a special purpose vehicle are subjected to liability rules pro videdforbythecommercialcompaniescode. Inordertofacilitateac vi esundertakenbythebodies of special purpose vehicles of townshosts and to ensure their professionalism, the exemp on of the socalled chimneyregula onsinrela ontomembersofSPVman agement boards and supervisory boards have been ap plied[15].Suchasolu onsecuresthepossibilitytofreely shapetheremunera onsofthemembersofmanagingand

controlbodies,andprovideslocalselfgovernmentswitha possibility to employ the highest class competent manag ers. An important issue for elimina ng legal barriers which limit an investment cycle and possibili es of choosing the investmentprepara onprocedureisalsotheexemp onof EURO2012enterpriseprepara onsfromthepublicorders act dated 29th January 2004 [16]. It allows public procure mentwithoutaneedtocallapublicorder(forallkindsof orders, especially design and building works). The applica on of a simplied public order procedure allows limi ng the longterm procedure of investment comple on. Possi ble barriers to the func oning of special purpose vehicles established for EURO 2012 organisa on are also limited owing to the possibility to quickly terminate a contract in theeventwedealwithanunreliablecontractor.Thiswayit maybeentrustedinduetermtoanothercontractor. Whenevalua ngtheac vityofcompaniesofthetowns hosts a en on should be paid to the fact that apart from posi veelements,relatedinpar culartotheadoptedlegal solu ons,therearecertaindrawbacksinthemanagement sphere. They are mainly connected with: failure to keep deadlines,thelackofsupervisionovertheperformanceof tasksorse lementdocumenta onetc[17].Unfortunate ly,asitturnsout,suchlimita onshaveadecisiveinuence on the unfavourable eects of the ac vi es of the towns hosts.
