Jordan Land Design, LLC 18267 Channel Ridge Court Leesburg, Virginia 20176 Dear Mr. Jordan: The purpose of this letter is to respectfully provide you with a response and option that hopefully Mr. Cangiano will be amenable to considering in reference to the 84-acre Hirst Farm site located on 32"'' Street in Purcellville. The Town Council had the opportunity to review your letter dated May 15, 2012 in closed session last Monday. They carefully reviewed the three potential options that you have offered us in reference to this property. As a result of this meeting, they asked that I please relay the following information and concept for your consideration: 1) The Council wanted to thank Mr. Cangiano and you for taking the time to reach out to the Town and to discuss with us what the Town would like to potentially see or do with this property. Both of you have taken time out of your busy schedules to meet on two separate occasions and have corresponded between these two meetings in order to keep us updated on the progress. Regardless of what your final decisions are v^th this property, the Town appreciates the opportunity to sit down with you and participate in this creative exchange and process. 2) The Town reviewed the three alternatives and after extensive discussions, would like to provide you with an alternative option which may work out best for everyone. Overall, the Town has been blessed with many wonderful projects that have occurred over the last five years. Unfortunately, these projects came very close to each other and the Town

had a very narrow^ window in order to exercise some of these options which resulted in the Town having to do 30 - 40 years of wonderful capital projects in a very short time span. This has left the Town in a wonderful position for the fiiture as it relates to the acquisition of the Aberdeen Watershed Property, Fireman's Field and our current Town Hall but it has also put us in a position where both the economy and our debt service limits our ability to incur other projects in the near future. Since the Town is very much interested in this opportunity, we would like to offer the following alternative which would involve minimal cash cost for the Town but still allow you to maximize your investment in this property. Please review the following options: a) The ovmer would work with the Town to annex the entire 84acres with the understanding that the traditional Water and Sewer Agreement which is used wdth annexations would limit the development to this parcel to no more than 28 lots which is the permitted JLMA-3 density. These lots would be clustered to either the northeast or southeast quadrant of the property on approximately 14 - 20 acres of property. This subdivision would be brought into the Town through annexation and served by Tovra water and sewer and receive all the amenities that Town residents currently receive. The remaining portion of the property will be given to the Town as a charitable donation which would allow the owner to write off the value of this property under the IRS Guidelines. The Town would use and maintain the open space parcel for recreation, water resources and potential future pedestrian linkage to Woodmar Farms/Farmington on the Green in order to link those communities to our Town through a pedestrian network and also link the Town to Franklin Park. The owner would be required to build a subdivision to Town standards and would have to purchase the availabilities for the 28-units at the prevailing rates. The owner would not receive any reduction in the availability fees as a result of the donation of the land or the well but the owner could factor the value of the water resource, water rights and property value into the donation as permitted by IRS Guidelines.

In closing, the Town of Purcellville appreciates the opportunity and would welcome the chance to sit down and talk with you further about this proposed option. Under our option, Mr. Cangiano could maximize his investment while doing something wonderful for families and particularly the children that play in youth sports in this section of Town.
