Dear Sh Pramar,
We are in receipt of your communication dated 20.1.2008 vide which you have conveyed your
‘concerns relating to the management and governance of the Global Compact Society (GCS). These
issues are of special significance to us especially because of your close association with the Society as
Joint Secretary, though for a short period during 2008. The contents of your letter to the President
GCS, Director HR ONGC, and an unsigned copy sent to the GCS office got deliberated in detail in the
Governing Council(GC) meeting of GCS held on 2 March, 2009.
‘At the outset the GC held a view that your criticism and aspersions on the functioning of GCS as well
as the role of Dr. Uddesh Kohli appear motivated. However, to put the records straight, the following
Clarifications are provided:
+ Inthe 1" Annual General Meeting (AGM) on 3" May 2005, the members unanimously decided to
extend the tenure of the 1 GC by another two years. In the 3"° AGM, nomination papers were
invited ahead of the AGM on 20" Jul 07 by the then GCS Secretary but no nomination was
received. The GCS members present at the AGM decided that existing GC would continue. The
basic provisions for conducting an election are laid out in sec 23 of the GCS Memorandum of
Association. It has already been decided that the Election Rules will be framed prior to the
completion of the term of the present Governing Council in June 2008.
= Dr Uddesh Kohit is a highly respected member of the Governing Council as well as senior adviser
to United Nations Global Compact (UNGC). Let it be categorically clarified that Dr Kohli has
neither availed any undue financial favours through the society, nor has he been engaged in
‘misrepresenting or finalising the record notes and minutes of meetings.
= Your attention is also drawn to the fact that your term as Honorary Joint Secretary, GCS was from
Feb, 2008 till June, 2008 and was not renewed thereafter. Accordingly the bills preferred by you
towards transportation charges were settled in the month of October, 2008 till the period April,
2008. it would thus be appropriate on your part to desist from designating yourself as the Joint
Secretary of GCS.
= Further, with regard to your concern for the image of UNGC and GCS, the Study quoted by you
was carried out in early 2007. As you may be aware, significant initiatives have been undertaken,
by the Society after the study was conducted. The recently brought out GCS strategic Plan
{available on our website) addresses many of the concerns that were raised in the study. A
detailed Work Programme has been developed for implementing the Strategic Plan and action is
in-hand to implement it expeditiously.
