Support and de!elopment of cooperation "et#een specialists from different countries participating in educational pro$ects for children on high technologies. !. "uration of the Society. %.1. &uration of the Society is unlimited. #. $oining the Society mem%ership& 'ithdra'al and expulsion. '.1. The Society may "e $oined "y any competent indi!idual or legal entity( #hose acti!ities and interests are related to the education of children on high technologies( "y su"mitting a #ritten application of a due form. The application form and list of documents attached shall "e defined "y the )oard of the Society. '. . The decision on admission or expulsion of a mem"er of the Society shall "e made "y the )oard "y ma$ority !ote. '.%. *em"er may at any time #ithdra# from the Society notifying the )oard in #riting. '.'. *em"er can "e expelled from the Society "y decision of the )oard( if: '.'.1. mem"er has caused moral damage to the Society impairing the image of the Society+ '.'. . mem"er fails to a"ide "y decisions of the meeting of mem"ers( decisions of the )oard or the Charter of the Society+ '.'.%. mem"er fails to fulfill his o"ligations and commitments+ '.'.'. mem"er performs other actions that are contrary to this Charter+ '.'.,. mem"er does not pay a mem"ership fee longer than t#o years. Non.appearance of the expelled mem"er shall not "e an o"stacle to the decision ma/ing. The )oard shall notify the mem"er in #riting of the decision on his expulsion from mem"ership of the Society and reasons for the decision #ithin fi!e days from the date of its ma/ing. '.0. Acti!ities of a mem"er of the Society shall "e terminated in the e!ent of his death. To achie!e its statutory goals and o"$ecti!es( the Society has the right to carry out commercial acti!ities. 0.%. To achie!e its statutory goals and o"$ecti!es( the Society has the right to use the hired la"or. 0.'. 5or the purpose of #ritten correspondence referred to in the Charter( electronic means 6e.mail( electronic documents( electronic signature( #e"site( etc.7 ha!ing e8ual legal force can "e used. .. /ffices of the Society. 4.1. )y decision of the mem"ers of the Society( regional and other offices of the Society can "e esta"lished. 4. . Acti!ities( rights and responsi"ilities of the offices( as #ell as relations #ith the Society shall "e regulated in the Charter of the 2ffice to "e appro!ed "y the )oard of the Society. 0. Con,ening the meetings of mem%ers and ma1ing decisions. 9.1. *eeting of mem"ers is the supreme go!erning "ody. 9. . All mem"ers of the Society are entitled to participate in the meeting. *em"ers may participate in person or "y #ritten proxy. 9.%. 2rdinary meeting of the mem"ers shall "e con!ened once a year. 9.'. Emergency meeting may "e con!ened either on the initiati!e of the )oard or( if re8uested in #riting "y not less than one.tenth of the mem"ers of the Society( stating the reason for con!ocation. 9.,. *eeting of the mem"ers shall "e con!ened not later than t#o #ee/s in ad!ance "y sending a #ritten in!itation to each mem"er. 9.0. *eeting of the mem"ers shall ha!e the right to ma/e decisions( if attended "y at least one.fifth of the mem"ers. To ma/e amendments to the Charter( more than half the mem"ers are re8uired. 9.4. If the meeting of mem"ers lac/s a 8uorum(the meeting ha!ing the right to ma/e decisions regardless of the num"er of mem"ers present shall "e recon!ened #ithin three #ee/s( -age % of ,

pro!ided that at least t#o mem"ers are present. 9.9. &ecision of the meeting of mem"ers shall "e deemed made #hen !oted for "y more than half of the mem"ers present. &ecision on ma/ing amendments to the Charter( termination( continuation or reorganisation of the Society acti!ities shall "e deemed made #hen !oted for "y more than t#o.thirds of the mem"ers present. 9.:. *eeting of the mem"ers shall "e entitled to: 9.:.1. adopt and amend the Charter of the Society+ 9.:. . decide on all matters related to the Society acti!ities+ 9.:.%. elect and dismiss the Society )oard and auditor+ 9.:.'. ta/e note of the reports of the )oard on admission( #ithdra#al or expulsion of mem"ers( the commercial acti!ity( its start or end+ 9.:.,. decide on the reorganisation and li8uidation of the Society. 2. Executi,e 3ody. :.1. Executi!e "ody of the Society is the )oard( #hich consists of three mem"ers #ho are elected for years. :. . )oard mem"ers elect from among themsel!es the chairman and t#o deputy chairmen( #ho shall organise the #or/ of the )oard. :.%. *eetings of the )oard shall "e con!ened at least t#ice a year. :.'. The )oard may employ hired la"our( including from among the )oard mem"ers( and set their salaries and payment procedure "y ma$ority !ote of the )oard mem"ers. :.,. &uring the period of time set "y a meeting of mem"ers( the )oard has the right to dispose of the funds and property of the Society. :.0. The )oard mem"ers ha!e the right to represent the Society indi!idually. :.4. If( during the period of authority of the )oard( one of the mem"ers #ithdra#s( the "oard shall con!ene a meeting of its mem"ers to elect a ne# mem"er of the )oard. :.9. The )oard mem"er shall "e entitled to compensation for eligi"le expenses arising in the course of #or/ for the Society "y su"mitting a #ritten re8uest and supporting documents to the Chairman of the )oard. 14. Auditor. 1;.1. Control of the financial and economic acti!ity shall "e pro!ided "y an auditor elected "y -age ' of ,

Auditor shall carry out an audit at the time set at the meeting of mem"ers( "ut not less than once a year. 11. +em%ership fee. 11.1. Entrance fee and the amount of mem"ership fees shall "e determined "y the )oard( "ut not more often than once a year.
