Camden and Gloucester Counties.' These discounted rates will be applicable to the Counties. their Municipalities, the School District and the Fire Districts.. In June 2006, Philadelphia Media Holdings, LLC purchased Philadelphia Newspapers, LLC, as well as other affiliated companies and publications from the McClatchy Company. McClatchy had acquired Philadelphia Newspapers as part of its purchase of Knight Ridder, earlier in June 2006. Philadelphia Newspapers publishes the Philadelphia Inquirer.

Philadelphia Newspapers' senior management is located at our facilities at 400 North Broad St, Philadelphia and 800 River ReI, Conshohocken. In addition, PN employs managers at numerous other facilities, including S3 Haddonfield Rd. Cherry Hill and 110 American Blvd, Turnersville.

Philadelphia Newspapers, LLC is licensed to do business in the 'State of New J ers,?y. A copy of that license information is attached.

ADVERTISING REVE!,;IJE AG.RE:ElY!ENT

This Advertising Agreement dated February 1,2007 is between Philadelphia Newspapers, LLC a'Pennsylvania Limited Liability Company (UPN") with a place of business at 400 N. Broad Street, Philadelpb.i.a,PA 19130 and Camden County, New Jersey, Office of Camden County Counsel ("Advertiser,), with. a place of business at 520 Market St., Camden. NT. In consideration of the mutual Ohli gations contained in this advertising agreement, PN and Advertiser agree to tb.~ following tams and conditions relating to advertising placed by Advertiser in PN' s publications:

1. Advertising. Subject to the termsherein, PN will use its personnel in processing

advertising copy placed by Advertiser in appropriate edition of The Philadelphia Inquirer.

2. Contract TelID. The tennofthis Agreement shall apply to legal advertising

submitted by Advertiser ("Advertising") and published from February 1, 2007 until January 31,

2009 (the "Term"), .

3. Rates. South Jersey Weekday rate shall be ,24 per agate line. South Jersey

Sunday rate shall be .63 per agate line. Full Run Weekday rate shall be .i5 per agate line. Full R'L"D. Sunday rate shall be 1.00 per agate line. Advertiser will not be subject to any rate increases during the Tenn.

4. Value Added. PN will provide the following advertising at no charge to

Advertiser:

(a) Two Eight (8) page tabloid sized pullout public service advertisements

each year in The Philadelphia Inquirer to be run between February l st, 2007 and January 31st ~009. Each section will includ)'f an overrun of up to 15,000 copies.

(b) All Value Added advertising shall be~placed according to a schedule

mutually agreeable to PN and Advertiser. Any Value Added Advertising that is not used by the end of the Term shall be forfeited.

5. Positioning. PN docs not guarantee position of advertisement. Advertiser may

request positioning on any.page; however, all positions remain at our option and are not guaranteed, PN will not provide any adjustment, refund, or reinsertion due to the position in which an advertisement has been published.

Acceptance. All advertising is subj ect to acceptance by The Philadelphia
