With respect to your application and subsequent rounds of discussions you had with us, we o
are glad to extend an offer to join Idola Fori as Vice President- Operations of Drill Ring i.c
Manufacturing.

Your gross annual compensation is Rs.8,40,000 and will be structured as mentioned in id
Compensation Details, attached as Annexure I. It includes various allowances paid to w.
employees as per existing company policies. You will also be provided a Company Car (type: w
Wagon R/Santro/A Star to a maximum of 4 lacs) and Housing (Maximum allowed rent w
including maintenance and Electricity up to Rs.15,000 Per Month)

On achievement of your set target you will be eligible for a Performance based Incentive of
1% share on company’s profits, which will be discussed on Joining. Sweat equity upon
consistence performance for 3 years on the projection.
Your employment with Idola Fori will be governed by the Terms of Employment, attached as
Annexure II. You are required to carefully read and understand these Terms of Employment
as a part of accepting this offer.

As further detailed in the Terms of Employment, this offer and your employment with Idola
Fori is subject to satisfactory completion of verification and/or background or reference
checks, which may occur at any time prior to or after your effective start date.

Should any information or part thereof turns out be misrepresentation, false, incorrect or
fabricated, the offer of employment stands withdrawn and no claim whatsoever on any
ground can be entertained.

Please do revert with your decision, and if acceptable to the offer, along with a tentative

Annexure 2 – Terms of Employment

Your employment with Idola Fori Information Design Works Ltd. will be governed by
Company's policies, as modified, from time to time and at Company’s sole discretion. The
terms and conditions contained herein (“Terms of Employment”) must be read as a part of
all of the Company’s current policies. These Terms of Employment and the policies shall be
subject to modifications, from time to time, upon notice to you.

Probation Period:
I. You shall be on probation for a period of one hundred and eighty (180) days from the
date of joining of your employment with Company. Company may, in its sole
discretion, at any time extend this period of probation for an additional specified
period, upon notice to you.

II. Unless otherwise communicated to you by Company, the probation period shall
expire one hundred and eighty (180) days after your date of joining, unless the
probation period is extended for an additional specified period by the reviewing
authority, in which case the probation period shall extend as specified by the
reviewing authority.

III. Notwithstanding anything contained herein, during your probation period, Company
may terminate your employment in a days notice and with or without stating any
reason whatsoever. m

Duties:

will be specified by Company from time to time. Company may at any time, in its sole ol
discretion, upon notice to you, alter or otherwise modify these roles, responsibilities and id
duties. Further, at any time, you may be required to provide services, directly or indirectly, w.
to Company and its affiliates and their employees, contractors and clients. w

Place of Employment:
You acknowledge and agree that you may be assigned, transferred or deputed to offices,
departments or units of Company and/or its affiliates and/or their clients, whether in India or
abroad. In the event of any such assignment, transfer or deputation, you may be required to
consent to and/or agree to certain other agreements or policies applicable to such an
assignment, deputation or transfer.

Salary and Benefits:


I. Your compensation will be reviewed on an annual basis and your salary may be
adjusted, depending upon various factors, including your performance during the
preceding performance period.

II. Unless otherwise provided by Company, your salary shall be paid in monthly
installments and in arrears. The total amount issued will be your salary less any
statutory, standard, permissible or elected deductions or set-offs applicable to your
employment.

III. In addition to your salary, you may receive other benefits, as applicable under the
Company’s benefits or similar policies. Company may, upon notice to you, at any
time and in its sole discretion amend, suspend, vary and modify any of the terms and
conditions of these benefits and/or policies. The compensation and/or benefits
offered to you by the Company may be pro-rated depending on your effective start or
effective termination date.

IV. Subsidized Food as per existing policy and as amended from time to time effective
from the date of joining.

Non Compete Clause:


As a condition of your termination of employment with Idola Fori Information Design Works
Ltd, its subsidiaries, affiliates, successors, or assigns together referred to as ‘The Company’
and in consideration of your employment with The Company, the key responsibilities you
have been entrusted with, the exposure to and experience you’ve gained in Design
Automation technology, coupled with the receipt of the compensation paid by The company
during the tenure of your employment by The company, You will abide by the following non-
compete agreements for a period of three years starting from the date of your Relieving.

1. You will not directly or indirectly work for or solicit employment, own, invest in, direct, or
aid any company or person engaged in competition with the company including any existing
client or prospective client that may harm any existing client/project of The Company.
A company or person is in competition with The Company if it solicits business, performs
services, or delivers goods that are competitive to The Company, its customers or its
prospective customers. m

2. You agree not to compete with the company in the practice of Mechanical Engineering i.c
Design Automation by directly or indirectly working for, own, investing in, directing, or aiding or
any company or person engaged in Design Automation. af

3. You agree to respect the confidentiality of The Company’s trade secrets, trademarks and

patents and not to disclose them to anyone. You agree not to make use of research done in

the course of your employment in any other business w

4. You agree to maintain the strict confidence of The Company’s trade secrets; this includes
but is not limited to the engineering, programming, manufacturing, sales or financial aspects
of the Company’s business.

5. You agree not to influence or manipulate any of your colleagues or acquaintances made
during your official tenure with The Company to join you in your future prospects or find
employment for them in your New Company or its subsidiaries, affiliates, agents, etc. or to
any other Company which will be detrimental to the interests of The Company.

In case of non- compliance of the above mentioned clauses you agree that you are liable for
prosecution by The Company for criminal breach of trust, along with the remedies it might
seek, including but not limited to the monetary compensation The Company might have
suffered.

Service Agreement:
As the employer would spend a substantial amount of time and money for your
employment, you are required to sign a Service Agreement with the employer on such
terms, as the employer may deem appropriate. Term of employment would be fixed at 2
years from the date of joining.

Termination of employment:

I. You can terminate your employment by serving a notice of 90 days. However, if


approved by the Company, you may pay salary (Gross) in lieu of Notice period.
Unauthorized absence or absence without permission from duty for a continuous period of 7
days would make you loose your lien on employment. In such case your employment shall
automatically come to an end without any notice of termination.
Please note that the terms and conditions of this offer letter including the annexure I, II are
final and not subject to revision/modification and no discussion of any nature will be
entertained.
