policies, processes and people, which serves the needs of
shareholders and other stakeholders, by directing and
controlling management activities with good business
objectivity, accountability and integrity.

In Case of SATYAM COMPUTERS

• In satyam computer case this is the main problem because


here every decision taken by the Mr.Ramalinga Raju in not
in the favour of shareholders and stakeholders .

• So the six independent director’s quit the satyam board . It


shows the lack of corporate governances in the company.
