AGENCY represents that it is properly licensed, bonded, ith a capable and trained !if
re"#ired$ staff of collectors, and can effect reasonable and laf#l effects to collect
acco#nts recei%able of CLIENT&
CLIENT shall pro%ide to AGENCY, from time to time, acco#nts recei%able to collect&
CLIENT represents that any acco#nts hich it t#rns o%er to AGENCY are legally d#e and
oed& CLIENT shall pro%ide #pon re"#est to AGENCY so#rce doc#mentation for any
and all acco#nts d#e, and, %erification of any balance d#e&
AGENCY shall at all times cond#ct collection acti%ity on behalf of CLIENT in compliance
ith all laf#l reg#lations and las and shall hold CLIENT harmless from any claims
related to #nlaf#l collection acti%ity& A periodic report of the stat#s of all collections shall
be pro%ided to CLIENT by AGENCY at least e%ery _________________________&
AGENCY shall recei%e a fee of __ percent from all s#ms collected on behalf of CLIENT&
AGENCY may ded#ct from s#ms collected its fee' hoe%er, all s#ms hich are d#e to
the CLIENT shall be held in a separate tr#st acco#nt& In the e%ent that a debtor ret#rns
merchandise, the %al#e for the p#rposes of the agreement shall be the net sales price
recei%ed for the same, or if the merchandise is accepted by CLIENT, ___ its holesale

CLIENT shall be entitled to, either itself or thro#gh designated agents, a#ditors and
acco#ntants, cond#ct a#dits of the boo(s and records of AGENCY to %erify acco#ntings&
CLIENT shall be entitled to ithdra acco#nts once assigned from AGENCY, hoe%er, if
any collections are made as related to s#ch acco#nts shall be reported to AGENCY, and
the AGENCY fee paid&
AGENCY shall be responsible for all e)penses related to its collection efforts, other than
co#rt costs and attorneys* fees, if s#it is a#thori+ed, and e)pendit#re is appro%ed for
co#rt costs and attorney*s fees& Any s#it fees or co#rt costs shall be appro%ed in riting
prior to their e)pendit#re&
