2. In Brasov County you have signed a contract of exclusivity with a reseller. Can you
deliver the pipes directly to the construction company?
A contract of exclusivity usually entails an agreement between the seller (Vega Steel)
and the buyer (the reseller from Brasov county) that states that the two parties will
agree to deal with each other exclusively with respect to a particular aspect of their
business. In this case we can presume the aim is the reselling of Vega Steel goods,
namely steel pipes, through the reseller. The reseller agrees that on the duration of
the contract they may be supplied only by Vega Steel and may not enter into any
further commitments with third parties. If the relationship established in the contract is
a vertical one, Vega steel can restrict who else can receive those services, a
competitive advantage, without being bound to only supply for this reseller. In this
case, just described, there should be no correlation between the new contract and
the delivery of the materials to Aspen construction. However if the contract with the
reseller implies certain limitations for Vega Steel, we can assume that there may be
complications arising in the supplying of the materials. As it s from the start both a
commutative and instantaneus contract, the two parties will have their consequences
clearly outlined. In any of the cases, though, if the current disputes between Aspen
and Vega Steel about the delivery of the goods are not concluded, we cannot talk
about any sort of future transactions between the companies concerning the
infrastructure project.
As for the correlation between the new contract of exclusivity and future deliveries to
the construction company, it all abides to the agreements the two businesses have
set in said contract.
