PRE-MARKET ALERT REPORT DECEMBER 15, 2014

PETM (PetSmart, Inc.) In the largest private equity deal of 2014, a group of investors headed
by BC Partners announced the acquisition of PetSmart, Inc. for $8.7 billion this morning. The
price represents an almost 8% premium over the pet supplies retailers market cap as of Friday.
The announcement is good news for major shareholder and activist hedge fund Jana Partners,
which had been pushing PetSmart to put itself up for sale since early summer due to its low
outstanding debt and high expense ratios. Todays predominantly positive sentiment caused a
bullish iSENSE alert at 8:18AM , and PETM is up almost 5% in early hours trading.

PFE (Pfizer Inc.) - Pfizer Inc. reported this morning it had entered into a partnership with OPKO
Health to produce OPKOs new treatment for human growth hormone deficiency. The deal
involves cash payments upfront and along the development pipeline, and it grants Pfizer
exclusive rights to manufacture and commercialize the drug. The news generated
overwhelming positive sentiment for both pharmaceutical firms, and it caused a bullish iSENSE
alert at 8:21AM for Pfizer. PFE is up half a percent in early hours trading.

RVBD (Riverbed Technology, Inc.) - Riverbed Technology, the $3 billion enterprise IT solutions
firm, will be acquired by private equity fund Thomas Bravo in conjunction with the Ontario
Teachers Pension Plan for $3.6 billion in a cash deal announced this morning. Riverbed, like
PetSmart, has also been the target of recent activist funds looking to expand their technology
portfolios. Todays surge of sentiment on record tweet volumes produced a bullish iSENSE alert
at 8:37AM, and RVBD is up more than 10% in pre-market trading.

EMR (Emerson Electric Co.) - Emerson Electric Co. announced this morning the divestment of
its power transmission business, a $600 million yearly revenue division, for $1.4 billion to the
motor manufacturer Regal Beloit. The move puts continued weakness on Emerson shares,
which are down over 15% year-to-date. This morning saw consistent negative sentiment for the
Kentucky-based industrial technology firm, which produced a bearish iSENSE alert at 8:00AM.
EMR is down slightly in the pre-market.
