BREACH OF CONTRACT ACTIONS ISSUES

1. PARTY 1 PERFORMS BUT PARTY 2 IS NOT SATISFIED? Does the promisor have to be subjectively satisfied or whether the terms
satisfaction was intended to mean objective satisfaction.
-objective satisfaction is determined by whether a reasonable person would be
satisfied regardless of whether the promisor was actually satisfied.
-If K is conditioned on personal satisfaction of party, courts apply the subjective test
because that is the intention of the parties. Must be genuine and not in bad faith.

ISSUES REGARDING PREVIOUS ORAL STATES- PAROLE EVIDENCE RULE


PER- evidence of prior contemporaneous expressions to vary or contradict writings
are barred in the absence of fraud, accident or mistake.
