-AMITY GLOBAL BUSINESS SCHOOL Memorandum of Understanding Between Amity Global Business School, Mumbai and GIZA Pvt Ltd. This memorandum of understanding is made on 29" January 2014 between Amity Global Business School, Mumbai, a non-profit educational organization and Giza Pvt Ltd. and set forth the relationship and obligations relating to the Inter-collegiate festival “Elation 2014” organized by Amity Global Business School, Mumbai which is to be held on February 27" Feb, 28th Feb and 1 March 2014. Purpose: Giza Pvt Ltd. wishes to provide support for an Inter-collegiate festival “Elation” organized by Amity Global Business School, Mumbai in return to which AGBS, Mumbai will provide Giza Pvt Ltd. a range of marketing opportunities and other services. The Event Sponsor will receive maximum exposure before, during and after this event, Giza Pvt Ltd.'s support will g0 towards fulfilling all the requirements including event-management, marketing and promotion, and awards at the concluding awards ceremony, Responsibilities of AGBS, Mumbai: Amity Global Business School, Mumbai will serve as the organizer of “Elation 2014”. AGBS, Mumbai will be solely responsible for arranging the following services and providing the following goods: ‘Space to put up Giza Pvt Ltd.’s banner at the venue (Indoors and outdoors) Verbal recognition throughout the event. Giza Pvt Ltd.’s logo on event’s official banners, posters, brochures and website. Giza Pvt Ltd.'s short introduction (audio visual) will be displayed during the two day in- campus events ic., on 27" and 28" February, 2014. 5. Giza Pvt Ltd.’s banners will be returned within a week’s time post event. Beye Responsibilities of GIZA Pvt Ltd.: Giza Pvt Ltd. will serve as kind sponsor of “Elation 2014” and will be solely responsible for arranging the following services and for providing the following goods: 1. Sponsorship in token cash liable 5000 INR. 2. Kind sponsorship as gift vouchers worth 50,000 INR is agreed, 3. Responsible for participant’s make-up for fashions show held on the last day ie., on 1" March 2014. ‘Regd. Cheque should be in the favor of Amity Global Business School, payable at Mumbai 3. Logo once finalized cannot be altered. 4. Any conflicts that shall arise will be solved under Mumbai jurisdiction. 5. Any contractor, vendor or other party engaged or affiliated with GIZA Pvt Ltd Company. shall not make any representations which would suggest an endorsement by AGBS, Mumbai or the event 6. Any contractor or other party affiliated with the GIZA Pvt Ltd. shall not engage in fundraising for the event. 7. GIZA Pvt Ltd, shall not use or otherwise display the AGBS logo without prior written approval of AGBS. 8 Nothing in this MOU authorizes or is intended to obligate the parties to exchange, or reimburse funds, services, or supplies, or transfer or receive anything of value. 9. This MOU in no way restricts either of the parties from participating in any activities with other public or private agencies, organizations or individuals. 10. This MOU is strictly for internal management purposes for each of the parties. It is not legally enforceable and shall not be construed to create any legal obligation on the part of either party Amendment and Termination: This MOU may be amended by written agreement between AGBS, Mumbai and GIZA Pvt Ltd. This MOU can be terminated by the written agreement between AGBS, Mumbai and GIZA Pvt Ltd., on or by February 10th, 2014, Effective Date: This MOU is effective on the date of the last signature below.
