1. Who is a sole proprietor?


2. What is a partnership? Briefly state how many types of partnership and limited
liability partnership are there.
3. The Companies Act 1965 was enacted with the aim of performing two (2) basic
functions. What are these two (2) functions?
4. What are the salient features of Limited Liability Partnership (LLP)?
5. Briefly explain the difference between:
i. LLP and Conventional Partnership
ii. LLP and an Incorporated Company
6. What are the requirements to register a Limited Liability Partnership?
7. Can a conventional partnership be converted to a limited liability partnership and can
a private limited company be converted into a LLP?
8. Can a sole proprietor convert into a LLP? If so, what are the requirements?
9. Explain how companies are classified.
10. Prepare in the form of a comparison table the characteristics of:
a. Sole trader, partnership and company.
b. Private company and public company.
