NOTICE TO SHAREHOLDERS
PAYMENT OF INTEREST ON EQUITY AND ADDITIONAL DIVIDENDS

MULTIPLAN EMPREENDIMENTOS IMOBILIRIOS S.A. (Company), hereby gives

notice to the shareholders and the market that the interest on shareholders equity and
the additional dividends, in the total amount of R$ 104,895,709.39, will be paid to the
shareholders of the Company on May 18th, 2015, as follows:
(a)

The interest on shareholders equity in the total gross amount of

R$ 85,000,000.00, as approved by the Companys Board of Directors on
December 22nd, 2014, will be paid with the corresponding withholding of taxes,
except for shareholders who are immune or exempt. For payment purposes, the
eligible shareholders are those registered on the Companys books on
December 22nd, 2014, therefore, the shares issued by the Company began
trading ex-interest since December 23rd, 2014.

(b)

The payment of the additional dividends in the total amount of

R$ 19,895,709.39, as approved by the Annual and Extraordinary General
Meetings cumulatively held on April 29th, 2015, will be made to the shareholders
registered on the Companys books on April 29th, 2015. The shares issued by
the Company began trading ex-dividends since April 30th, 2015.

The profits will be paid to the shareholders based on the information contained in their
enrollments with the depository agent of the shares issued by the Company (Ita
Unibanco S.A.) or the custodian agents (Brokerage Houses), according to the custody
system in which the relevant shares are deposited.
