    ACQUISITION SEARCH ENGAGEMENT LETTER
    Further to our recent meeting, I enclose my firms engagement letter reflecting the terms of the
    acquisition search assignment that we discussed. I would be grateful if you could review the
    engagement letter, arrange for both copies to be signed on behalf of the Company and then
    return one copy to me.
    Once I have received the signed engagement letter back from you, I will send you a suggested
    scope of due diligence work and a pricing matrix and then contact you to arrange an initial
    meeting to share information, as discussed.
