AMENDATORY AGREEMENT

AGREEMENT, made this 18th day of May, 2015 between the Borough of River Edge, 705
Kinderkamack Road, River Edge, New Jersey 07661, a municipality in the County of Bergen and the
State of New Jersey, hereinafter referred to as" Borough", and Alan Spiniello, Esq., 45 Essex
Street, Hackensack, New Jersey 07601; and
WHEREAS, the Borough desires to amend a certain agreement with Alan Spiniello,
Esq., 45 Essex Street, Hackensack, New Jersey 07601 for Services Related to: Legal
Services Pertaining to Tax Appeals; and
WHEREAS, the Mayor and Clerk of the Borough are authorized by Resolution #15-09 dated
January 5, 2015 to execute this amendment;
NOW, THEREFORE, in consideration of the mutual terms and conditions contained herein,
the undersigned parties agree as follows:
1.
AMENDMENT TO CONTRACT - The Borough and the Contractor do hereby agree that the
Contract awarded #15-09 dated January 5, 2015 in the amount of $5, 000.00, amended via
Resolution #15-197 dated May 18, 2015, in the amount of 125.00 per hour, and the amount not to
exceed $25,000.00.
2. RATIFICATION OF ORIGINAL CONTRACT TERMS - Subject to the above amendment and
revision contained herein, the undersigned parties do hereby ratify the original Contract terms
contained in that certain Contract dated January 5, 2015.
3. DOCUMENTS - Incorporated herein by reference is the original Contract dated January 5, 2015
and all resolutions related to Professional Services Related to Expert Legal Services Pertaining to
Tax Appeals and the amendment herein.
4. MODIFICATION - The waiver of a breach of any area of the terms hereof or of any default
hereunder shall not be deemed a waiver of any subsequent breach or default, whether of the same or
similar nature, and shall not in any way effect the terms hereof. No waiver or modification shall be
valid unless in writing and signed by the Parties.
5. BINDING AGREEMENT - The undersigned parties do hereby bind themselves, their heirs,
successors and assigns.
