TheorganizationshallbeknownastheHuntsmanProgramStudentAdvisoryBoard,hereinafter
referredtoastheBoard.

ArticleII:Purpose

IntheinterestofimprovingtheHuntsmanProgram,thepurposesoftheBoardareto:
RepresenttheHuntsmanstudentcommunityandaddresstheconcernsandideasofthePrograms
students.
Facilitatesocial,professional,andacademicinteractionbetweenfaculty,administration,students,and
alumnioftheHuntsmanProgramthroughBoardeventsandotherwise.
ConsultinternallywiththeProgramsadministrativeandfacultydirectorstomakeprogrammaticand
curricularimprovementsthroughBoardinitiativesandotherwise.

ArticleIII:Membership

TherewillbefourrepresentativesontheBoardfromeachclass,oneappointedandthreeelected.The
fourrepresentativesofeachclasswillbechosenduringtheclasssfreshmanyear.Onceappointedor
elected,thetermofeachBoardmemberexpiresuponthecompletionofhisorherundergraduatecareer
orfourthyear,whichevercomesfirst.

Inthecaseofsubmatriculation,Boardmembersmaychoosetoeitherremainontheboardorsubmit
theirresignation.TheChairisresponsibletodiscusswiththestudenttheimplicationsofhisorher
decisiontoremainontheBoard.AllrequirementsanddutiesofBoardmemberswillcontinuetoapply.
IftheBoardmemberdecidestoremainontheboard,heorshemaynotrunforthepositionofChairof
theBoard.

ArticleIII,SectionI:TheAppointedRepresentative

TheAppointedRepresentativewillbeselectedbythecurrentBoardthroughanapplicationand
interviewprocess,whichwilltakeplaceduringthefirstmonthoftheacademicyear.Allfreshmenare
eligibletoapply.Applicationsubmissiondeadlineswillbeobservedtotheminute,unlessextensions
areunanimouslyapprovedbyBoardmemberspresentatPenn.

TheAppointedRepresentativewillbeselectedbasedonthefollowingcriteria:

abilitytoserveastheinitialandsoleclassrepresentativeforthefirstsemesteroftheclasssfreshman
year
abilitytoexecuteresponsibilitiesandgenerateideasfortheBoard
commitmenttoservingtheBoard

ThediscussionfortheselectionoftheAppointedRepresentativewillcontinueuntilallpresentBoard
membersaresufficientlysatisfiedwiththedecision.

ThetermoftheAppointedRepresentativebeginsassoonasheorsheisnotifiedoftheBoards
decision.

ArticleIII,SectionII:TheElectedRepresentatives

Theremainingclassrepresentativeswillbeelectedbytheirclassmates.Twooftheremainingthree
representativesshallbeelectedsimultaneouslyafterWinterBreak.Thefourthandfinalrepresentative
shallbeelectedafterSpringBreakandbeforetheChairelections.

CandidatesshallsubmitacampaignstatementbyemailtotheBoardpriortotheelections.The
statementswillbecompiledbytheBoardandforwardedtoallmembersofthefreshmanclass.
Applicationsubmissiondeadlineswillbeobservedtotheminute,unlessextensionsareunanimously
approvedbyBoardmemberspresentatPenn.Allextensionswillbeuniversalandindividual
extensionswillnotbegranted.

ElectionsfortheElectedRepresentativesshallbeconductedatafreshmanclassevent,atwhichall
candidatesareexpectedtogiveaspeechtotheirclassmates.Twononfreshmanmembersshall
conducttheelection.Fortheelectiontobevalid,atleast50%ofthefreshmanclassmustbepresent
(50%quorum).Blankvotesorabstentionscounttowardsquorum.Freshmenclassmembersare
allowedtocastabsenteeballotsviaemailifandonlyiftheyhavealegitimateexcuseclearedwiththe
Chairpriortotheelection.Ifquorumisnotmet,amandatoryrevotewillbeheld.

Therankingofindividualcandidatesintheelectionistobekeptconfidentialonlythetwo
nonfreshmanmembersandtheChairshouldbeprivytotheexactelectionresults.

ThetermoftheElectedRepresentativesbeginsassoonasheorsheisnotifiedoftheelectionresults.

ArticleIII,SectionII,SubSectionA:ElectionsfortheFirstandSecondElectedRepresentatives

Allmembersofthefreshmanclasspresentattheelectionmaycastuptoanumberofvotesequalto
onefourththenumberofcandidateswhichinthecaseofafractionwillberoundedupwitha
minimumoftwovotes.Thesevoteswillbeofequalweight,eachforadifferentperson,andthetwo
candidateswiththemosttotalvotesareelected.Studentsmaychoosetoonlydistributesomeoftheir
votesorabstainentirely.Ifastudentvotesforthesamecandidatemultipletimes,onlyonevotewillbe
countedtowardthatcandidate.

Intheeventofatie,therewillbearunoffbetweenthetiedcandidates.Theboardwillneedtonotify
thefreshmanclasswithin24hoursrequestingtheirvotesfortherunoffviaemail.Allfreshmenwill
beallowedtotakepartintherunoffvote,andatleast50%ofthefreshmanclassmusttakepartinthe
electionforittobeconsideredvalid.Tobreakthetie:
A) Ifafterthevoteshavebeentalliednoneofthepositionshavebeenfilledduetoatie,thetied
candidateswillbeplacedonanewballot,andeachfreshmanwillbegranted2newvotestocast.

B)

Ifafterthevoteshavebeentalliedoneofthepositionshasbeenfilled,andoneremainsunfulfilleddue
toatie,thetiedcandidateswillbeplacedonanewballot,andeachofthefreshmenwillbegranted1
votetocast.

ArticleIII,SectionII,SubSectionB:ElectionfortheThirdElectedRepresentative

Allmembersofthefreshmanclasspresentattheelectionmaycastuptoanumberofvotesequalto
onefourththenumberofcandidates,roundedupwithaminimumofonevote,andthecandidatewith
themosttotalvotesiselected.Studentsmaychoosetoonlyabstain.Ifastudentvotesforthesame
candidatemultipletimes,onlyonevotewillbecountedtowardthatcandidate.

Intheeventofatie,therewillbearunoffbetweenthetiedcandidates.Theboardwillneedtonotify
thefreshmanclasswithin24hoursrequestingtheirvotesfortherunoffviaemail.Allfreshmenwill
beallowedtotakepartintherunoffvote,andatleast50%ofthefreshmanclassmusttakepartinthe
electionforittobeconsideredvalid.Tobreakthetie,thetiedcandidateswillbeplacedonanew

AnymemberwhowishestoresignfromtheBoardmustpresentawrittenletteraddressedtotheChair
clearlyarticulatinghisorherintenttoresign.ThisletteristhentobepresentedtotherestoftheBoard.
TheresignationiseffectiveasofthepresentationofthislettertoallBoardmembers.

ArticleIII,SectionIV:RemovalofBoardmembers

ABoardmembersstatusmustbecalledintoreviewinanyofthesethreescenarios:
AtleasttwoBoardmembersadvocatetheremovalofanothermember
Agivenmemberaccumulatesatotalof3absencesinonesemester
Agivenmemberaccumulatesatotalof3absencesinonesemesterfromMandatoryBoardevents.
MandatoryBoardEventsincludes,butisnotlimitedto,WeeklyMeetingsandDirectorsMeetings.
Anyadditionaleventthatistobecategorizedasmandatorymustbesubjectedtoanadhocmajority
voteconductedbytheChairataWeeklyMeeting.[Legitimateexcusesthatwouldnotcounttowards
anabsenceforaBoardmembercorrespondwiththeacademicexcusepolicyofPenn.]

OnlyaBoardmemberwhoisoncampuscanhavehisorhermembershipcalledintoreview.

Thememberormembersinquestionshouldbeaskedtoleavetheroomafterhavingbeengiventhe
chancetoaddresstheBoard.Memberswhosemembershipsarenotunderreviewwillthendiscuss.
After,aconfidentialandanonymousmajorityvote(castonlybymembersoncampuswhose
membershipsarenotunderreview)willbeconductedtodeterminethestatusofeachBoardmemberin
question,i.e.whetherheorshewillremainontheBoard.Anyboardmemberwhoseremovalisbeing
votedonmaynotparticipateinanyvotesregardingremovalofanyBoardmemberatthatmeeting.The
removaliseffectiveasofthemomentofthevote.

Additionally,aBoardmembershallbeplacedupforreviewautomaticallyshouldapetitionthatmeets
ahurdlerateofsignaturesfromatleast2/3ofhisorherrespectiveclass.Thus,amemberoftheJunior
classisconsideredforremovalshouldhisorherclassaccumulateapetitionthatmeetsthiscriterion.
Thereviewprocessshallfollowthepreviousparagraph.

ArticleIII,SectionV:ReplacementofBoardmembers

Vacanciesmayarisefromearlygraduation,resignation,orremovalofBoardmembers.Thevacancy
mustbefilledwithintwoweeks,unlessthemajorityoftheclassinquestionisabroadatthetimeofthe
vacancy.SeniormembersneednotbereplacedbutmaybereplacedatthediscretionoftheBoard.
Theremustbeaminimumof2representativesfromtheseniorclassatalltimes.Ifthisconditionisnot
met,areplacementshouldbeselected.Allnonseniorclassvacanciesmustbereplaced.

ThereplacementofBoardmemberswilloccurbythefollowingprocess:
Forvacanciesinthefreshmanclass,electionsshallbeconductedthroughanapplicationandelection
processassimilaraspossibletothatoftheElectedRepresentatives.Theexactdetailsofthisprocess
willbedeterminedbythecurrentmembersoftheBoard.
Forvacanciesinthesophomoreclass,electionsshallbeconductedviaemail.Candidatesshallsubmit
acampaignstatementbyemailtotheBoardpriortotheelections.Thestatementswillbecompiledby
theBoardandforwardedtoallmembersoftheclass.Allmembersofthesophomoreclasswillthen
casttheirvotebyemail.JuniororseniormembersoftheBoardshallconducttheelection.Theelection
processshouldbeassimilaraspossibletothatoftheElectedRepresentatives.Theexactdetailsofthis
processwillbedeterminedbythecurrentmembersoftheBoard.
Forvacanciesinthejuniorandseniorclasses,currentBoardmembersaretoselectanew
representativefromtheclassinquestion,throughanapplicationandinterviewprocesssimilartothe
selectionprocessfortheAppointedRepresentatives.Theexactdetailsofthisprocesswillbe
determinedbythecurrentmembersoftheBoard.

ArticleIV:DutiesofMembers

MembersoftheBoardarerequiredtofulfillthefollowingduties:

Fulfilltheresponsibilitiesoftheeventsandinitiativesassignedtothematthestartoftheacademic
semester
KeepstudentsregularlyinformedofBoardeventsandinitiativesandactivelypromotethem
AttendBoardmeetings,Directorsmeetings,andBoardactivities
PostalldocumentsrelevanttoeventsandinitiativesontheHSABProjectDatabase
MaintainopencommunicationwiththeProgramsadministrativeandfacultydirectors
ReadtheminutesofBoardandDirectorsmeetings
ServeasliaisonsforactivitiesledbynonBoardmembers
OrganizetheSeniorGiftDriveduringtheirfourthyear
UpholdthespiritoftheBoardConstitution

ArticleV:Officers

ArticleV,SectionI:TheChair

TheonlyexecutivelevelpositionoftheBoardshallbethatoftheChair.TheChairstermwillbeginat
themomentofhisorherelection,andwillendatmomentoftheelectionofthenextChair.

ArticleV,SectionII:QualificationstoRunforChair

CandidatesforthepositionofChairmustbecurrentjuniorclassBoardmemberswhointendtobeon
campusforthedurationoftheirsenioryear,fromatleastSeptemberthroughMay.Ifnoeligiblejunior

classBoardmemberswishtorunforthisposition,membersofthenextmostseniorclasswhowillbe
oncampusforthedurationofthefollowingacademicyear(fromatleastSeptemberthroughMay)will
beeligibletorun.

ArticleV,SectionIII:ElectionoftheChair

TheelectionoftheChair,tobeconductedbythecurrentChair,willbeheldaftertheelectionofthe
ThirdElectedRepresentativefromthefreshmanclassandnolaterthanSpringFling.Candidatesfor
ChairmustsubmittothecurrentChairacandidacystatementdescribingtheirintenttorunbya
deadlinedecidedbythecurrentChair.ThecurrentChairwillmakethesestatementsavailabletoall
Boardmembers.AllcandidatesmustgiveacandidacyspeechtotheBoardattheelectionmeeting,
priortothevote.Theelectionshallbedeterminedbyasimplemajorityvotetakenbyfreshman,
sophomore,andnoncandidatejuniorclassBoardmembers.SeniorclassBoardmembersshouldbe
presentatthismeetingtoprovidecounsel,buttheywillnothavevotingpower.Membersabroadmay
voteviaemailafterreadingcandidacystatements.

IfthecurrentChairwishestoresignfromtheposition,heorshemustpresentawrittenletteraddressed
toallBoardmembersclearlyarticulatinghisorherintenttoresign.Theresignationiseffectiveasof
thepresentationofthislettertoallBoardmembers.

TheChairmayresignfromthepositionwithoutresigningfromtheBoard.

ArticleV,SectionVI:RemovaloftheChair

TheChairsstatusmustbecalledintoreviewifatleasttwoBoardmembersadvocatetheremovalof
theChair.

TheChairshouldbeaskedtoleavetheroomafterhavingbeengiventhechancetoaddresstheBoard.
Memberswillthendiscuss,andafter,aconfidentialandanonymoustwothirdsmajorityvotewillbe
conductedtodeterminethestatusoftheChair,i.e.whetherheorshewillkeepthepositionofChair.
Theremovaliseffectiveasofthemomentofthevote.

TheremovaloftheChairfromthepositiondoesnotconstituteremovalofhisorhermembership.

ArticleV,SectionVII:ReplacementoftheChair

Intheeventoftheincapacity,resignation,orremovaloftheChair,thelongesttenured,oncampus
BoardmemberwhowillnotseekthepositionofChairwillserveasactingChair.

Intheeventoftheincapacity,resignation,orremovaloftheChair,candidatesforthenewChairmust
besophomore,junior,orseniorclassBoardmemberswhointendtobeoncampusforthedurationof
theChairterm.TheelectionprocessshouldbeassimilaraspossibletothetypicalChairelections.

ArticleVI:Meetings

BoardmeetingsaretobeheldweeklyatatimeandlocationdecidedbytheChair.

ToconductaBoardmeeting,quorumshouldbemet.AquorumoftheBoardrequiresthepresenceof
atleastonehalfofallcurrentlyservingBoardmembersandtwothirdsofBoardmembersnotabroad.
AmeetingwithoutquorummaybeheldatthediscretionoftheChairhowever,nodecisionsrequiring
avotemaybemade.

DirectorsMeetingswiththeHuntsmanProgramadministrativeandfacultydirectorsaretobeheldat
leastonceduringeachschoolsemesterwhilepreferablyheldatleastonceamonth.Attendanceat
thesemeetingsisexpectedofallBoardmembers.Habitualabsencesfromthesemeetingswillbe
consideredifamembersmembershipisinreview.

ArticleVII:AmendmentstotheConstitution

ArticleVII,SectionI:AmendmentsbytheBoard
ExcludingcasesinwhichArticleVII,SectionIIapplies,amendmentstothisdocumentmustbe
presentedanddiscussedataBoardmeeting,andthenvoteduponnosoonerthanoneweekafterthe
initialdiscussion.AnyamendmentsthataremadetothisConstitutionwillrequireatwothirds
majorityvoteofallBoardmembers(includingthoseabroad)beforetakingeffect.

ArticleVII,SectionII:AmendmentsbymembersoftheHuntsmancommunity
InadditiontochangesproposedbymembersoftheBoard,amendmentstothisdocumentmaybe
proposedbyanycurrentstudentoftheHuntsmanProgram,providedtheyhaveatotalof10current
Huntsmanstudentssupportingthechange.Thissupportistobeprovenbyalistofsignatures.Oncean

amendmenthasbeenproposed,itistobeheldtoapopularvotebytheHuntsmanstudentcommunity,
administeredbytheBoard,inatimelyfashion.Foranamendmenttopass,itmustfulfillthefollowing
twocriteria:
Atleast75%ofmembersofeachofthefourclassesintheProgram(includingthoseabroad)
participateinthevote
Atleast2/3ofallstudentsvotingmustvoteinfavoroftheproposedamendment
Ifsuccessful,theamendmentwilltakeeffectassoonastheresultsofthepopularvoteareannounced.

PennsylvaniawasratifiedbymembersoftheHuntsmanStudentAdvisoryBoardonMonday,
