CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:


This Contract of Lease, made and entered into in the City of
________________, Philippines, by and between:
JOSEFINA R. GAITE, represented by attorney in fact ,Celia Gaite-Castillo,
Filipino, of legal age, a resident of 89 F.C. Santos Street B.F. Homes
Paranaque City, hereinafter referred to as the LESSOR;
and
PATERNO AMANDOG jR. Filipino, of legal age, and with postal address at
Lot 11 Block II
De asis Gen. T. de leon Valenzuela City,
LESSEE.

WITNESSETH
WHEREAS, the LESSOR is the registered owner of a parcel of land situated
at the Barrio of Pugad
by

Baboy Valenzuela City with an area of 4,364 sq m more or less as evidenced

WHEREAS, the LESSEE desires to lease a portion of said property more or


less One Thousand (1,000) square meters and LESSOR is willing to lease the same,
subject to the terms and conditions herein.
NOW THEREFORE, for and in consideration of the foregoing and mutual
covenants herein contained, the LESSOR has let and by these presents do hereby
let and lease unto the LESSEE the aforesaid property and the LESSEE hereby
accepts the same by way of lease, subject to the following term and conditions:
1.
Term of Lease: This lease shall be for a period of ten years, from
June 15, 2016 to June 15, 2026, renewable at the option of both parties;

Rental: The parties herein agree that the monthly rental of the
leased premises shall be Ten Thousand
(P10,000.00) PESOS. The
monthly rental shall be paid by way of twelve (12) post-dated checks to be
dated on the 15th day of each calendar month, starting June 15, 2016.
Failure of the LESSEE to pay two (2) months in rent shall cause the
cancellation or termination of this contract, upon which, the LESSEE shall
peacefully vacate the leased premises and turn over the possession of the
property to the LESSOR. The LESSEE shall make a deposit of two months

Water, Electricity, Telephone, etc.: All expenses for water, gas,
telephone, electric installations as well as the electric consumption and
other similar services on the leased premises, shall be for the account of
the LESSEE.
4.
Improvements:
Improvements made or introduced by the
LESSEE in the said premises shall become the property of the LESSOR
without any obligation of the LESSOR to pay or refund its value or cost.
Thereafter, all alterations or modifications in the leased premises shall be
with the written consent of the LESSOR. Upon the termination of this
contract, all improvements introduced to the leased property shall
automatically inure to the benefit of the LESSOR without any obligation to

pay for all expenses including necessary and useful expenses introduced
on the said premises.
5.
Care of Leased Premises: The LESSEE shall at his own expense,
keep and maintain the leased premises in a clean and sanitary condition
and shall promptly comply and execute all the safety regulations,
ordinances governing the use and occupancy of the property .

Repairs: The LESSOR hereby delivers the leased premises to the
LESSEE and warrants peaceful possession and enjoyment of the premises
to the LESSEE. All repairs which, may be necessary or useful for the
conservation and preservation of the property, necessary for the working
order of utility installations or fittings, especially those attributable to the
negligence of the LESSEE, its representatives, guests and/or servants,
shall be made and borne by the LESSEE; all other repairs, including but
not limited to plumbing, public service and utility charges, shall be made,
paid for and borne by the LESSEE.
7.
Prohibitions: The LESSEE shall not bring into or store in the
leased premises any highly combustible or flammable articles, or
prohibited drugs or any of its ingredients or derivatives thereof.
8.
Inspection of the Premises and LESSORs Right of Entry: The
LESSEE shall maintain the said premises in good repair and tenantable
condition for such purpose, the LESSOR, or his authorized agent, shall
have the right to enter and inspect the leased premises at reasonable
time. The LESSOR likewise agrees to cooperate with the LESSEE in
keeping the premises in good condition.
9.
Sublease and Transfer of Rights: The LESSEE shall not assign
or transfer its rights under this Contract nor sublease or sublet all or any
part of the leased premises.
10.
Taxes: Real Estate taxes on the land shall be for the account of the
LESSOR. However, all taxes on the improvements introduced on the
leased premises shall be for the account of the LESSEE.
11.
The LESSEE agrees to return and surrender the leased premises at
the expiration of the term of the lease in as good condition as reasonable,
wear and tear will permit, and without any delay whatsoever, unless the
lease has been renewed at the option of both parties.
12.
The LESSEE agrees that all the covenants and agreements herein
contained shall be deemed essential conditions hereof and that if default
or breach be made on any such conditions, the LESSOR shall have the
right to terminate and cancel this contract, whether judicially or extrajudicially, upon fifteen (15) day notice, delivered at the leased premises or
posted on the main door thereof. Upon such termination or cancellation,
the LESSOR may forthwith lock the premises, and exclude the LESSEE
therefrom, without incurring any civil or criminal liability.

13.
The LESSEE agrees that any legal action arising from this
agreement shall be brought before the courts of competent jurisdiction in
Valenzuela City.
14.
Should the LESSOR be compelled to seek judicial relief against the
LESSEE, the latter shall, in addition to any other damages that may be
awarded to the LESSOR, pay an amount equivalent to 20% of the amount
claimed in the complaint as and by way of Attorneys Fees , with a
minimum of P50,000.00, aside from the costs of the litigation and other
expenses which the law may entitle the LESSOR to recover from the
LESSEE.
15.
In all cases where this contract is terminated or cancelled, whether
judicially or extra-judicially by reason of any default or breach committed
by the LESSEE, the said LESSEE shall be fully liable to the LESSOR for
the rentals corresponding to the remaining term of the lease, as well as
for any and all damages, actual or consequential, resulting from such
default and termination of this contract, the LESSOR is hereby authorized,
as attorney-in-fact of the LESSEE, to sell at public or private sale, without
notice to the LESSEE, any and all goods, merchandise, appliances,
furniture, fixtures and equipment located at the leased premises and to
apply the proceeds of such sale to any damages and outstanding
obligations of the LESSEE under this contract.
