This Appointment shall apply ony tothe folowing enumerated transactions and nothing herein ori the Agreement shall be constued tothe contrary: 41. The modification or re-recording ofa Mortgage or Deed of Trust, where sald modification or re-ecording is solely forthe purpose of corecting the Mortgage or Deed of Trust to conform same to the orignal intent of the partes thereto oro correct tile erors discovered after such tie insurance was issued; provided that (j said modification or re-recording nether instance, does not adversely alec helen ofthe Molgage or Deed of Trust as insured and (i) otherwise conforms tothe provisions of the Agreement. 2 The subordination ofthe lien of a Mortgage or Deed of Trust to an easement in favor of a public uty company of a government agency or unit with powers of eminent domain; this section shal include, without limitation, the execution of partial safsfacionsleleases, partial reconveyances or the execution of requests. to tustees to accomplish same. 3. The conveyance of the properties tothe mortgage insurer, or the closing ofthe tie to the property to be acquired as rel estate owned, or conveyance of ie o realestate owned, 4. Nothing contained herein shall ()imitin any manner any indemnification provided by the Servicer to the Trustee under the ‘Agreement, or (i) be construed to grant the Servicer the power to itate or defend any suit, tigaton or proceeding in the name ‘of Deutsche Bank National Trust Company except as specifically provided for herein. Ifthe Servicer receives any notice of sul, itigation or proceeding in the name of Deutsche Bank National Trust Company then the Servicer shall romply forward a copy of same tothe Trustee ‘This limited power of ttomey isnot intended fo extend the powers granted tothe Servicer under the Agreement ort allow the Servicer to take any action wit respect to Mortgages, Deeds of Trust or Mortgage Notes not authorized by the Agreement. ‘The Servicer hereby agrees to indemnify and hold the Trustee and its directors, ofcers, employees and agents harmless fom and against any and al abies, oblgations, iosses, damages, penalties, aon, judgments, suits, cost, expenses or
