formed for some common purpose.

DEFINITION
“ According to companies act 1956,company
is a voluntary incorporated association which is an
artificial person created by law with limited liability
having a common seal and perpectual succession”.
MGT OF THE AFFAIRS OF THE COMPANY

Share holders are the real owners of the


company.
But all of them cannot control and look after the day
to day activities of the company. Therefore they
elect representatives from them ,they are
individually called directors.Collectively
they form a board which is known as Board of
Directors.
DIRECTORS

The person, through whom a company acts and


does its business, are termed as directors.They occupy a
vital position in the structure of joint stock
companies.They are collectively known as Directors.
Every public company, shall have at
least three directors and every other company shall have
at least two directors. The maximum permissible limit
of directors are twelve. Any increase in number of
directors beyond the limit requires central govts
approval.
