 Motion:
The question which generally come for
consideration at the general meeting are
presented in the form of proposals.
 Resolution:
If a motion is carried it becomes resolution.
Kinds of Resolutions

 Ordinary Resolution
 Special Resolution
 Resolutions requiring a special notice
Ordinary Resolution

 Passed at General Meeting by a simple


majority of votes.
 When is an Ordinary Resolution required?
Special Resolution

 Intention to propose resolution as a special


resolution
 Notice has been duly given of the general
meeting
 Votes cast in favor of resolution
 An explanatory statement should be annexed
to the notice of meeting
Resolutions requiring a special notice

 It is not an independent class of resolutions


 Notice of the intention to move a resolution
has to be given to the company by the
proposer.
Voting & Poll

 The motion proposed in a general meeting


of a company are decided on the votes of
the members of the company.
 The voting may be:
1. By a show of hands
2. BY taking a poll
Voting by a show of hands:

 Motions put to vote in first instance are


decided by show of hand.
 Proxies cannot be used on a show of hands.
Voting by Poll:

 Before or on the declaration of the result of


voting on show of hands, a poll may be taken
by chairman of his own accord.
 Conditions for executing Poll.
