CONTRACT FOR WAREHOUSE

RECITALS ‫اﻟﺤﻴﺜﻴﺎت‬

It is hereby agreed by and between the Lessor ‫ﺗﻢ اﻻﺗﻔﺎق ﺑﻴﻦ اﻟﻤﺆﺟﺮ واﻟﻤﺴﺘﺄﺟﺮ ﻋﻠﻰ أن ﺗﻘﺮأ اﻟﺸﺮوط واﻷﺣﻜﺎم اﻟﺘﺎﻟﻴ ﺔ ﻣ ﻊ‬
and Lessee the following terms and conditions, to .‫اﻟﺒﻴﺎﻧﺎت اﻟﻮاردة ﻓﻲ اﻟﺠﺰء )أ( ﻣﻦ ﻋﻘﺪ اﻹﻳﺠﺎر‬
be read in conjunction with the Particulars
contained in Part A of this Lease Contract:
The Lessor has leased to the Lessee and the ‫أﺟﺮ اﻟﻤﺆﺟﺮ ﻟﻠﻤﺴﺘﺄﺟﺮ وﻗﺒﻞ اﻟﻤﺴﺘﺄﺟﺮ اﺳﺘﺌﺠﺎر اﻟﻌﻘﺎر اﻟﻤﻮﺻﻮف ﺁﻧﻔﺎ ﻣ ﻦ‬
Lessee accepts its occupation in the Leased ، ‫اﻟﻤﺆﺟﺮ وﻓﻘﺎ ﻟﻠﺸﺮوط واﻻﺣﻜﺎم اﻟﻤﺪرﺟﺔ أدﻧﺎﻩ‬
Property as Lessee according to the terms and
conditions, specified hereunder:-
1. Lease Objectives : :‫ﻏﺮض اﻻﻳﺠﺎر‬ .1
As referred to in Part (A): Particulars .‫وﻓﻘ ًﺎ ﻟﻤﺎ هﻮ ﻣﺒﻴﻦ ﻓﻲ اﻟﺠﺰء ) أ ( اﻟﺨﺎص ﺑﺎﻟﺒﻴﺎﻧﺎت‬
2. Contract Period : : ‫ﻣﺪة اﻟﻌﻘﺪ‬ .2

Contract Period as stated in Part A (Particulars), ‫ﺗﺒﺪأ ﻣﺪة اﻟﻌﻘﺪ اﻟﻤﺤﺪدة ﻓﻲ اﻟﺠﺰء )أ( اﻟﺨﺎص ﺑﺎﻟﺒﻴﺎﻧ ﺎت ﻣ ﻦ ﺗ ﺎرﻳﺦ ه ﺬا اﻟﻌﻘ ﺪ‬
commences from the date of this Contract, (‘the .(‫)ﺗﺎرﻳﺦ ﺳﺮﻳﺎن اﻟﻌﻘﺪ‬
effective date’).
3. Terms of Payment :‫ﺷﺮوط اﻟﺪﻓﻊ‬ .3

The total Annual Rent Amount as stated in Part A ‫ﻳﺘﻢ دﻓﻊ ﺑﺪل اﻻﻳﺠﺎر اﻟﺴﻨﻮي اﻟﻤﺤﺪد ﻓ ﻲ اﻟﺠ ﺰء )أ( اﻟﺨ ﺎص ﺑﺎﻟﺒﻴﺎﻧ ﺎت ﻣﻘ ﺪﻣﺎ‬
(Particulars) shall be paid in one lot in advance ‫ ﺛﻢ ﻳﺪﻓﻊ ﺑﻌ ﺪ ذﻟ ﻚ ﻓ ﻲ ﺑﺪاﻳ ﺔ اﻟﻴ ﻮم اﻷول ﻣ ﻦ آ ﻞ‬,‫دﻓﻌﺔ واﺣﺪة ﻋﻨﺪ ﺗﻮﻗﻴﻊ اﻟﻌﻘ ِﺪ‬
upon signing the Contract, and thereafter at the .‫ﺳﻨﺔ ﺗﻌﺎﻗﺪﻳﺔ‬
beginning of the First day of each contractual
year.
4. Rent Incremental : ‫ زﻳﺎدة ﺑﺪل اﻹﻳﺠﺎر‬.4
The Annual Rent Amount (as mentioned in ‫ أﻋ ﻼﻩ(آ ﻞ ﺳ ﻨﺘﻴﻦ ﻣ ﻦ‬3 ‫ ﻳ ﺘﻢ ﻣﺮاﺟﻌ ﺔ ﺑ ﺪل اﻻﻳﺠ ﺎر )اﻟ ﻮارد ﻓ ﻲ اﻟﻔﻘ ﺮة‬.
paragraph 3 above), shall be subject to review ‫ﺗﺎرﻳﺨﻪ وﺗﺤﺪﻳ ﺪا ﻗﺒ ﻞ ﺷ ﻬﺮﻳﻦ ﻣ ﻦ اﻧﺘﻬ ﺎء اﻟﺴ ﻨﺔ اﻟﺜﺎﻧﻴ ﺔ وﻓﻘ ًﺎ ﻷﺳ ﻌﺎر اﻟﺴ ﻮق‬
every two (2) years from the effective date, and .‫اﻟﺴﺎﺋﺪة‬
more specifically two (2) months before the end
of each two year from the effective date, as per
the prevailing market value
5. Covenants of the Lessee: :‫ﺗﻌﻬﺪات اﻟﻤﺴﺘﺄﺟﺮ‬ .5

The Lessee hereby covenants to the Lessor for ‫ﻳﺘﻌﻬﺪ اﻟﻤﺴﺘﺄﺟﺮ ﺑﻤﻮﺟﺐ هﺬا اﻟﻌﻘﺪ ﺑﺎﻷﺻﺎﻟﺔ ﻋﻦ ﻧﻔﺴﺔ وﻋ ﻦ ﺧﻠﻔﺎﺋ ﻪ واﻟﻤﺤ ﺎل‬
itself, its successors in title and assigns that the ‫إﻟﻴﻬﻢ ﺑﺄن ﺗﺴﺘﻤﺮ اﻹﻟﺘﺰاﻣﺎت اﻟﻮاردة ﻓﻲ هﺬا اﻟﻌﻘﺪ ﺧﻼل ﻣﺪة اﻟﻌﻘﺪ ﻋﻠ ﻰ اﻟﻨﺤ ﻮ‬
obligations herein shall continue throughout the :‫اﻟﺘﺎﻟﻲ‬
Period as follows:
5-1 To pay the said Annual Rent Amount and ‫ دﻓﻊ ﺑﺪل اﻹﻳﺠﺎر اﻟﺴﻨﻮي وﺗﻜﺎﻟﻴﻒ اﻟﺼﻴﺎﻧﺔ اﻟﺴﻨﻮﻳﺔ وﻓﻘ ًﺎ ﻟﺸ ﺮوط اﻟ ﺪﻓﻊ‬1-5
yearly maintenance charges in accordance with .‫اﻟﻮاردة ﻓﻲ اﻟﺠﺰء )أ( اﻟﺨﺎص ﺑﺎﻟﺒﻴﺎﻧﺎت دون أﻳﺔ إﺳﺘﻘﻄﺎﻋﺎت‬
the Terms of Payment mentioned in Part A
(Particulars) free from any/all deductions.
5-2 To bear, pay, and fulfill all rates, taxes, ‫ أن ﻳﺘﺤﻤﻞ وﻳﺪﻓﻊ ﺟﻤﻴﻊ اﻷﻋﺒﺎء واﻟﺮﺳﻮم واﻟﻀﺮاﺋﺐ وإﺳﺘﻬﻼك اﻟﻜﻬﺮﺑﺎء‬2-5
assessments, duties, charges, electricity charges, ‫وﺗﻜﺎﻟﻴﻒ اﻟﺨﺪﻣﺎت اﻟﻌﺎﻣﺔ واﻟﻤﺮاﻓﻖ اﻟﺘﻲ ﻳ ﺘﻢ ﻓﺮﺿ ﻬﺎ أو اﻟﻤﺘﻮﺟﺒ ﺔ اﻟ ﺪﻓﻊ ﻓﻴﻤ ﺎ‬
charges for all common services and utilities etc ‫ﻳﺘﻌﻠ ﻖ ﺑﺎﻟﻤ ﺄﺟﻮر أو ﺗﻠ ﻚ اﻟﺘ ﻲ ﺗﻔ ﺮض ﻋﻠ ﻰ اﻟﻤ ﺆﺟﺮ أو اﻟﻤﺴ ﺘﺄﺟﺮ أو ﺷ ﺎﻏﻞ‬
assessed or imposed upon or payable in respect of . ‫اﻟﻤﺄﺟﻮر‬

the Leased Property or imposed upon the
‘Lessor’, the ‘Lessee’ or ‘Occupant’.

5-3 If the yearly lease rent of the Leased Property ‫ إذا ﻟﻢ ﻳﻘﻢ اﻟﻤﺴﺘﺄﺟﺮ ﺑﺪﻓﻊ ﺑﺪل اﻹﻳﺠﺎر اﻟﺴﻨﻮي أو اﻟﻤﺼ ﺮوﻓﺎت اﻟﻤﺘﻌﻠﻘ ﺔ‬3 -5
or any other charges pertaining thereto is not paid ‫ )أﻟ ﻒ( دره ﻢ‬1000 ‫ﺑﺎﻟﻌﻘ ﺎر اﻟﻤﺴ ﺘﺄﺟﺮ ﻓ ﻲ اﻟﻤﻮﻋ ﺪ اﻟﻤﺤ ﺪد ﻳﺤﺘﺴ ﺐ ﻣﺒﻠ ﻎ‬
on the due date, the amount of AED 1,000 (One ‫ وﻟﻬ ﺬا اﻟﻐ ﺮض ﻳﻌﺘﺒ ﺮ آﺴ ﺮ اﻟﺸ ﻬﺮ‬،‫ﺷﻬﺮﻳ ًﺎ آﻐﺮاﻣﺔ ﺗﺄﺧﻴﺮ وﻓﻘ ًﺎ ﻟﺨﻴﺎر اﻟﻤ ﺆﺟﺮ‬
Thousand Dirhams) per month shall be charged .‫ﻼ‬
ً ‫ﺷﻬﺮًا آﺎﻣ‬
as a delay penalty at the option of the Lessor. For
these purposes delay for a part of the month shall
be construed as full month.
5-4 To bear and pay for the installation and rent ‫ أن ﻳﺘﺤﻤ ﻞ وﻳ ﺪﻓﻊ ﺗﻜ ﺎﻟﻴﻒ ﺗﺮآﻴ ﺐ وإﻳﺠ ﺎر ﻋ ﺪاد ﻣﻴ ﺎﻩ ﻣﻨﻔﺼ ﻞ أﻳﻨﻤ ﺎ آ ﺎن‬4-5
of the separate water meter where necessary in ‫ﺿ ﺮورﻳﺎ ﻓ ﻲ اﻟﻤ ﺄﺟﻮر وآ ﺬﻟﻚ ﻣﺼ ﺎرﻳﻒ اﺳ ﺘﻬﻼك اﻟﻤ ﺎء واﻟﻜﻬﺮﺑ ﺎء وﺟﻤﻴ ﻊ‬
the Leased Property, electricity and water from ‫ﻧﻔﻘﺎت اﻻﺗﺼﺎﻻت‬
the mains consumed on or supply to the Leased
Property, and for all telecommunication charges.

5-5 In the event that the Lease is terminated at the ‫( ﺳ ﻨﻮات‬3) ‫ ﻓ ﻲ ﺣ ﺎل إﻧﻬ ﺎء اﻟﻌﻘ ﺪ وﻓﻘ ًﺎ ﻟﺨﻴ ﺎر اﻟﻤﺴ ﺘﺄﺟﺮ ﺧ ﻼل اﻟﺜﻼﺛ ﺔ‬5-5
option of the Lessee within the First Three (3) ‫( اﺷ ﻬﺮ‬3) ‫ ﻳﻠﺘ ﺰم اﻟﻤﺴ ﺘﺄﺟﺮ ﺑ ﺪﻓﻊ ﺑ ﺪل اﻹﻳﺠ ﺎر ﻋ ﻦ ﺛﻼﺛ ﺔ‬،‫اﻷوﻟ ﻰ ﻣ ﻦ اﻟﻌﻘ ﺪ‬
years of the contract, the Lessee shall be liable .‫آﻐﺮاﻣﺔ‬
for Three (3) months lease rent as penalty.

5-6 The Lessee shall neither sub-lease, nor assign ‫ ﻻ ﻳﺠ ﻮز ﻟﻠﻤﺴ ﺘﺄﺟﺮ ﺗ ﺄﺟﻴﺮ اﻟﻌﻘ ﺎر أو اﻟﺘﻨ ﺎزل أو ﺗﺨﺼ ﻴﺺ أي ﺟ ﺰء ﻣﻨ ﻪ‬6-5
the Leased Property or any part thereof to any ‫ﻟﻐﻴﺮﻩ ﻣ ﻦ اﻟﺒ ﺎﻃﻦ آﻤ ﺎ ﻻ ﻳﺠ ﻮز ﻟ ﻪ اﺷ ﺮاك أي ﺷ ﺨﺺ ﻃﺒﻴﻌ ﻲ أو ﻣﻌﻨ ﻮي ﻓ ﻲ‬
third party, nor shall share the Leased Property, .‫اﺷﻐﺎل اﻟﻌﻘﺎر أو اﻟﺴﻤﺎح ﻟﻪ ﺑﺬﻟﻚ ﺑﺪون ﻣﻮاﻓﻘﺔ ﺧﻄﻴﻪ ﻣﺴﺒﻘﺔ ﻣﻦ اﻟﻤﺆﺟﺮ‬
in whole or in part, with any natural or corporate
person, or permit any of the aforesaid to occupy
the Leased Property without a prior written
consent of the Lessor.
5-7 To maintain in good and condition the ‫ اﻟﻤﺤﺎﻓﻈ ﺔ ﻋﻠ ﻰ اﻟﺸ ﻜﻞ اﻟ ﺪاﺧﻠﻲ ﻟﻠﻤ ﺄﺟﻮر وﻋﻠ ﻰ اﻟﺘﺮآﻴﺒ ﺎت اﻟﺨﺎﺻ ﺔ‬7-5
interior of the Leased Property and the Lessor's ‫ وان‬, ‫ﺑﺎﻟﻤﺆﺟﺮ اﻟﻘﺎﺋﻤ ﺔ أو اﻟﻤﻮﺟ ﻮدة ﺑ ﻪ ﻓ ﻲ ﺣﺎﻟ ﺔ ﺟﻴ ﺪة وﺻ ﺎﻟﺤﺔ ﻟﻼﺳ ﺘﻌﻤﺎل‬
fixtures therein and to properly repair or replace ‫ﻳﻘ ﻮم ﺑﺎﺳ ﺘﺒﺪال اﻟﻤﺴ ﺘﻬﻠﻜﺔ واﻟﺘﺎﻟﻔ ﺔ وﻏﻴ ﺮ اﻟﺼ ﺎﻟﺤﺔ ﻟﻼﺳ ﺘﻌﻤﺎل واﻟﻤﻔﻘ ﻮدة‬
such of them as may become worn out, lost, unfit . ‫ﺑﺘﺮآﻴﺒﺎت أﺧﺮى ﻣﻤﺎﺛﻠﺔ‬
for use or destroyed.
5-8 Not to make or carry out or allow to be made ‫ ﻋ ﺪم اﻟﻘﻴ ﺎم أو اﻟﺴ ﻤﺎح ﺑﺎﻟﻘﻴ ﺎم ﺑﺄﻳ ﺔ ﺗﻐﻴ ﺮات أو إﺿ ﺎﻓﺎت ﻣﻬﻤ ﺎ آﺎﻧ ﺖ‬8-5
or carried out any alteration or addition . ‫ﻟﻠﻤﺄﺟﻮر دون اﻟﺤﺼﻮل ﻣﺴﺒﻘ ًﺎ ﻋﻠﻰ ﻣﻮاﻓﻘﺔ وﻣﺼﺎدﻗﺔ اﻟﻤﺆﺟﺮ اﻟﺨﻄﻴﺔ‬
whatsoever to the Demised Premises without the
prior written consent and approval of the Lessor.
5-9 The Lessee shall at the expiration or sooner ‫ ﻳﻠﺘﺰم اﻟﻤﺴﺘﺄﺟﺮ ﻋﻨﺪ إﻧﺘﻬﺎء ﻣﺪة هﺬا اﻟﻌﻘﺪ أو إﻧﻬﺎءﻩ ﻗﺒﻞ ﻣﻮﻋﺪﻩ اﻟﻤﺤ ﺪد‬9-5
determination of the Lease Contract peacefully ‫ أﻳ ﺔ‬،‫ وﻓﻘ ًﺎ ﻟﺨﻴ ﺎر اﻟﻤ ﺆﺟﺮ‬، ‫ﻼ‬
ً ‫ﺑﺘﺴ ﻠﻴﻢ اﻟﻌﻘ ﺎر ﻟﻠﻤ ﺆﺟﺮ ﺑ ﺎﻟﻄﺮق اﻟﺴ ﻠﻤﻴﺔ ﺷ ﺎﻣ‬
handover the Leased property including at the ‫إﺿ ﺎﻓﺎت ﻋﻠ ﻰ اﻟﻌﻘ ﺎر اﻟﻤﺴ ﺘﺄﺟﺮ وﻏﻴﺮه ﺎ ﻣ ﻦ اﻟﺘﺤﺴ ﻴﻨﺎت اﻟﺘ ﻲ أدﺧﻠ ﺖ ﻋﻠ ﻰ‬
option of the Lessee, any additions to the Leased ‫اﻟﻌﻘﺎر إﻻ إذا ﻃﻠﺐ اﻟﻤﺆﺟﺮ ﻗﻴﺎم اﻟﻤﺴ ﺘﺄﺟﺮ وﻋﻠ ﻰ ﻧﻔﻘ ﺔ اﻟﻤﺴ ﺘﺄﺟﺮ ﺑﺈزاﻟ ﺔ آﺎﻓ ﺔ‬
Property and all other improvements thereto ‫اﻹﺿ ﺎﻓﺎت ﻋﻠ ﻰ اﻟﻌﻘ ﺎر اﻟﻤﺴ ﺘﺄﺟﺮ وﻏﻴﺮه ﺎ ﻣ ﻦ اﻟﺘﺤﺴ ﻴﻨﺎت اﻟﺘ ﻲ أدﺧﻠ ﺖ ﻋﻠ ﻰ‬
except if the Lessor opts to require the demolition .‫اﻟﻌﻘﺎر دون إﺣﺪاث أﺿﺮار ﻣﺎدﻳﺔ ﺑﺎﻟﻌﻘﺎر اﻟﻤﺴﺘﺄﺟﺮ‬
of the additions to the Leased Property and all
other improvements. The demolition shall be
without material injury to the Leased Property
and at the expense of the Lessee.
5-10 To use the Leased Property exclusively and ‫ اﺳﺘﺨﺪام اﻟﻤﺄﺟﻮر ﺣﺼﺮﻳ ًﺎ ﻟﻸﻏﺮاض اﻟﻤﺸ ﺎر اﻟﻴﻬ ﺎ ﻓ ﻲ ﺟ ﺰء اﻟﺒﻴﺎﻧ ﺎت‬10-5
strictly as per the objects aforementioned in .‫)أ( ﻓﻘﻂ‬
Particulars (A).

5-11 Not to use the Leased Property or permit the ‫ ﻋﺪم اﺳﺘﻌﻤﺎل اﻟﻤﺄﺟﻮر أو اﻟﺴﻤﺎح ﺑﺎﺳﺘﻌﻤﺎﻟﻪ ﻷي ﻏﺮض أو ﺑﺄي ﺷ ﻜﻞ‬11-5
same to be used for any purpose or in any manner .‫ﻗﺪ ﻳﻀﺮ ﺑﺎﻟﻤﺄﺟﻮر إﻻ ﺑﻤﻮاﻓﻘﺔ اﻟﻤﺆﺟﺮ اﻟﺨﻄﻴﺔ اﻟﻤﺴﺒﻘﺔ‬
which may be injurious to the Leased Property,
except with prior written approval in writing by
the Lessor.

5-12 Ensure that all waste of whatsoever nature is ‫ ﺿ ﻤﺎن ﻣﻌﺎﻟﺠ ﺔ ﺟﻤﻴ ﻊ اﻟﻨﻔﺎﻳ ﺎت ﻣ ﻦ أي ﻃﺒﻴﻌ ﺔ آﺎﻧ ﺖ واﻟ ﺘﺨﻠﺺ ﻣﻨﻬ ﺎ‬12-5
safely and properly disposed. .‫ﺑﺼﻮرة ﺁﻣﻨﺔ وﻣﻨﺎﺳﺒﺔ‬

5-13 During the duration of the Lease Contract, ‫ ﻳﻘﻮم اﻟﻤﺴﺘﺄﺟﺮ أﺛﻨﺎء ﺳﺮﻳﺎن ﻋﻘﺪ اﻹﻳﺠﺎر ﺑﺈﺟﺮاء اﻟﺘﺄﻣﻴﻦ ﻋﻠﻰ اﻟﻌﻘ ﺎر‬13-5
the Lessee shall insure and keep insured every ‫اﻟﻤﺴﺘﺄﺟﺮ واﻷﺷﻴﺎء اﻟﺘﻲ ﻳﻤﻜﻦ إﺟﺮاء اﻟﺘ ﺄﻣﻴﻦ ﻋﻠﻴﻬ ﺎ ﺑﻤ ﺎ ﻓ ﻲ ذﻟ ﻚ اﻟﺘﺠﻬﻴ ﺰات‬
item of an insurable nature thereon including all ‫واﻟﺘﺮآﻴﺒﺎت ﻟﺪى أﺣﺪ ﺷﺮآﺎت اﻟﺘﺄﻣﻴﻦ اﻟﺘﻲ ﻳﻮاﻓﻖ ﻋﻠﻴﻬﺎ اﻟﻤﺆﺟﺮ ﺿ ﺪ اﻟﺨﺴ ﺎﺋﺮ‬
fixtures and fittings with an insurance company ‫واﻷﺿ ﺮار اﻟﻨﺎﺟﻤ ﺔ ﻋ ﻦ اﻟﺤﺮاﺋ ﻖ واﻟﻤﺨ ﺎﻃﺮ اﻷﺧ ﺮى اﻟﺘ ﻲ ﻳﺮاه ﺎ اﻟﻤ ﺆﺟﺮ‬
acceptable to the Lessor against any loss or ‫ ﻳ ﻮﻓﺮ اﻟﻤﺴ ﺘﺄﺟﺮ وﺛﻴﻘ ﺔ‬.‫ﺿﺮورﻳﺔ ﺑﻤﺒﻠﻎ ﻣﺴﺎوﻳ ًﺎ ﻟﺘﻜﻠﻔﺔ إﻋﺎدة اﻟﺒﻨ ﺎء واﻹﺣ ﻼل‬
damage by fire and such other risks as the Lessor ‫ﺗ ﺄﻣﻴﻦ اﻟﻤﺴ ﺆوﻟﻴﺔ اﻟﻤﺪﻧﻴ ﺔ اﻟﺸ ﺎﻣﻠﺔ ﺿ ﺪ اﻟﺨﺴ ﺎﺋﺮ أو اﻟﻤﺴ ﺆوﻟﻴﺔ اﻟﻨﺎﺟﻤ ﺔ أو‬
may deem necessary in a sum equal to the cost of ‫اﻟﻤﺘﻌﻠﻘﺔ ﺑﺸﻐﻞ وإﺳﺘﺨﺪام اﻟﻤﺴﺘﺄﺟﺮ ﻟﻠﻌﻘﺎر ﺑﺤﺪ واﺣﺪ ﺟ ﺎﻣﻊ ﻟﻜ ﻞ ﺣﺎدﺛ ﺔ ﺑﻤﺒﻠ ﻎ‬
reinstating and replacing the same. The Lessee .‫ﻳﺘﻔﻖ ﻋﻠﻴﻪ اﻟﻤﺆﺟﺮ واﻟﻤﺴﺘﺄﺟﺮ ﺑﺎﻟﻨﺴﺒﺔ ﻟﻠﺨﺴﺎﺋﺮ اﻟﺘﻲ ﻳﺘﻜﺒﺪهﺎ اﻟﻤﺆﺟﺮ‬
shall secure a broad form Comprehensive
coverage policy of public liability insurance

5-14. The Lessee shall strictly observe and abide ‫ ﻳﻠﺘ ﺰم اﻟﻤﺴ ﺘﺄﺟﺮ ﺑﻤﺮاﻋ ﺎة اﻟﻘ ﻮاﻧﻴﻦ واﻷﻧﻈﻤ ﺔ اﻟﺘ ﻲ ﻳﻀ ﻌﻬﺎ اﻟﻤ ﺆﺟﺮ‬14 -5
by all applicable rules and regulations laid down ‫ﻟﺴ ﻼﻣﺔ وﺣﻤﺎﻳ ﺔ اﻟﻌﻘ ﺎر واﻟﺘﺄآ ﺪ ﻣ ﻦ إﻣﺘﺜ ﺎل ﻣﻮﻇﻔﻴ ﻪ وزوارﻩ ﻟﻬ ﺬﻩ اﻟﻘ ﻮاﻧﻴﻦ‬
by the Lessor for the security and better ‫ وإﺑ ﺮاء ذﻣ ﺔ اﻟﻤﺴ ﺘﺄﺟﺮ ﻣ ﻦ أﻳ ﺔ ﻣﻨﺎزﻋ ﺎت ﺗﺘﻌﻠ ﻖ ﺑﺸ ﻐﻞ اﻟﻤﺴ ﺘﺄﺟﺮ‬،‫واﻷﻧﻈﻤ ﺔ‬
protection of the Leased Property and also to .‫ﻟﻠﻌﻘﺎر اﻟﻤﺴﺘﺄﺟﺮ‬
ensure that the employees of the Lessee and its
visitors to the Leased Property shall also strictly
observe and abide by the same and shall keep the
Lessor free and harmless from any disputes and
interruptions pertaining to its occupation over the
Leased Property.

5-15 The Lessee shall render free and harmless ‫ ﻳﺨﻠ ﻲ اﻟﻤﺴ ﺘﺄﺟﺮ اﻟﻤ ﺆﺟﺮ ﻣ ﻦ اﻟﻤﺴ ﺆوﻟﻴﺔ ﺗﺠ ﺎﻩ أﻳ ﻪ إﻟﺘﺰاﻣ ﺎت أو‬15-5
from any liabilities, claims, actions or ‫ﻣﻄﺎﻟﺒ ﺎت أو دﻋ ﺎوي إﺟ ﺮاءات ﻗﺎﻧﻮﻧﻴ ﺔ ﻣﻘﺪﻣ ﺔ أو ﻳ ﺘﻢ ﺗﻘ ﺪﻳﻤﻬﺎ ﻣ ﻦ ﻗﺒ ﻞ اﻟﻐﻴ ﺮ‬
proceedings filed or to be filed by a third person ‫ ﻋﻤﺎﻟ ﻪ اﻟﻤﻘﻴﻤ ﻴﻦ ﻓ ﻲ اﻟﻌﻘ ﺎر‬/‫واﻟﻨﺎﺷﺌﺔ ﻋﻦ أو اﻟﻤﺘﻌﻠﻘﺔ ﺑﻔﻌ ﻞ أو ﺗ ﺮك ﻣﻮﻇﻔﻴ ﻪ‬
arising from or in connection with the acts or .‫اﻟﻤﺴﺘﺄﺟﺮ وﻳﺸﻤﻞ ذﻟﻚ زوارﻩ‬
omissions of its employees/workers residing in
the Leased Property including their visitors.

5-16 The Lessee shall comply with all applicable / ‫ ﻳﻠﺘﺰم اﻟﻤﺴﺘﺄﺟﺮ ﺑﻤﺮاﻋﺎة اﻟﻘﻮاﻧﻴﻦ واﻻﻧﻈﻤﺔ اﻟﺴﺎرﻳﺔ ﻓﻲ راس اﻟﺨﻴﻤﺔ‬16-5
laws and regulations of Ras Al Khaimah, UAE . ‫دوﻟﺔ اﻻﻣﺎرات اﻟﻌﺮﺑﻴﺔ وأﻳﺔ ﺗﻌﺪﻳﻼت ﻗﺪ ﺗﻄﺮأ ﻋﻠﻴﻬﺎ‬
and any amendment thereto.

6. Rights of the Lessor : :‫ﺣﻘﻮق اﻟﻤﺆﺟﺮ‬ .6

6.1 The Lessor or its representative(s) may enter ‫ ﻳﺤﻖ ﻟﻠﻤﺆﺟﺮ أو ﻣﻦ ﻳﻤﺜﻠﻪ اﻟﺪﺧﻮل اﻟﻰ اﻟﻌﻘﺎر ﺑﻘﺼﺪ ﻓﺤﺼﻪ وﻣﻌﺎﻳﻨﺘﻪ ﻓ ﻲ‬1-6
into the Leased Property for inspection purposes ‫ﺟﻤﻴ ﻊ اﻻوﻗ ﺎت اﻟﻤﻨﺎﺳ ﺒﺔ واﻟﻤﻌﻘﻮﻟ ﻪ ﺧ ﻼل ﻣ ﺪة اﻟﻌﻘ ﺪ َﻣ ﻊ اﻹﻋ ﻼم اﻟﺨﻄ ﻲ‬
at all reasonable times during the Contract ‫اﻟﻤﺴﺒّﻖ إﻟ ﻰ اﻟﻤﺴ ﺘﺄﺟﺮ ﻏﻴ ﺮ أﻧ ﻪ ﻳﺤ ﻖ ﻟﻠﻤ ﺆﺟﺮ وﻣﻮﻇﻔﻴ ﻪ اﻟ ﺪﺧﻮل إﻟ ﻰ اﻟﻌﻘ ﺎر‬

validity with a prior written intimation to Lessee.
However, in the event of any emergency and if
required, the Lessor and its personnel shall have
the right of free entry on and across the Leased
Property at anytime without prior written
intimation.

6.2 In the event of early termination of the lease ‫( أﺷﻬﺮ إﻟ ﻰ اﻟﻤ ﺆﺟﺮ‬6) ‫ ﻳﻠﺘﺰم اﻟﻤﺴﺘﺄﺟﺮ ﺑﺘﻮﺟﻴﻪ إﺷﻌﺎر ﻣﺴﺒﻖ ﻣﺪﺗﻪ ﺳﺘﺔ‬2-6
at Lessee’s option, the Lessee shall serve the .‫ﻓﻲ ﺣﺎل رﻏﺒﺔ اﻟﻤﺴﺘﺄﺟﺮ ﻓﻲ إﻧﻬﺎء هﺬا اﻟﻌﻘﺪ ﻗﺒﻞ ﻣﻮﻋﺪﻩ اﻟﻤﺤﺪد‬
Lessor with a six (6) months prior notice.
6.3 In the event the Lessee shall commit a breach ‫ وﻓﻲ ﺣ ﺎل اﺧ ﻼل اﻟﻤﺴ ﺘﺄﺟﺮ ﺑ ﺄي ﻣ ﻦ ﺷ ﺮوط وأﺣﻜ ﺎم ه ﺬا اﻟﻌﻘ ﺪ وﺧﺎﺻ ﺔ‬3-6
of the terms and condition of this Contract, rules ‫ ﻣﻦ هﺬا اﻟﻌﻘﺪ أو ﺧﺎﻟﻒ اﻟﻘﻮاﻧﻴﻦ واﻷﻧﻈﻤﺔ اﻟﺼ ﺎدرة‬8 ‫اﻟﻮاردة أدﻧﺎﻩ ﻓﻲ اﻟﻔﻘﺮة‬
and regulations issued by the competent ‫ ﻓ ﺎن ﻟﻠﻤ ﺆﺟﺮ اﻟﺤ ﻖ ﻓ ﻲ‬, ‫ﻋﻦ اﻟﺴﻠﻄﺔ اﻟﻤﺨﺘﺼﺔ اﻟﺨﺎﺿﻊ ﻟﻬﺎ اﻟﻌﻘﺎر اﻟﻤﺴ ﺘﺄﺟﺮ‬
Authority, to which the Leased Property is .‫أن ﻳﺨﻠﻲ اﻟﻤﺴﺘﺄﺟﺮ ﻣﻦ اﻟﻌﻘﺎر ﻓﻮرا وإﺳﺘﺮداد اﻟﻌﻘﺎر‬
subject to or commits any default particularly
described in Clause 8 herein under, the Lessor
shall have the right to terminate the Contract and
demand for immediate eviction of the Lessee, and
repossess the Leased Property.

6.4 In the event the ownership over the Lessee ‫ ﻣﺆﺳﺴ ﺔ( ﺑﻨﺴ ﺒﺔ‬/‫ ﻓﻲ ﺣﺎل ﺗﻐﻴﻴﺮ ﻣﻠﻜﻴ ﺔ اﻟﻤﺴ ﺘﺄﺟﺮ )ﺳ ﻮاء آﺎﻧ ﺖ ﺷ ﺮآﺔ‬4-6
(being a company/establishment) has changed to ‫ ﻋﻠﻰ اﻷﻗﻞ ﻣﻦ ﻧﺴﺒﺔ اﻟﻤﺴﺎهﻤﺔ اﻹﺟﻤﺎﻟﻴﺔ ﻓﻲ رأس اﻟﻤﺎل ﻧﺘﻴﺠﺔ ﻟﻠﺘﻨﺎزل‬%50
at least 50% of the total shareholdings in the ‫ ﻳﺤ ﻖ ﻟﻠﻤ ﺆﺟﺮ‬،ً‫ﻋﻦ أو ﺑﻴﻊ أو اﻟﺘﺼﺮف ﻓ ﻲ ﺣﺼ ﺺ اﻟﻤﺴ ﺘﺄﺟﺮ آﻠﻴ ًﺎ أو ﺟﺰﺋﻴ ﺎ‬
overall Lessee’s capital as a result of any transfer, ‫ وﻓ ﻲ ه ﺬﻩ اﻟﺤﺎﻟ ﺔ ﻳﻘ ﻮم اﻟﻄﺮﻓ ﺎن أو ﻣﻤﺜﻠ ﻴﻬﻢ‬،‫اﻟﻤﻄﺎﻟﺒ ﺔ ﺑﺘﻌ ﺪﻳﻞ ﺑ ﺪل اﻹﻳﺠ ﺎر‬
sale or disposition of all or part of the shares in ‫ﺑﺈﺑﺮام إﺗﻔﺎﻗﻴﺔ ﺗﺘﻌﻠﻖ ﺑﺘﻌﺪﻳﻞ ﺑﺪل اﻹﻳﺠﺎر ﺑﺎﻟﺸﺮوط واﻷﺣﻜﺎم اﻟﺘﻲ ﻳﻮاﻓ ﻖ ﻋﻠﻴﻬ ﺎ‬
the Lessee, the Lessor has the right to demand ‫ وﻓ ﻲ ﺣ ﺎل رﻓ ﺾ اﻹدارة‬.‫ﻼ ﻟﻬ ﺬا اﻟﻌﻘ ﺪ‬ ً ‫ وﺗﻌﺘﺒ ﺮ ه ﺬﻩ اﻹﺗﻔﺎﻗﻴ ﺔ ﺗﻌ ﺪﻳ‬،‫اﻟﻄﺮﻓ ﺎن‬
adjustment to the rentals. In such a case, the ،‫ ﻣﺆﺳﺴﺔ( اﻟﻤﻮاﻓﻘﺔ ﻋﻠ ﻰ ه ﺬا اﻟﺘﻌ ﺪﻳﻞ‬/‫اﻟﺠﺪﻳﺪة ﻟﻠﻤﺴﺘﺄﺟﺮ )ﺳﻮاء آﺎﻧﺖ ﺷﺮآﺔ‬
Lessor shall have the right to revise the rental (3) ‫وﻳﻌﺪ ذﻟﻚ إﺧﻼ ًﻻ ﺑﺎﻟﻌﻘﺪ ﻣﻦ ﺟﺎﻧ ﺐ اﻟﻤﺴ ﺘﺄﺟﺮ وﻳﺤ ﻖ ﻟﻠﻤ ﺆﺟﺮ ﺗﻄﺒﻴ ﻖ اﻟﺒﻨ ﺪ‬
value. In case the new management of the Lessee .6 ‫ﻣﻦ اﻟﻔﻘﺮة‬
(being a company/establishment refuses to agree
with such demand for adjustment, such refusal
shall be considered as a default on the part of the
Lessee and the Lessor shall have the right to
invoke Sub clause 6-3.

7. Rights Granted to the Lessee ‫ اﻟﺤﻘﻮق اﻟﻤﻤﻨﻮﺣﺔ ﻟﻠﻤﺴﺘﺄﺟﺮ‬7

7-1 The full and free right of access to and egress ‫ اﻟﺤﺮﻳﺔ اﻟﻜﺎﻣﻠﺔ اﻟﻤﻄﻠﻘﺔ ﻓﻲ اﻟﺪﺧﻮل إﻟﻰ واﻟﺨﺮوج ﻣﻦ اﻟﻌﻘﺎر اﻟﻤﺴ ﺘﺄﺟﺮ‬1 -7
from the Leased Property, subject to any ‫ﻣﻊ ﻣﺮاﻋﺎة اﻷﻧﻈﻤﺔ اﻟﺘﻲ ﻳﻔﺮﺿﻬﺎ اﻟﻤﺆﺟﺮ ﻣﻦ ﺣﻴﻦ ﻵﺧﺮ ﻟﻠﺤﻔ ﺎظ ﻋﻠ ﻰ ﺳ ﻼﻣﺔ‬
regulations which the Lessor may from time to .‫وأﻣﻦ اﻟﻤﻨﻄﻘﺔ‬
time impose for the safety and security of the
area

7-2 The use of all pipes and cables which connect ‫ إﺳﺘﺨﺪام آﺎﻓﺔ اﻟﻤﻮاﺳﻴﺮ واﻟﻜﺎﺑﻼت اﻟﺘﻲ ﺗﺼﻞ اﻟﻌﻘﺎر اﻟﻤﺴ ﺘﺄﺟﺮ ﺑﺎﻟﻤﺼ ﺪر‬2-7
the Leased Property with main supplies of water, ‫اﻟﺮﺋﻴﺴﻲ ﻟﻠﻤﻴﺎﻩ واﻟﻜﻬﺮﺑﺎء واﻟﺼﺮف ﺳﻮاء آﺎن ذﻟﻚ ﺣﺼﺮﻳ ًﺎ أو ﺑﺎﻹﺷﺘﺮاك ﻣﻊ‬
electricity and drainage either exclusively or .‫اﻷﺟﺰاء اﻷﺧﺮى ﻣﻦ اﻟﻤﺒﺎﻧﻲ اﻟﺘﺎﺑﻌﺔ ﻟﻠﻤﺆﺟﺮ‬
jointly with other parts of the Lessor's premises.
7-3 The use of common facilities, subject to the ‫ إﺳ ﺘﺨﺪام اﻟﻤﺮاﻓ ﻖ اﻟﻌﺎﻣ ﺔ وﻳﺨﻀ ﻊ ذﻟ ﻚ ﻟ ﺪﻓﻊ اﻟﺮﺳ ﻮم اﻟﻤﻌﻤ ﻮل ﺑﻬ ﺎ‬3-7
payment of applicable charges etc .‫وﻏﻴﺮهﺎ‬

8. Events of Default and Termination of Contract: ‫ﺣﺎﻻت اﻹﺧﻼل وإﻧﻬﺎء اﻟﻌﻘﺪ‬ .8


Any of the following shall be considered as -: ‫ﺗﻌﺘﺒﺮ اﺣﺪى اﻟﺤﺎﻻت اﻟﺘﺎﻟﻴﺔ اﺧﻼﻻ ﺑﺎﻟﻌﻘﺪ‬
Events of Default:
8-1 Lessee's failure to pay the rent on the due ‫ هﺬا وﺗﻌﺪ اﻟﺸﻴﻜﺎت‬، ‫ ﻋﺪم دﻓﻊ اﻟﻤﺴﺘﺄﺟﺮ ﺑﺪل اﻻﻳﺠﺎر ﻓﻲ ﻣﻮﻋﺪﻩ اﻟﻤﺤﺪد‬1-8
date. Bounced cheques shall be considered as a . ‫اﻟﻤﺮﺗﺠﻌﺔ ﻓﺸﻼ ﻓﻲ دﻓﻊ اﻻﺟﺮة ﻓﻲ ﻣﻮﻋﺪهﺎ وﻣﻦ ﺛﻢ اﺧﻼﻻ ﺑﺎﻟﻌﻘﺪ‬
failure to pay the rent on time and consequently

as breach of contract.
8-2 If Lessee causes environment pollution (air, ‫ اﻟﺘﺴﺒﺐ ﻓﻲ اﺣﺪاث ﺗﻠﻮث ﺑﻴﺌﻲ ) ﺗﻠﻮث اﻟﻬﻮاء أو اﻟﻤﻴﺎﻩ أو اﻟﺘﻠﻮث‬2-8
water, sound) resulting to severe environmental .‫اﻟﺼﻮﺗﻲ( رﺗﺐ ﻋﻨﻪ اﺿﺮارا ﺑﻠﻴﻐﻪ‬
damages.
8-3 If the Lessee violates any terms and .‫ إذا ﺧﺎﻟﻒ اﻟﻤﺴﺘﺄﺟﺮ أي ﻣﻦ ﺷﺮوط وأﺣﻜﺎم هﺬا اﻟﻌﻘﺪ‬3-8
conditions of this Lease Contract.
8-4 If the Lessee violates any rules and ‫ي ﻟﻮاﺋﺢ وﺗﻌﻠﻴﻤﺎت واردة ﻓﻲ هﺬا اﻟﻌﻘﺪ أو ﺧﺎﻟﻒ‬ ّ ‫ أذا أﻧﺘﻬﻚ اﻟﻤﺴﺘﺄﺟﺮ أ‬4-8
regulations of the Authority and fails to .‫ وﻓﺸﻞ ﻓﻲ دﻓﻊ اﻟﻐﺮاﻣﺔ اﻟﻤﺘﺮﺗﺒﺔ ﻋﻠﻴﻪ‬,‫اﻟﻘﻮاﻧﻴﻦ واﻷﻧﻈﻤﺔ اﻟﻤﺮﻋﻴﺔ ﻓﻲ اﻟﻬﻴﺌﺔ‬
compound the same by paying the penalty as per
said rules and regulations.
8-5 it appeared that the Lessee has sub-leased, ‫ اذا ﺛﺒﺖ ﻗﻴﺎم اﻟﻤﺴﺘﺄﺟﺮ ﺑﺎﻟﺘ ﺄﺟﻴﺮ ﻣ ﻦ اﻟﺒ ﺎﻃﻦ أو اﻟﺘﻨ ﺎزل أو ﺗﺨﺼ ﻴﺺ أي‬5-8
assigned or parted with possession of any part of .‫ﺟﺰء ﻣﻦ اﻟﻤﻠﻜﻴﺔ ﻟﻠﻐﻴﺮ ﺑﺪون ﻣﻮاﻓﻘﺔ اﻟﻤﺆﺟﺮاﻟﺨﻄﻴﺔ‬
the property or created any charge over the
Leased Property without the Lessor's written
approval.
8-6 If the Lessee enters into liquidation or ‫ اذا ﻗﺎم اﻟﻤﺴﺘﺄﺟﺮ ﺑﺘﺼ ﻔﻴﺔ اﻋﻤﺎﻟ ﻪ أو ﺗﻌ ﺮض ﻟﻼﻓ ﻼس أو ﻟ ﻢ ﻳﻘ ﻢ ﺑﺘﺠﺪﻳ ﺪ‬6-8
bankruptcy or fails to renew the license within a .‫ﺗﺮﺧﻴﺼﻪ ﺧﻼل ﺷﻬﺮ ﻣﻦ اﻧﺘﻬﺎﺋﻪ دون ﺳﺒﺐ ﻣﻌﻘﻮل ﻳﻘﺒﻠﻪ اﻟﻤﺆﺟﺮ‬
month after its expiry without valid cause
acceptable by the Lessor.
9- Lease Renewal : :‫ﺗﺠﺪﻳﺪ اﻟﻌﻘﺪ‬ .9

This Contract shall be renewable with the ‫ ﻋﻠ ﻰ‬، ‫ﻳﺠﺪد اﻟﻌﻘﺪ ﺑﻤﻮاﻓﻘﺔ اﻟﻤﺆﺟﺮ واﻟﻤﺴﺘﺄﺟﺮ وﺑﺎﻟﺸﺮوط اﻟﺘﻲ ﻳﺘﻔﻘ ﺎن ﻋﻠﻴﻬ ﺎ‬
approval of both the Parties and subject to the ‫اﻧﻪ اذا ﻟﻢ ﻳﺮﻏﺐ اﺣ ﺪ اﻟﻄ ﺮﻓﻴﻦ ﺑﺎﻟﺘﺠﺪﻳ ﺪ وﺟ ﺐ ﻋﻠﻴ ﻪ ان ﻳﺨﻄ ﺮ اﻟﻄ ﺮف اﻻﺧ ﺮ‬
terms and conditions they have reached. In case ،‫( أﺷ ﻬﺮ ﻋﻠ ﻰ اﻻﻗ ﻞ ﻣ ﻦ اﻧﺘﻬ ﺎء اﻟﻌﻘ ﺪ‬6) ‫ﺑﻌ ﺪم رﻏﺒﺘ ﻪ ﻓ ﻲ اﻟﺘﺠﺪﻳ ﺪ ﻗﺒ ﻞ ﺳ ﺘﺔ‬
either Party is not desirous to renew this .‫وﻳﻘﻮم اﻟﻤﺴﺘﺄﺟﺮ ﺑﺈﺧﻼء اﻟﻌﻘﺎر اﻟﻤﺴﺘﺄﺟﺮ ﻋﻨﺪ إﻧﺘﻬﺎء ﻣﺪة اﻹﻳﺠﺎر‬
Contract, it shall notify the other Party of such
intention in writing at least six (6) months before
the due date of the expiry of this Lease Contract
and the Lessee shall vacate the Leased Property
at the expiry of the lease Period.

10 - Special Remedy of the Lessor in of ‫ اﻟﺘﺪاﺑﻴﺮ اﻟﺨﺎﺻﺔ ﺑﺎﻟﻤﺆﺟﺮ ﻓﻲ ﺣﺎل إﺧﻼل اﻟﻤﺴﺘﺄﺟﺮ‬10
Lessee’s Breach
The Lessee admits that in case of breach of any ‫ﻳﻘﺮ اﻟﻤﺴ ﺘﺄﺟﺮ ﺑﺄﻧ ﻪ ﻓ ﻲ ﺣ ﺎل اﻹﺧ ﻼل ﺑﺄﺣﻜ ﺎم ه ﺬا اﻟﻌﻘ ﺪ ﻳﺤ ﻖ ﻟﻠﻤ ﺆﺟﺮ اﻟﺤﺠ ﺰ‬
provision of this Contract, the Lessor shall have a ‫ﻋﻠ ﻰ اﻟﺒﻀ ﺎﺋﻊ اﻟﻤﺨﺰﻧ ﺔ ﻓ ﻲ اﻟﻌﻘ ﺎر اﻟﻤﺴ ﺘﺄﺟﺮ وﻟﻠﻤ ﺆﺟﺮ اﻟﺤ ﻖ اﻟﻜﺎﻣ ﻞ ﻓ ﻲ‬
right of lien on the goods stored in the Leased ‫اﻟﺘﺼ ﺮف ﻓ ﻲ اﻟﺒﻀ ﺎﻋﺔ وإﺳ ﺘﻴﻔﺎء آﺎﻓ ﺔ اﻟﻤﺒ ﺎﻟﻎ واﻟﺘﻌﻮﻳﻀ ﺎت واﻟﺘﻜ ﺎﻟﻴﻒ‬
Property and have complete right for the disposal .‫وﻏﻴﺮهﺎ‬
of the goods and realize the amounts, as
compensation, damages, costs etc.
11- Governing Law and Jurisdiction: :‫اﻟﻘﺎﻧﻮن اﻟﻤﻌﻤﻮل ﺑﻪ‬ .11

This Contract shall be governed by and ‫ﻳﺨﻀﻊ اﻟﻌﻘﺪ ﻓﻲ ﺗﻔﺴﻴﺮﻩ ﻻﺣﻜﺎم اﻟﻘﻮاﻧﻴﻦ اﻟﻨﺎﻓﺬة ﻓﻲ راس اﻟﺨﻴﻤ ﺔ وﻓ ﻲ ﺣ ﺎل‬
interpreted in accordance with Ras Al Khaimah ‫ﺛﺎر أي ﺧﻼف ﺑﻴﻦ اﻟﻄﺮﻓﻴﻦ ﺑﺸﺄن اﻟﻌﻘﺪ ﻣﻦ ﺣﻴﺚ ﺗﻄﺒﻴﻘﻪ أو ﺗﻔﺴﻴﺮﻩ أو اﻧﻬ ﺎؤﻩ‬
applicable laws. In case, any dispute arises out of ‫ واذا ﺗﻌ ﺬر اﻟﺘﻮﺻ ﻞ اﻟ ﻰ‬، ‫ﻓﻴﺘﻢ ﺗﺴ ﻮﻳﺔ اﻟﺨ ﻼف ودﻳ ﺎ ﺑ ﻴﻦ اﻟﻤ ﺆﺟﺮ واﻟﻤﺴ ﺘﺄﺟﺮ‬
this Contract between the Parties in respect of its ‫ﺗﺴﻮﻳﺔ ودﻳﺔ ﺑﻴﻨﻬﻤ ﺎ ﺧ ﻼل ﺷ ﻬﺮ ﻣ ﻦ اﺛ ﺎرة اﺣ ﺪ اﻟﻄ ﺮﻓﻴﻦ ﻟﻬ ﺬا اﻟﺨ ﻼف ﻓﻴﺤ ﺎل‬
implementation, interpretation or termination, .‫ﻋﻨﺪﺋﺬ ﻟﻤﺤﺎآﻢ راس اﻟﺨﻴﻤﺔ اﻟﻤﺪﻧﻴﺔ ﺑﺎﻋﺘﺒﺎرهﺎ اﻟﻤﺨﺘﺼﺔ ﺑﻨﻈﺮ اﻟﺨﻼف‬
such dispute shall be settled amicably between
the Parties. Failure to reach an amicable
settlement within a month from the date of
raising such dispute by either Party, the dispute
shall be referred to RAK Civil Court being the
competent court and having the exclusive
jurisdiction.
12- Language and Counterparts: :‫اﻟﻠﻐﺔ وﻧﺴﺦ اﻟﻌﻘﺪ‬ .12

This Contract has been executed in both English ‫ﺣﺮر ه ﺬا اﻟﻌﻘ ﺪ ﺑ ﺎﻟﻠﻐﺘﻴﻦ اﻟﻌﺮﺑﻴ ﺔ واﻻﻧﺠﻠﻴﺰﻳ ﺔ ﻣ ﻦ ﻧﺴ ﺨﺘﻴﻦ أﺻ ﻠﻴﺘﻴﻦ ﻟﻴﺤ ﺘﻆ‬
and Arabic languages in two (2) original .‫اﻟﻤﺆﺟﺮ ﺑﻨﺴﺨﻪ واﻟﻤﺴﺘﺄﺟﺮ ﺑﻨﺴﺨﺔ أﺧﺮى‬
counterparts, one for the Lessor and the other one
for the Lessee.

13 – Non - Waiver of Rights ‫ ﻋﺪم اﻟﺘﻨﺎزل ﻋﻦ اﻟﺤﻘﻮق‬-13


Failure by either Party to enforce at any time any
‫ﻻ ﻳﻔﺴﺮ أي إﺧﻔﺎق ﻣﻦ ﺟﺎﻧﺐ أي ﻃﺮف ﻓﻲ ﺗﻨﻔﻴﺬ أي ﻣ ﻦ أﺣﻜ ﺎم ه ﺬا اﻟﻌﻘ ﺪ أو‬
of the provisions of this Lease Contract or any
rights in respect thereto shall not be construed as ‫ﻣﻤﺎرﺳﺔ أي ﻣﻦ ﺣﻘﻮﻗﻪ ﺑﻤﻮﺟﺐ هﺬا اﻟﻌﻘﺪ ﺑﻤﺜﺎﺑ ﺔ ﺗﻨ ﺎزل ﻋ ﻦ ه ﺬﻩ اﻷﺣﻜ ﺎم أو‬
a waiver of such provisions or rights or any of
them or in any way affect the validity hereof. The ‫ وﻻ ﻳﻤﻨﻊ إﺧﻔﺎق أي ﻃﺮف ﻓ ﻲ‬،‫اﻟﺤﻘﻮق أو أن ﻳﺆﺛﺮ ﺑﺄي ﻃﺮﻳﻘﺔ ﻋﻠﻰ ﺻﺤﺘﻬﺎ‬
failure of either Party to enforce any of the said ‫ﺗﻨﻔﻴﺬ أي ﻣﻦ هﺬﻩ اﻷﺣﻜﺎم أو اﻟﺤﻘﻮق ﻗﻴﺎم هﺬا اﻟﻄﺮف ﻓﻲ وﻗ ﺖ ﻻﺣ ﻖ ﺑﺘﻨﻔﻴ ﺬ‬
provisions or rights shall not preclude such Party
from later enforcing or exercising the same or ‫ه ﺬﻩ اﻷﺣﻜ ﺎم أو ﻣﻤﺎرﺳ ﺔ ه ﺬﻩ اﻟﺤﻘ ﻮق أو ﻏﻴﺮه ﺎ ﻣ ﻦ اﻷﺣﻜ ﺎم أو اﻟﺤﻘ ﻮق‬
any other provisions of the same or any other .‫اﻟﻤﻘﺮرة ﺑﻤﻮﺟﺐ هﺬا اﻟﻌﻘﺪ‬
provision or rights hereunder.
14- Declaration: :‫إﻗﺮار‬ .14

By signing this Contract, the Lessee ‫ﻳﻌﺘﺒﺮ ﺗﻮﻗﻴ ﻊ اﻟﻤﺴ ﺘﺄﺟﺮ ﻋﻠ ﻰ ه ﺬا اﻟﻌﻘ ﺪ اﻗ ﺮار ﻣﻨ ﻪ ﺑﺘﺴ ﻠﻢ اﻟﻌﻘ ﺎر ﺑﻌ ﺪ ﻣﻌﺎﻳﻨﺘ ﻪ‬
acknowledges that the Leased Property has been ‫واﻟﺘﺄآﺪ ﻣ ﻦ ﺻ ﻼﺣﻴﺘﻪ وﻳﻮاﻓ ﻖ اﻟﻤﺴ ﺘﺄﺟﺮ ﻋﻠ ﻰ اﻹﻟﺘ ﺰام ﺑﻜﺎﻓ ﺔ ﺷ ﺮوط وأﺣﻜ ﺎم‬
inspected and handed over to him by the Lessor, .‫ آﻤﺎ ﻳﻘﺮ اﻟﻤﺆﺟﺮ ﺑﺄن ﻟﺪﻳﻪ اﻟﻤﻠﻜﻴﺔ اﻟﻘﺎﻧﻮﻧﻴﺔ ﻟﻠﻌﻘﺎر اﻟﻤﺴﺘﺄﺟﺮ‬،‫هﺬا اﻟﻌﻘﺪ‬
in good and tenantable condition and it agrees to
abide with all the terms and conditions of this
Contract and the Lessor also declares that it has
obtained a lawful title over the Leased Premises.

In witness thereof, this Lease Contract is signed ‫اﺷ ﻬﺎدا ﻋﻠ ﻰ ذﻟ ﻚ وﻗ ﻊ اﻟﻤ ﺆﺟﺮ واﻟﻤﺴ ﺘﺄﺟﺮ او وآﻴﻠﻴﻬﻤ ﺎ اﻟﻤﻔﻮﺿ ﻴﻦ أﺻ ﻮﻻ‬
on the date first written above by the Lessor and . ‫ﻋﻠﻰ هﺬا اﻟﻌﻘﺪ ﻓﻲ اﻟﻴﻮم واﻟﺘﺎرﻳﺦ اﻟﻤﺒﻴﻨﻴﻦ ﻓﻲ ﻣﻘﺪﻣﺘﻪ‬
Lessee or their duly authorized representatives.

For Lessor (RAK Warehouse Leasing L.L.C.) (‫م‬.‫م‬.‫ﻋﻦ اﻟﻤﺆﺟﺮ)ﺷﺮآﺔ رأس اﻟﺨﻴﻤﺔ ﻟﺘﺄﺟﻴﺮ اﻟﻤﺴﺘﻮدﻋﺎت ذ‬
