Description of the transaction. On December 20, 2006, Magistral Biotech Inc. completed a reverse take-over transaction with Immunotec Research Ltd., pursuant to which Immunotec Research Ltd. became a wholly-owned subsidiary of Magistral Biotech Inc. On December 21, 2006, Magistral Biotech Inc. filed articles of amendment in order to change its corporate name to Immunotec Inc. (the "Name Change") and consolidate its outstanding shares on a forty-for-one basis. On January 1, 2007, Immunotec Inc. amalgamated with its wholly-owned subsidiary Immunotec Research Ltd. and continued under the neme Immunotec Inc. (the (Amalgamation).
