Tucker and Wediek: This letter is in response to your letter dated July 19, 1993. Per your request I have attached a draft surety bond that will be finalized during the next week, and a separate letter acknowledging that the transfer of closure/post closure trust funds from the control of the Town of Bethlehem to the State of New Hampshire will not prejudice any rights of the Town or Consumat Sanco, Inc. relative to the landfill's compliance with the Town's zoning ordinance. In addition, our responses to your other requests are detailed below. ACKNOWLEDGMENT OF CQNSUMAT SANCd INC.'S OBLIGATIONS TO COMPLY WITH SPECIAL EXCEPTION TERMS AND CONDITIONS Without prejudice to any party's position in any litigation referenced in our separate letter to the Zoning Board of Adjustment, Casella Waste Management, Inc. as potential purchaser of Consumat Sanco, Inc., hereby acknowledges the obligation of Consumat Sanco, Inc. to comply with the 23 conditions set forth in the special exception of January, 1986. COMMITMENT TO RENEGOTIATE HOST COMMUNITY AGREEMENTS FOR STAGES 1 & 2 OF THE CONSUMAT SANCQ, INC. LANDFILL Conditional upon our purchase of Consumat Sanco, Inc., Casella Waste Management hereby commits to cause Consumat Sanco, Inc. to:

1. Renegotiate the host community agreement (Benefits/Revenue package) for Stage 1 of the Consumat Sanco, Inc. landfill and to provide a plan for payment of property taxes on the landfill during the 30 year post closure period within 90 days following the issuance of operating permits from the State of New Hampshire for the Consumat Sanco, Inc. landfill. 2. Negotiate a host community agreement (Benefits/Revenue package) for Stage 2 of the Consumat Sanco, Inc. landfill before any part of Stage 2 is placed in operation.
