A. A. Dixon Charter School of Excellence Meeting of the Board of Directors Minutes November 7, 2011 I. The meeting was called to order at 6:50 p.m. by Board Chair LuTimothy May. II. Roll Call: The following Board Members were present: Stefan Andrews, Laurent Heard, LaStacey Hendrieth, Kim MacQueen, LuTimothy May, and Deborah Wills. Others in attendance: Principal Kathy Colbert, several teachers and community members. III. Adoption of Minutes: Motion was made by Deborah Wills and seconded by LaStacey Hendrieth to adopt the minutes from the last meeting as presented. Motion carried unanimously. IV.Approval of Agenda: After an amendment was added to the effect that there would be an Executive Board meeting after the time allotted for public comments, a motion was made by Deborah Wills and seconded by LaStacey Hendrieth to approve the agenda. Motion carried unanimously. V. Public Comments: Several public comments were made in regards to departing staff. VI. Executive Board Session The general session was suspended while the Executive Board met. The open meeting was reconvened by Chair May at 8:20 p.m. VII. Old Business: a. Student Transportation: Because of the urgent financial condition of the school and because our transportation costs are our greatest expense, Mrs. Colbert reported that A. A. Dixon's bus routes have been consolidated in order to utilize 2 instead of 3 buses. This change went into effect the day of the meeting. b. Implementation Grant Update: The Escambia County School district is still missing some receipts from A. A. Dixon's expenses from last year. They will advance us $25,000 of the $100,000 grant earmarked for the school's technology, but have advised us to submit accountability of those expenses as soon as possible. If the receipts are not submitted, the District has the right to withhold funds, but will work with us as far as possible. Deborah Wills will be cc'd on all emails pertaininq to the Implementation Grant from this date forward. Chair May reminded Board Members and members of the public that the money received from this grant and others is -already altocated foFstutlent servicesandequlpmehf andcarinot 6e used for --salaries.

VIII. New Business: Report from Innisfree Hotels: Kim MacQueen reported on the planning meetings that have been held among Innisfree employees that have resulted in a summary of plans to assist the school, and she presented this document to each Board Member. a. Chair Report: Chair May reported that several groups have successfully used the school for meetings and events. Also, a variety of groups and individuals have made new donations. He further reported that efforts are being made to collect first aid supplies. Baptist Hospital is making plans to readopt the school, and the leaders at Sacred Heart Hospital have a strong interest in promoting health and nutrition at the school. There is a group who is working towards purchasing at least one school bus for A. A. Dixon, and maybe more. Chair May suggested that we install a plaque on any purchased buses, honoring those who made it possible. In regards to transportation, Chair May is working with Mr. Doss at the District, and he has identified 3 buses in very good shape that would need an average of $5-6,000 to refurbish. They still need documentation. Also Mr. May is also working on having the auction time moved up so that we might purchase one or more buses quickly. Mr. May will send out the organizational chart of the school to everyone soon. A discussion was held about holding workshops for teachers, Board Members and staff from time to time so that the teachers and staff will develop a relationship with Board Members, and communication about what is occurring can be shared. b. Financial Update: Board Members were presented with the current financial report. Several items were discussed. Mrs. Colbert was asked to look into the high telephone bill, and to investigate the plan with the telephone company. She was asked to request an itemized bill immediately. The cost of transportation continues to be the biggest area of concern. Again, efforts are being made by Chair May and others to make alternative arrangements as soon as possible. As well as an outright purchase of a bus, contributors may adopt a year's worth of maintenance as a gift to the school. c. Revised CAP Budget: Chair May reported that the budget can soon be amended to reflect the last FTE count of 165 children, and the Superintendent has approved that budget. LaStacey Hendrieth moved and Deborah Wills seconded that the Corrective Action Plan budget be amended to a student population of 165, and to submit it to the Escambia County School District for final approval. d. Principal's Report: Mrs. Colbert reported that our current enrollment is 148. Students have left for a variety of reasons, including moving, transportation issues, and because a favorite teacher is leaving. Six new students are arriving this month. We currently have 6 teachers, 1 TA, 1 administrative staff, 1 cafeteria staff, 1 part time special ed teacher, I custodian, and our principal. We also have a person willing to act as a choir coordinator and conductor. We will be receiving new technological equipment soon, and will need assistance in setting up in the classrooms. The most recent DOE review was very positive, a mark of positive change in the school. The next inspection will be on November 30. On November 9 Mrs. Colbert will be reporting to the Escambia School Board. Seven pieces of artwork by A. A. Dixon students were shown at the Greater Gulf Coast Arts Festival. Mrs. Colbert will display the work in the school when it is returned. Kim MacQueen will ask an Innisfree volunteer to photograph the display and include it in the business' blog online. Staffing: Unfortunately, because of our financial situation it became necessary to let several staff members go. For example, when the school had to phase out Mr. Lambert's position, other employment opportunities were not a match. Chair May clarified that Title 1 funding cannot be used for salaries. The DOE requires reading and math coaches to assist with success on the FCAT. Mrs. Colbert reported the serious condition of our children's FCAT scores last year, and how the school is now changing strategies. Mrs. Colbert is looking for candidates to fill vacant positions. Chair May asked Mrs. Colbert to notify Board Members of obvious employee problems as soon as possible and prior to the decision to let individuals go. As stated on previous occasions she is entrusted with issues surrounding the staff, but the Board would like to act as a resource and may be able to offer ideas or even solutions. Also, as they are active in the community they need to know of changes immediately. He shared that the Board decided in Executive session to further develop written guidelines and policies regarding the employees of A. A. Dixon, and reiterated the critical nature of good communication with the Board. IX. Adjournment: Motion was made to adjourn the meeting by Deborah Wills and seconded by Laurent Heard. Motion carried unanimously.
