Mills announces the share capital reduction of its major shareholder


Rio de Janeiro, August 10, 2010 - Mills Estruturas e Servios de Engenharia S.A. (Mills) informs that its major shareholder, Staldzene Empreendimentos e Participaes S/A (Staldzene), had its share capital decreased, as approved by Staldzenes shareholders at the Extraordinary General Meeting held on July 30, 2010. On July 30, 2010, Staldzene held 46.0% of Mills voting and total share capital and it has appointed the majority of the current members of Mills Board of Directors. At the Extraordinary General Meeting held on July 30, 2010, Staldzenes shareholders approved the reduction of Staldzenes share capital, after capitalizing intermediate profits and part of the legal reserve. The share capital reduction will occur by transferring a certain quantity of Mills shares, which are currently owned by Staldzene, to Staldzenes shareholders, after the expiration of the legal term of 60 days for creditors to file oppositions against the transaction. As a consequence of its share capital reduction, Staldzene participation in Mills total and voting capital will be reduced to 39.3%. None of the Staldzenes shareholders will hold shares representing 5% or more of Mills total capital as a result of this transaction and there will be no change in the number of shares issued by Mills or in the amount of Mills share capital. According to the information provided by Staldzene, the capital reduction is not intended to change Mills share control nor its management structure.
