WHEREAS, Glenridge Creek, LLC, a Georgia limited liability company, recorded a Declaration
of Covenants, Conditions, Restrictions and Easements for Glenridge Creek Townhomes on October 28,
22004 in Deed Book 38744, Page 199, et. seq., Fulton County, Georgia Records (“Declaration”); and
WHEREAS, the Bylaws of Glenridge Creek Townhomes Homeowners Association, Inc. are
attached as Exhibit “E” to the Declaration (“Bylaws”); and
WHEREAS, Article VI, Section 8 of the Bylaws provide that the Bylaws may be amended by the
affirmative vote or written consent, or any combination of affirmative vote and written consent, of Owners
holding at least two-thirds (2/3) of the eligible vote of the Association, plus the consent of the Declarant (until
one hundred percent (100%) of the Community has been developed and conveyed to Owners in the normal
course of development and sale); and
WHEREAS, Owners holding at least two-thirds (2/3) of the eligible vote of the Association have
agreed to this amendment of the Bylaws; and
WHEREAS, the Declarant has agreed to this amendment of the Bylaws (because one hundred
percent (100%) of the Community has not yet been developed and conveyed to Owners in the normal
course of development and sale); and
NOW, THEREFORE, the last sentence of the first paragraph of Article III, Part A,
Section 3 of the Bylaws is hereby amended by deleting the phrase, “Owners shall elect
three (3) directors” and substituting the phrase, “Owners shall elect five (5)
directors” therefore.

IN WITNESS WHEREOF, the undersigned officers of the Glenridge Creek
Townhomes Homeowners Association, Inc. hereby certify that the foregoing amendment
was approved by members holding at least sixty-six and two-thirds (66-2/3%) percent of total
Association vote with all required notices duly given.
