Unqualified opinion In our opinion, the accompanying financial statements give a true and fair view of, in all

material respects, the financial position of the Company as at December 31, 2000, 1999, and 1988 and of the results of its operations, changes in equities and cash flows for the years then ended in accordance with International Accounting Standards. We would like to note that in note 2a of Notes to the financial statements, as at December 31, 2000, the Companys accumulated loss was USD5,681,872 and its current liabilities exceeded the current assets by USD3,766,061. Whether the Company can continue its business as a going-concern depends on the profit from operations in the future and the continued supports from the parties to the joint venture. The Companys Board of Directors believes that the financial statements were appropriately prepared based on going concern assumption. We also note that in note 11b of Notes to the financial statements that Wiscorp is the foreign Party in the joint-venture which the Company authorized to purchase gooods and services abroad, then Debit notes attacted with original invoices were sent to Company for recording as payables to Wiscorp. However, the auditors are not able to verify Wiscorps original remittance vouchers to supplies.
