4.1.10bethreatening,abuseorinvadeanothersprivacy,orcauseannoyance,inconvenienceor

4.1.12beusedtoimpersonateanyperson,ortomisrepresentyouridentityoraffiliationwithany
person;
4.1.13givetheimpressionthattheyemanatefromus,ifthisisnotthecase;or
4.1.14advocate,promoteorassistanyunlawfulactsuchas(bywayofexampleonly)copyright
infringementorcomputermisuse.
4.2YouretaintheownershiprightsinyourContributionsandgrantusanonexclusive,worldwide,
perpetual,irrevocable,royaltyfree,sublicensablerighttoexercisethecopyright,publicity,trade
marks,databaserightsandintellectualpropertyrightsyouhaveintheContributions,inanymedia
knownnoworinthefuture.Inaddition,youwaiveallmoralrightsyouhaveintheContributionsto
thefullestextentpermittedbylaw.Yourepresentandwarrantthatyouareentitledtograntsucha
licensetous.
4.3Youagreetoindemnifyusforanycost,expenses,damagesorliabilitiesweincurduetoyouruse
oftheWebsiteorotherwiserelatingtoanyofyourContributions.Wereservetherighttoremoveor
editanyContributionsasweseefit,withoutwarningandwithoutbeingrequiredtoprovidereasons,

possibleandinanyeventwithin30daysofyourorderbeingcancelledprovidedthat,whereany
materialshavebeenreceivedbyyouinaccordancewiththerelevantorder,youhavereturnedthem

11.3YouagreethatinsofarastheServicesorderedcompriseeventsandtrainingwewillcommence
performanceuponthetraining/eventcutoffdate.Youmaynotcancelyourorderaftertherelevant
training/eventcutoffdate.Thismeansthatyouwillhavefewerthansevendaystocanceltheorder
incircumstancesinwhichyoumakeyourorderwithinsevendaysofthetraining/eventcutoffdate.
12.Availabilityofeventsortrainingyouorder
Wereserveforourselvestherighttocancelanyofthetrainingorevents,andanypaymentsmade
byyouwillberefundedtoyouraccount.Wewillnotifyyouofsuchcancellationandrefundbyemail
assoonasreasonablypossible.Therefundtoyouraccountwilltakeplaceassoonaspossibleandin
anyeventwithin30daysofthedateofcancellationofthetrainingorevent.
13.Limitationofliability
13.1Weshallnotbeliabletoyouforanycommunicationsentbyemailwhichiseitherreceivedlate
ornotreceivedatall.
13.2Weshallnotbeliabletoyouforanylossarisingoutoftheinaccuracyorincompletenessof
information,includinganyofyouroranythirdpartysContributions,containedontheWebsiteorin
theServices.
13.3TheWebsitesand/orServicesareprovidedtoyouonan"asis"and"asavailable"basiswithout

14.1TheseTerms,togetherwithanyContractandthedocumentsreferredtointhemcontainthe
wholeagreement(Agreement)betweenthepartiesandsupersedesanypreviousagreements
betweenthepartiesrelatingtothesubjectmatteroftheAgreement.
14.2EachpartyacknowledgesthatinagreeingtoenterintotheAgreementithasnotreliedonany
representation,warrantyorotherassuranceexceptthosesetoutintheAgreement.
14.3Eachpartywaivesallrightsandremedieswhich,butforthisclause14,mightotherwisebe
availabletoitinrespectofanysuchrepresentation,warrantyorotherassurance.
15.Forcemajeure
Neitherpartyshallbeliabletotheotherforanydelayornonperformanceofitsobligationsunder
theAgreementarisingfromanycauseorcausesbeyonditsreasonablecontrolincluding,without
limitation,anyofthefollowing:
(a)actofGod,governmentalact,war,fire,flood,explosion,civilcommotion,armedhostilities,actof
terrorism,revolution;
(b)blockade,embargo,strike,lockout,sitin,industrialortradedisputetotheextenttowhichthose
thingsdonotinvolveemployeesofthepartyclaimingrelief,
(c)adverseweatherordisease;
(d)actorinterventionofacompetentjudicialorregulatoryauthority;
(e)anyevent(including,withoutlimitation,anyactoromissionofanythirdparty)beyondits
reasonablecontrolwhichcouldnotreasonablybeplannedfororavoided.Subjecttothepartyso
delayingpromptlynotifyingtheotherpartyinwritingofthereasonforthedelayandthelikely
durationofthedelay,theperformanceofthedelayingparty'sobligations,totheextentaffectedby
thedelay,shallbesuspendedduringtheperiodthatthecausepersists.
16.General
16.1Youagreetoindemnify,defendandholdus,andourofficers,directors,employees,agentsand
suppliersharmlessimmediatelyondemand,fromandagainstallliability,damages,losses,costsand
expenses,includinglegalfees,arisingoutofanybreachoftheAgreementbyyouorotherliabilities
arisingoutofyouruseoftheWebsiteand/orServices.

16.2YoumayaccesstheWebsiteandusetheServicesfromanywhereintheworld;however,the
Agreement,includingwithoutlimitationclause16.9oftheseTerms,shallapplyregardlessofhow
andfromwhereyouaccesstheWebsiteorplaceordersfortheServices.
16.3YoumustbelegallycapableofenteringintoabindingcontracttousetheWebsiteand/orthe
Servicesofferedbyus.
16.4IfanypartoftheAgreementisorbecomesillegal,invalidorunenforceableinanyjurisdiction,
thatshallnotaffect:
(a)thelegality,validityorenforceabilityinthatjurisdictionofanyotherpartoftheAgreement;or
(b)thelegality,validityorenforceabilityinotherjurisdictionsofthatoranyotherpartofthe
Agreement.
16.5ApersonwhoisnotapartytotheAgreementmaynotenforceanyofitstermsunderthe
Contracts(RightsofThirdParties)Act1999.
16.6TherightsofeachpartyundertheAgreement:
(a)maybeexercisedasoftenasnecessary;
(b)arecumulativeandnotexclusiveofrightsorremediesprovidedbylaw;and
(c)maybewaivedonlyinwritingandspecifically.
Delayinexercisingornonexerciseofanysuchrightisnotawaiverofthatright.
16.7NothingintheAgreementshallbedeemedtoconstituteapartnershipbetweenusandyou,nor
constituteeitherpartytheagentoftheotherpartyforanypurpose.
16.8WearerequiredbylawtoinformyouthatpurchasescanbeconcludedinEnglishonlyandthat
nopublicfilingrequirementsapply.
16.9YouandweagreethattheAgreementshallbegovernedbythelawsofEnglandandWales.Any
disputearisingbetweenyouandusinrelationtotheWebsitesand/orServicesshallbegovernedby
thelawsofEnglandandWalesandyousubmittotheexclusivejurisdictionoftheCourtsofEngland
andWalesforthepurposesofanysuchdispute.
