LEASE AGREEMENT FOR COMMERCIAL PROPERTY

The LESSEE is desirous of ta7in* on lease the Leased Premises for its offi(e and LESSOR has a*reed to *rant the Leased Premises on lease to the LESSEE on the terms and (onditions hereinafter (ontained$

NO$ T%IS ,EE, $ITNESSET% AS .N,ER& -. 1$1$ TERM OF LEASE In (onsideration of the monthly rent hereinafter reser.ed" the LESSOR hereby demises unto the LESSEE, the Leased Premises for a period of 5th September" 2013 to 5th September" 201; 0both days are in(lusi.e+$ The L2SS22 shall be entitled to renew e)tend the term of the lease for a further term of 1 0one+ year ea(h on the same terms and (onditions herein (ontained sub<e(t to es(alation of rent by 20 per(ent 020 :+ o.er the last paid monthly rent$ 3n su(h renewal e)tension" a fresh lease deed shall be e)e(uted and re*istered$ RENT AN, SEC.RITY ,EPOSIT In (onsideration of the lease of the Leased Premises" the LESSEE shall pay rent of #s$ 25" 000 plus ser.i(e ta) 0as appli(able+ and rent for (ar par7in* slots shall be #s$ 9" 0000 plus ser.i(e ta) 0as appli(able+ plus ser.i(e ta) 0as appli(able+$ It is mutually a*reed between the ,arties that the physi(al possession of the Leased ,remises shall be handed o.er to the Lessee on or before 5 th September 2013 0hereinafter referred as 1E00ec!i1e ,a!e'+ and it is further a*reed that period from$$$$$$$$$$$$to$$$$$$$$$$$$shall be treated as rent free period for L2SS22 to (arry out interiors and the rent shall be due and payable by the L2SS22 from 2ffe(ti.e Date$ =pon the LESSEE e)er(isin* its option to renew the lease for further period of three years" the monthly rent shall stand in(reased as abo.e$ 2$2 The rent" in a((ordan(e with 8lause 2$1 shall be paid monthly in ad.an(e on or before the 9th day of ea(h month$ -ll payments to be made by the LESSEE hereunder shall be made after dedu(tin* ta)es as appli(able from time to time$ The LESSEE shall pay the rent on be(omin* payable without any formal demand bein* raised by the LESSOR$ Notwithstandin* anythin* to the (ontrary (ontained herein" but sub<e(t to the pro.isions of 8lause 2$; and 8lause 5$> if the LESSEE o.erstays in the Leased Premises after termination e)piry of the Lease Deed" LESSOR shall be entitled to (har*e double of e)istin* rent from the LESSEE and withdraw all fa(ilities pro.ided to the LESSEE$ This shall be without pre<udi(e to L2SS3#?s ri*hts to file a le*al suit for the possession of the Leased Premises from the LESSEE and or ta7e any other le*al a(tion in (ourt of law and or enter upon the Leased Premises. ,ro.ided always" in the e.ent LESSOR defaults in refundin* or repayin* the unad<usted ad.an(e rent" if any" to the LESSEE simultaneously upon the handin* o.er of the .a(ant and pea(eful physi(al possession of the Leased Premises by

the LESSEE to LESSOR" in a((ordan(e with the terms hereof" on the e)piry of the term or earlier termination of this Lease ,eed" then notwithstandin* anythin* to the (ontrary (ontained herein" the LESSEE shall ha.e a ri*ht to retain possession of the Leased Premises without payment of any rent or any other (har*es to*ether with the ri*ht to re(o.er the said amount of unad<usted ad.an(e rent alon*with interest @ 19: per annum thereon from the date LESSOR was to refund su(h amount" in a((ordan(e with terms hereof" till the date of full and final payment$ 2$5 Aowe.er" this shall be without pre<udi(e to the ri*hts of the LESSEE under the law to (laim from the LESSOR the entire amount of une)pired unad<usted ad.an(e rent alon* with interest thereon at the rate of @ 19: per annum from the date of e)piry or early termination of this Lease ,eed" as the (ase may be" till date of payment$ The Lessee" as se(urity for its obli*ations under the Lease Deed has deposited as interest free refundable se(urity deposit with LESSOR, an amount of #s$$$$$$$$$$$$$$$ whi(h has been duly re(ei.ed and a(7nowled*ed by L2SS3# and interest free refundable se(urity deposit shall in(reased by 20 : pro.ided the lease is renewed$ The additional amount of se(urity deposit as abo.e" shall be deposited at least 15 0fifteen+ days before the (ommen(ement of the aforesaid date on whi(h the se(urity deposit is to be in(reased pro.ided the lease is renewed failin* whi(h" notwithstandin* anythin* to the (ontrary (ontained in the Lease ,eed" LESSOR apart from its ri*ht to (laim interest @ 19: p$a$ on the additional amount for the delayed period" shall also be entitled to forthwith terminate the Lease ,eed anytime thereafter$ The said amount of se(urity deposit in(ludin* additions thereof" shall remain with L2SS3# without any interest and shall be refunded" after dedu(tions on a((ount of unpaid rent 0in(ludin* amounts payable by the LESSEE" in terms of 8lause 5$2 and 8lause 5$3 of the Lease Deed+" ele(tri(ity (har*es and willful dama*e to the Leased Premises and or the said buildin*" simultaneously upon the handin* o.er of the .a(ant and pea(eful physi(al possession of the Leased Premises by the LESSEE to LESSOR in a((ordan(e with the Lease ,eed on the e)piry or earlier termination of the term of the lease$ ,ro.ided always in the e.ent L2SS3# defaults in refundin* or repayin* the amount of interest free se(urity deposit and all other amounts outstandin* sub<e(t to dedu(tions as abo.e" to the L2SS22 , simultaneously upon the handin* o.er of the .a(ant and pea(eful physi(al possession of the Leased ,remises without payment of any rent or any other (har*es to*ether with the ri*ht to re(o.er the said amount of Interest 6ree Se(urity Deposit" ad.an(e rental and all other amounts outstandin* 0to*ether with interest @ 21: per annum with monthly rests thereon+ from the date L2SS3# was to refund su(h amount" in a((ordan(e with the terms hereof" till the date of full and final payment$ 2. The .a(ant and pea(eful possession of the Leased Premises has been handed o.er by L2SS3# to the LESSEE on the date hereof$ Should the LESSEE desire lin7a*es from the additional airC(onditionin* system for (oolin* of their Ser.er =,S outside re*ular offi(e hours" 0re*ular offi(e hours shall be from B$30 -D to >$30 ,D from Donday to 6riday and from B$30 -D to 2$30 ,D on Saturdays" publi( holidays e)empted+" LESSOR hereby a*rees to pro.ide the same throu*h L5#6$ 8har*es towards installation and runnin* of su(h unit0s+ will be borne pro rata to the tonna*e that shall be a.ailed by all users of su(h fa(ility at 1$2 times of a(tual (ost in(urred by L'RF$ The LESSEE shall pay the ele(tri(ity bills for the ele(tri(al load pro.ided by LESSOR to the LESSEE for the Leased Premises ea(h month to L'RF at appli(able rates$ If the LESSEE re4uires any e)tra load" LESSOR shall arran*e the same at the (ost and e)pense of the LESSEE$ The LESSEE shall pay re4uisite amounts for the additional load" in(ludin* se(urity deposit amounts" as and when demanded by L'RF. LESSOR shall pay all ta)es" *round rent" house ta)" other (har*es" imposts" assessments and out*oin*s assessed or payable to the Delhi Duni(ipal 8orporation or the Eo.ernment or any lo(al authority in respe(t of the Leased Premises" at the rates pre.ailin* on the date hereof$ LESSOR shall abide by all laws" 5yeClaws" #ules F #e*ulations of the Eo.ernment or any other authority or lo(al body and shall obser.e and perform the (o.enants and (onditions and shall attend to" answer" and be responsible for" all .iolations of any of the (onditions or rules" or 5yeClaws" that may be re4uired to be followed" obser.ed and performed by the landlord of a property" by the said authority and shall 7eep F hold the LESSEE harmless and indemnified in this re*ard$ The LESSEE" alon* with other o((upants of the Eround 6loor" shall ha.e ri*ht of a((ess to and use of the (ommon areas of the said floor" in(ludin* the (ommon passa*e" dinnin* spa(e" toilets and pantry ser.i(e area$ LESSOR assures that it has the absolute and unrestri(ted ri*ht to lease the Leased Premises to the LESSEE and to e)e(ute this Lease ,eed as per the terms and (onditions (ontained herein and that it has (omplied with all the re4uisite (omplian(eGs under appli(able statutory pro.isions or appli(able muni(ipal re*ulations$ In the e.ent of there bein* any defe(t or defi(ien(y or inade4ua(y in LESSOR4s ri*ht to e)e(ute this Lease ,eed and or to *i.e on Lease the Leased Premises" LESSOR underta7es to indemnify the LESSEE a*ainst all (onse4uen(es arisin* therefrom" in(ludin* dama*es" losses" (osts or any other (laims and demands relatin* thereto$ LESSOR further underta7es to indemnify the LESSEE for losses and e)penses that may be (aused to it in the e.ent the LESSEE is e.i(ted from the Leased Premises by the Eo.ernment or any lo(al muni(ipal authority for the reason that the o((upation of the Leased Premises is unauthori/ed for want of ne(essary permission from the said authorities$

This will be in addition to the refund by LESSOR to the LESSEE of all ad.an(es made sub<e(t to the dedu(tion on a pro rata basis for any period the LESSEE was in possession of the Leased Premises$ 5. ;$1$ T%E LESSEE %ERE'Y CO3ENANTS $IT% LESSOR AS FOLLO$S& The LESSEE shall dire(tly pay to the maintenan(e a*en(y all (har*es as per appli(able rates for the ele(tri(ity (onsumed by it$ It is bein* (larified that any amount payable for ele(tri(ity (har*es after the e)piry or earlier termination of the lease" as the (ase may be" shall be the sole liability of LESSOR$ The LESSEE shall ha.e a((ess to the Leased Premises and" or" the said 5uildin* 0for use and o((upation of the Leased Premises+ at all times i$e$ twenty four 02;+ hours a day and se.en 09+ days per wee7 throu*h out the term of this Lease ,eed$ The LESSEE shall not sublet" assi*n or otherwise part with the possession of any part or whole of the Leased Premises hereby demised without the prior (onsent of LESSOR whi(h (onsent shall not be unduly withheld for any re4uest to assi*n the Lease to any affiliated entity of the LESSEE that assumes or ta7e o.er the business operations of the LESSEE . The LESSEE shall 7eep the interior of the Leased Premises in *ood repair" order and (ondition 0reasonable wear and tear and dama*es by fire" earth4ua7e" floods tempest" li*htnin*" and .iolen(e of any army or mob beyond the LESSEE?s (ontrol are e)empted+$ -ny repairs on a((ount of stru(ture 0su(h as (ra(7s defe(ts in true (eilin*" window *lass panels" floors and (olumns" load bearin* walls" beams+" burstin* of water sanitary pipes shall be to the a((ount of LESSOR$ The LESSEE shall abide by the byelaws and re*ulations of the lo(al authorities" in relation to the Leased Premises$ The LESSEE shall not ma7e any (han*es" stru(tural or otherwise" in the Leased Premises nor use (ommon areas of the said buildin* for any other purpose other than for (ommon use$ It bein* e)pressly a*reed by the LESSEE that it shall not ma7e any (han*es in the outer faHade of the said buildin* nor install any airC (onditioners or neon si*ns thereof$ The LESSEE shall permit LESSOR and its a*ents sur.eyors and wor7men to enter into the Leased Premises at all reasonable times for the purpose of inspe(tion or repair of the Leased Premises after *i.in* appropriate noti(e if feasible$ Aowe.er" LESSOR shall ensure that minimum interferen(e is (aused to the wor7in* of the LESSEE durin* su(h inspe(tion or repair$ The LESSEE further (o.enants with L2SS3# that it shall:

Not use the Leased Premises nor allow the use of the Leased Premises in a manner" whi(h would (ause interferen(e or disturban(e to other o((upants of the said buildin*I Not par7 any .ehi(le in any spa(e not allotted in writin* for that purpose with re*ard to the reser.ed par7in* slotsI =se only su(h routes of entry e)it" as ha.e been allowed by L2SS3# for that purposeI Not transport any hea.y *oods to the Leased Premises durin* offi(e hours in order to a.oid in(on.enien(e to the o((upants of the said buildin*I =se part or all of the Leased Premises only for its offi(e and or business a(ti.itiesI Not (arry on or permit to be (arried on in the Leased Premises" or in any part thereof" any a(ti.ity whi(h shall be deemed unlawful or of nuisan(e to LESSOR or other o((upants of the said buildin*I Not use the Leased Premises for (arryin* on any manufa(turin* pro(ess of any nature whatsoe.erI nor as wor7shopI Not store *oods of ha/ardous or (ombustible nature or whi(h are so hea.y as to affe(t the (onstru(tion or stru(ture of the said buildin* or any part thereofI ,ut up its nameplate only at su(h a pla(e as may be desi*nated by LESSOR L'RFI Not use the *lass (urtain wall faHade or (ommon areas of the 5uildin* for any 7ind of display si*na*e$ IT IS %ERE'Y M.T.ALLY AGREE, AS FOLLO$S& The LESSEE may terminate this Lease ,eed effe(ti.e anytime after CCCCCCCCCCCCCCCCCCCCCCCCC$It bein* e)pressly (larified that this Lease (an only be terminated after ser.in* upon LESSOR a noti(e of 3 0three+ months" or payment of appli(able rent in lieu of noti(e or a (ombination thereof$ Jithout pre<udi(e to the abo.e" durin* the renewal period of three years as per 8lause 1$1" the LESSEE shall be entitled to terminate the lease by ser.in* upon L2SS3# a written noti(e of minimum of three 03+ months before su(h termination or payment of appli(able rent in lieu thereof$

LESSOR shall be entitled to (har*e double the pre.ailin* rent from the LESSEE and withdraw all fa(ilities pro.ided to the LESSEE in (ase the LESSEE o.erstays in the Leased Premises after termination e)piry of the Lease ,eed$ This shall be without pre<udi(e to LESSOR7s ri*hts to file a le*al suit for the

possession of the Leased Premises from the LESSEE and or ta7e any other le*al a(tion in (ourt of law and or enter upon the Leased Premises$ 5$3 Notwithstandin* the pro.isions of 8lause 5$1 and sa.e as pro.ided in 8lause 2$; and 8lause 5$9" in the e.ent the LESSEE fails to pay the monthly rent in a((ordan(e with 8lause 2$1$ read with 8lause 2$2$ abo.e" within >0 0si)ty+ days of the due date" LESSOR apart from its ri*ht to (laim interest @ 21: per annum with monthly rests for the period of delay" shall also be entitled to terminate the lease anytime after the e)piry of said noti(e period of thirty days$ ,ro.ided further if the lease is terminated in a((ordan(e with the pre(edin* senten(e" LESSOR shall also be entitled to rent for the balan(e period of the lo(7 in period or noti(e period 0in a((ordan(e with 8lause 5$1 abo.e+" whi(he.er is later$ This is without pre<udi(e to LESSOR7s ri*hts to file a le*al suit in the (ourt of law for re(o.ery of outstandin* amounts and or possession of the Leased Premises and or enter upon the Leased Premises and or ad<ust the amounts payable by the LESSEE" as abo.e" a*ainst any amounts of the LESSEE lyin* with LESSOR$ 5$; That if durin* the term hereof" LESSOR shall sell" transfer *ift or part with the Leased Premises or any part thereof" or its ri*hts therein" the LESSEE shall attorn this lease in fa.our of su(h buyer transferee donee on the same terms and (onditions hereof$ In su(h e.ent" LESSOR shall obtain (onfirmation of su(h attornment from the said buyer transferee donee$ LESSOR further underta7es and a*rees to simultaneously transfer the Se(urity Deposit to the new buyer transferee donee and to pro.ide the LESSEE written (onfirmation to this effe(t duly si*ned by L2SS3# and the new buyer transferee donee$ If due to flood" fire" earth4ua7e" tempest or any other a(ts of Eod or any a(t of war (i.il (ommotion or for any reason beyond the reasonable (ontrol of human bein*s" the Leased Premises or any part thereof (annot be used and or o((upied by the LESSEE or if the Leased Premises or any part thereof is sealed or is rendered unfit for use and o((upation by any statutory authority and or muni(ipality" the LESSEE shall not be liable to pay any rent to LESSOR for su(h period$ Notwithstandin* anythin* (ontained in this Lease ,eed" if the Leased Premises remain in su(h a (ondition" as stated in 8lause 5$> abo.e" for more than 30 0thirty+ days" notwithstandin* the pro.isions of 8lause 5$1 of this Lease ,eed" any time after the e)piry of said 30 0thirty+ days" the LESSEE shall be entitled to terminate this Lease ,eed" upon *i.in* 30 0thirty+ days written noti(e to this effe(t to LESSOR$ In su(h e.ent LESSOR shall be liable to refund entire amount of the une)pired unad<usted ad.an(e rent and the amount of se(urity deposit to the LESSEE without any delay or demur$ The LESSEE underta7es to si*n a separate maintenan(e a*reement with L'RF and to be bound by the terms and (onditions of the said Daintenan(e -*reement"

whi(h shall always be (oCe)istent and run (oCterminus with this Lease ,eed$ The LESSEE shall ma7e payment of all (har*es as are stipulated therein and shall be bound by a (ontinuin* obli*ation to ma7e payment of su(h maintenan(e (har*es$ It is bein* e)pressly a*reed by the LESSEE that notwithstandin* anythin* to the (ontrary (ontained herein" if the said Daintenan(e -*reement is terminated then this -*reement shall also stand terminated and that so lon* as rent is payable by the LESSEE under this Lease ,eed" the LESSEE shall pay Daintenan(e 8har*es to L'RF. 5$B -ny noti(e" re4uest or instru(tion permitted or re4uired to be *i.en hereunder by any party to the other shall be in writin* and shall be deemed suffi(iently *i.en if deli.ered personally" sent by re*istered or (ertified mail" posta*e prepaid" at the addresses of the parties mentioned in the title of this -*reement" unless in ea(h (ase LESSOR and the LESSEE shall ha.e *i.en noti(e as pro.ided herein of a different address$ REGISTRATION This Lease ,eed shall be e)e(uted on appropriate .alue stamp papers and the same shall be re*istered with the offi(e of #e*istrar of (ompetent <urisdi(tion within a period of thirty days from the date whereof$ -ll e)penses relatin* to the stamp duty and re*istration of the lease deed shall be shared between the LESSEE and L2SS3# in the proportion of >0 : ;0 and it is further a*reed that LESSEE shall 7eep the ori*inal re*istered Lease Deed and (opy shall be pro.ided to LESSOR$
