Terms: DRAFT
Parties • LG Surfaces, LLC
• Starwood Hotels & Resorts Worldwide, Inc. for its Aloft
brand

Non-Binding This term sheet is for discussion purposes only and is


Agreement non-binding, except for the sections titled
“Confidentiality” and “Expenses”, which shall be binding.

It does not create an obligation on either party to enter


into a definitive agreement. Either party can notify the
other party in writing at any time that it does not wish to
proceed with this proposed relationship.

If the parties agree to pursue a business relationship, any


binding obligations between LG Surfaces and Starwood
relating to this term sheet shall be set forth in a mutually
agreed upon separate written agreement. [Note: The
separate agreement would contain the agreed upon
business terms, together with such other terms,
conditions, representations, warranties and indemnities
which are customary in arrangements of this type.]
Relationship Overview • LG Surfaces and Starwood Hotels are entering an
agreement to launch a marketing program that
will challenge students to design an application
suitable for placement in Aloft Hotels capturing
the theme “where life happens.” Students will be
directed to design furniture for placement
focusing on the integration of using solid surface
and technology with an emphasis on gaming,
interactivity and social networking.
• Starwood will be responsible for providing the
following:
 Joint direction by the Starwood design
team and LG Surfaces to be part of the rules and
regulations of the program
 Electronic files for the Aloft brand
containing the trademarks, style guide, and logos
to be used for marketing materials of the
program with final sign-off by Starwood
 Talking points and quotes by a
representative of Starwood Hotels to be featured
in public statements and/or press releases related
to the program
 A representative from the Starwood design
team to serve as a judge in the program
 Discounted venue space, (30) discounted
sleeping rooms, and discounted food and
beverage for the program press conference at the
Aloft Hotel, Boston, March 31-April 2, 2010.
 Provide keynote speaker and judge for the
Boston press conference from the Starwood
design team
 Starwood and LG Surfaces will have joint
attendance at the press conference in Boston by
leaders within respective organizations
 Discounted venue space and food and
beverage for all program launch parties at Aloft
locations throughout the USA.
 Jointly, LG Surfaces and Starwood will
choose venue space for the International
Contemporary Furniture Fair hospitality event,
May 17, 2010.
 Starwood will provide props and furnishings
for the International Contemporary Furniture Fair
booth space and hospitality event, May 15-18,
2010.
 Starwood will identify placement of the
three winning prototypes and graphics related to
the program at any Aloft location located in North
America
• This will be a one-year program at the end of which, if
the program is deemed successful as determined by
both parties, LG Surfaces and Starwood will work
together to identify a Starwood brand to roll it out in
2011.
• Upon the completion of the program, Starwood will
place the winning pieces in an Aloft Hotel location for a
period of at least six months.
Term • 1 Year
• Start date: October 9, 2009
• Starwood Properties included in program events
o Aloft Tempe-Launch Party
o Aloft Arundell Mills-Launch Party
o Aloft Austin-Launch Party
o Aloft Chicago-O’Hare-Launch Party
o Aloft Lexington-Press Conference
Early Termination • LG Surfaces or Starwood would have the right to
terminate the Agreement for convenience with 90 days
notice. Written notice and costs are to be paid by
terminating party.
Exclusivity • During the term, Starwood will not have a similar
relationship (i.e. design contest, product contest, or
promotion) with any manufacturer of surfacing
materials. LG Surfaces will have a one-year no
competition stipulation for competing
promotions/programs.

Payment Terms • LG will provide the 1st place winner with an LG


television, model to be determined by LG.
Intellectual Property • If the winning pieces are chosen to be produced more
Rights than once by Starwood, the concepts must be created
using an LG Surfaces product and fabricated by
Sterling Surfaces in Boston, MA.
• All design concepts submitted by applicants
throughout the course of the program will become the
property of LG Surfaces and Starwood. Any production
of the concepts must be created using an LG Surfaces
product.
• LG Surfaces will not be financially liable for the devices
stolen/broken during the program.
• Starwood and LG Surfaces acknowledge and agree that
each party will jointly retain all rights, title, and
interests to the finished design prototypes for future
marketing materials in-print, in-person, or online.

Retail • N/A
Procurement • N/A
Marketing • LG Surfaces and Starwood will work together to
determine viable channels to promote this program in
their respective available marketing channels. LG
Surfaces channels may include:
 Verbal mention during presentations
 Program website, video, and printed
materials
 LG Surfaces website links, buttons and
other graphical material
 Brochures
 Social media profiles
 Promotion at the Greenbuild 2009
Tradeshow
 Emails
 Press releases
• LG Surfaces and Starwood will make every effort to
promote this program through their respective PR
channels, when possible, to increase exposure and
generate buzz among its target audiences.

Regulated Areas • N/A


Confidentiality The terms of this term sheet are confidential in
accordance with the Non Disclosure Agreement dated
________. The parties shall not issue press releases or
other public statements without a definitive agreement.
Expenses Each party is responsible for its own expenses in
connection with this term sheet and exploring this
relationship.
