ABOUT ROMPETROM
1.IDENTIFY
A leader in the regional oil field, Rompetrol is a multinational company with
activities in 12 countries and with a strong operational base in the Black Sea and
Mediteranean Sea region. The number and the complex nature of the projects
executed at a global level have turned Rompetrol over time into the best known
international brand originating in Romania.
With a turnover of USD 5 billion in 2005, Rompetrol has evolved from a
mid-sized regional company to be among the first 20 oil companies in Europe and
the first global successful business originating in Romania.
Rompetrol is synonymous with the values of modern times, of success and
independent spirit. The Rompetrol brand has been built with personality and
vision, naturally reflecting the spirit of the people who started it all. Aside from
oil industry products and services, Rompetrol stands for the essence of the
innovative spirit and of the quest for perfection translated into the dedicated

2.ACTIVITY
Through its 40 subsidiaries, The Rompetrol Group is mainly active in the
refining and marketing fields, with implications in complementary projects in the
exploration and production, distribution, industrial services, maintenance, project
management, logistics, industrial ecology services and other related services in
France, Romania, Spain and South-Eastern Europe. At the same time, we offer
air transportation, tourism, or safety and protection services.
The rigorous harmonization with the European quality standards for
technology, products and services led to our companys success on the local and
regional markets. The quality of Rompetrols offer is acknowledged and promoted
as a benchmark and an impulse for development of the business environment
and the society at large. This rings particularly true in our starting markets, such
as Romania, where Rompetrol became the main representative of the local
capitalism and a model for development.
As a true corporate citizen, Rompetrol has prepared and has been
implementing a complex strategy of involvement in the evolution of community

life, in the protection of the environment, and in supporting education and culture
in Romania.

3.CREDO
The Rompetrol Group N.V. is a multinational oil company headquartered in
Amsterdam, The Netherlands, operating in 12 countries, and with the majority of
its assets and operations based in France, Romania, Spain, and South-East
Europe. The group is active primarily in refining, marketing and trading, with
additional operations in exploration and production, and other oil industry
services such as drilling, EPCM, and transportation. TRG aims to become one of
the largest independent oil companies in Europe and obtain a strong position in
the Black Sea and Mediterranean areas.
Since 2007, KazMunayGas is the major shareholder of TRG, after the state-
owned oil and gas company of Kazakhstan acquired 75% of the share capital; the
transaction was completed in 2009, after the acquisition of the remaining shares.
Rompetrol is a well-established oil company, a trustworthy worldwide
partner, and a revered corporate citizen. The success and strength of our

4.EVOLUTION
1974 Rompetrol is set up as the international service arm of the Romanian oil
industry.
1993 Rompetrol is privatized through management and employee buyout
(MEBO) and turnover drops below USD 6 million in the years following
privatization.
1998 Dinu Patriciu and a group of local investors acquire the majority stake
and increase the capital, thus managing a spectacular revenue rebound.
1999 The business stabilization process is finalized during the year and the
company makes the first steps towards its international expansion, setting-up its
headquarters in the Netherlands. Between 1999 and 2000, Rompetrol speeds up
its evolution from a decapitalized, modest oil-services company with a USD 5
million turnover, to the current powerful and integrated oil group, with an
estimated turnover of around USD 6 billion in 2006.
- Rompetrol Groups expansion continues with the privatization of Vega
Ploiesti refinery, considered to be its first major acquisition. Within nine
months from take over, Vega refinerys turnover triples.
2000 - Rompetrol takes over Petros the sole oil well service provider from
Romania at the time. Petros is renamed Rompetrol Well Services SA.
2001 The Group makes its main acquisition Petromidia refinery, following the
execution of the sale-purchase contract with Romania's State Ownership Fund.
Rompetrol Group implemented a complex investment program for the upgrade of
Petromidia and its transformation into the most advanced refining plant in
Central and Eastern Europe. Petromidia changes its name into Rompetrol
Rafinare SA.

- Rompetrol signs the sale-purchase contract for Block 11 in Ecuadors
Oriente basin.
- Rompetrol Group focuses on the restructuring and organic development
of the existing capacities. During the last quarter of 2001, Rominserv becomes
operational as the first Engineering Constructions and Maintenance (EPCM)
company in the Romanian oil and gas industry, created by Rompetrols
equipment specialists.
The compliance of the Groups activities with the European environmental
standards in the field of RISC procedures (Risk-Investigation-Standardization-
Certification) leads to the set up of Ecomaster, the first ecological services
company in Romania, in October 2001.
The range of activities performed continues to diversify with the set-up of
Rompetrol Logistics, a transportation company owned by Rompetrol Group,
which, in less than three months, acquires the certifications necessary to offer
services to customers outside the Group.
2002 - Petrochemical activities resume at the Petromidia plant under the
umbrella of the newly created Rompetrol Petrochemicals, combining production
and sales of its own products with an extended program of sales of third party
products under the Rompetrol brand.
- OMV Aktiengeselschaft Austria became the owner of 25.1 percent of
Rompetrol Group shares.
- Subsidiaries open in the Republic of Moldova (Rompetrol Moldova) and
Bulgaria (Rompetrol Bulgaria).
2003 - Rompetrol carries out a complex program to expand its retail fueling
stations network in Romania. Rompetrol's strategy aimes at harmonizing the
quality standards in the entire gas station network, providing full services at
prices that are adapted for the Romanian consumers. In order to facilitate the
network expansion and to facilitate distribution to other customers, Rompetrol
creates a network of wholesale storage facilities in strategic Romanian locations
(Arad, Craiova, Simleul-Silvaniei, Zarnesti, Suceava, Constanta, Bucuresti-
Mogosoaia). Today these storage facilities feed a domestic network that includes
more than 100 Rompetrol gas stations and 150 Rompetrol Partener stations.
2004 - Rompetrol Rafinare is listed on the Bucharest Stock Exchange. The
operational profit of the refinery increases more than five times as compared to
the previous year, to USD 86.4 million. Rompetrol Rafinare turns a net profit of
USD 11 million, for the first time after 30 years of operation.
- The Distributed Control System becomes operational, an automation
project worth USD 33 million.
- OMV divests due to Romanian competition regulatory requirements and
the 25.1 percent stake returns to Rompetrol management.
- The Rompetrol Group sets up the subsidiary Vector Energy AG, based
in Switzerland, specialized in the trading of oil and oil products.

2005 - The Rompetrol Group NV (TRG) based in the Netherlands, announces
that it signed a contract for the purchase of the entire stake owned by Dyneff
Group SA, the largest independent distributor of oil products in France, with
operations in France and Spain.
TRG starts operating in Albania and Georgia and opens a representative
office in Moscow.
2007 - KazMunayGaz acquires 75% of TRG. Due to this transaction, the Kazakh
national company got access to two refineries (Petromidia, close to the Black Sea
and Vega) and to an extensive retail network of gas distribution stations as well.
2009 - KazMunayGaz acquires the rest of 25% of TRG.

Mission and Values. As a leading Corporate Citizen, we seek to act responsibly

Guiding Principles. The spirit of The Rompetrol Groups approach towards
CSR is reflected in our corporate motto, Energy for Life, which is a call to
ongoing, active involvement in projects that meet our CSR goals. Our CSR
framework works under the aegis, Impreuna pentru fiecare (Together for each
and every one). Rompetrol defines the following guiding principles of its CSR
Policy:
1. Respect Employees: To respect employees and help enhance their life
through development opportunities and employment practices grounded on equal
opportunities and Occupational and Safety Best Practices
2. Ongoing Involvement: To involve at an appropriate level the authorities,
community, and other concerned stakeholders in all decisions that affect them
3. Health and Safety: To ensure the health and safety of our employees,
suppliers and the communities in which we operate
4. Risk management: To identify, assess, manage and mitigate risks to our
host communities, employees, contractors, the environment and our business
5. Education and Leadership: To promote the spirit of leadership, especially

encourages socially responsible pursuits and entrepreneurship

2011 CSR Objectives of The Rompetrol Group are:
1. Community leadership and civic involvement activities;
2. Improving the quality of life in the communities we impact or influence
through environmental, public health and educational projects;
3. Youth education and promoting a pro-active, entrepreneurial spirit;
4. Internal responsible behaviour of Rompetrol employees, encouraged by
launching an internal CSR program Lucrurile mici care conteaza (Small things
that matter). The program focuses on the environment, health and education and
includes, among others, paper recycling, blood donations and educational
activities.

In order to comply with the guiding principles, the following rules will be applied:
1. The Company will ensure its CSR through only focusing on activities
pertaining to our measures of success, CSR guiding principles and 2010 CSR
objectives.
2. All CSR projects will be undertaken in the spirit of transparency, fairness,
and respect for human rights, labour and anti-corruption practices.
3. All CSR projects require a pro-active input by all employees and are
coordinated by the department of corporate affairs.
4. All CSR projects ar e reviewed, monitored and measured on an ongoing
basis.
5. The Company will seek, support and finance projects that promote the
development of social capital and partnership among stakeholders, voluntary
work and social entrepreneurship.
RAFINERY
The two refineries owned by The Rompetrol Group, Rompetrol Rafinare
(Petromidia, located in Navodari by the Black Sea) and Vega (Ploiesti) jointly
cover 32% of Romanias refining capacity.
Boasting a processing capacity of 4.8 million tons of feedstock per annum
and an output of 3.3 million tons in 2005, Rompetrol Rafinare is the countrys
most advanced refinery.
Petromidia Refinery is the only entity in the industry located by the
Black Sea, thus enjoying a significant competitive edge thanks to its direct access
to maritime and inland shipping routes.
Vega, having a processing capacity of 500,000 tons per annum, is a rather
smallish but flexible refinery specializing in processing alternative feedstock and
producing environmental-friendly solvents, bitumen intended for specific
destinations, green heating fuels and further specialized products.
Romcalor is a member of The Rompetrol Group since January 2004. Its
chief line of business is selling liquid fuels (Calor product range) on the Romanian
market, in its capacity as distributor of SC Rompetrol SA Bucharest Vega
Refinery and SC Rompetrol Rafinare SA.
CONCLUSION
