TEXAS LEAGUE OF UNITED LATIN AMERICAN CITIZENS RESOLUTION

Resolution to Consider Having LULAC Take a Neutral Position Regarding the Herbalife Issue and as such LULAC
shall not take any punitive action/s against any LULAC member for being a Herbalife agent; for purchasing or
promoting Herbalife products; or for soliciting funding or receiving funding from Herbalife; LULAC and LULAC
staff shall cease and desist being an investigative arm for any private entity investigating Herbalife; and LULAC shall
allow each LULAC member to react to the Herbalife issue as he/she wishes.

WHEREAS, the League of United Latin American Citizens is the nations oldest and largest Latino membership organization
and since its inception has fostered higher education and the advancement of all Hispanics at all levels and facets of our
American society; and

WHEREAS, the General Assembly of the Texas League of United Latin American Citizens is composed of the members of
the State Board of the Texas League of United Latin American Citizens and the Certified Delegates of the Councils who are
convened in the annual convention of the Texas League of United Latin American Citizens; and

WHEREAS, the General Assembly of the Texas League of United Latin American Citizens has the authority vested under
the Constitution, Bylaws and Protocols to consider resolutions that the Texas General Assembly desires to present to the
National General Assembly of National LULAC when it convenes in New York City in the month of July of 2013; and

WHEREAS, the National LULAC Executive Committee has adopted a position on an issue that involves Herbalife that the
National LULAC General Assembly nor the Texas LULAC General Assembly have debated nor take a position on;

THEREFORE BE IT RESOLVED, that the Texas LULAC General Assembly, after proper debate, takes the following
position regarding the Herbalife issue, that upon passage shall be presented to the National LULAC General Assembly, the
Supreme Authority of LULAC, when it convenes in New York City during the month of July 2014,

1. The League of United Latin American Citizens Takes a Neutral Position Regarding the Herbalife Issue, and as such:

A. LULAC shall not take any punitive action/s against any LULAC member for being a Herbalife agent;

B. LULAC shall not take any punitive action/s against any LULAC member for purchasing or promoting
Herbalife products;

C. LULAC shall not take any punitive action/s against any LULAC member for soliciting funding or receiving
funding from Herbalife;

D. LULAC and LULAC staff shall cease and desist being an investigative arm for any private entity
investigating Herbalife; and

E. LULAC shall allow each LULAC member to react to the Herbalife issue as he/she wishes.
