Focus on hiring only the best.
Make sure you have a written job description.
Dont limit your sources for good employees.
Avoid hiring someone who averages more than one employer every two years.
Use a rating system so that early candidates are not forgotten in the interview
process.
Where possible, promote from within to maintain employee morale.
A person with an extensive self-employment background is very likely to go back
to self-employment as soon as possible. Hire this person as a consultant.
Disabled workers often do a better jobwith greater loyalty and less absences.
Use a temporary employment agency instead of hiring an employee in haste.
Over qualifed people are better than under qualifed people.
Have the person leaving the position interview their replacement.
Test the skills and industry knowledge of a prospective employee. Get specifc.
Look into a potential employees energy levels. If you engage in more than one
interview, try to do it at different times ofthe day.
Look into any signifcant gaps in employment.
Consider using outside recruitment agencies if you wont follow a process.
Use pre-employment questionnaires.

RECEIVE THE NEW EMPLOYEE
Review a copy of the employees application. Be familiar with the employees experience,
training and education.
Review the job description with the employee, including the duties, responsibilities and
working relationships.
Discuss with the employee the unit organization and the department division organization.
Explain the total organization and how the employee fts in.
Find out the employees career goals and objectives. Relate them to the goals and objectives
of their position and the department.
Confrm that the employee has a copy of the Employee Handbook. Set aside at least two
hours in the frst week for the employee to read and understand the Employee Handbook.
WELCOME THE NEW EMPLOYEE
Introduce the new employee to his/her co-workers.
Indicate to each co-worker what the new employees position will be.
Explain the functions of each person to the new employee as you introduce them.
Show the new employee around.
Tour the department, plant and company.
Explain where the lavatories, coffee and/or break areas and the parking facilities are located.
Explain the various departments within the organization and their interrelationship.
Set a time and date, within one week, to cover any questions or concerns of the new employee
and check on the progress.

This Acknowledgment of Obligations (the Agreement) is made and effective this DATE,
BETWEEN:

WHEREAS, Company desires to employ Employee and Employee desires to be employed
by Company in connection with certain aspects of the development or marketing of
certain computer systems or other products for Company; and
WHEREAS, in connection with such employment, Employee may be given access to,
generate, or otherwise come into contact with certain proprietary and/or confdential
information of Company or clients of Company; and
WHEREAS, Employee and Company desire to prevent the dissemination or misuse of
such information;
NOW, THEREFORE, the parties hereto mutually agree as follows:
1. EMPLOYMENT
Company hereby employs or continues to employ Employee and Employee hereby accepts
employment, upon the terms and conditions contained herein and at a compensation
as shall be agreed upon from time to time by Company and Employee. This Agreement
shall commence on the date hereof and shall remain in effect for an indefnite time
until terminated by either party by giving the other party notice of termination at least
NUMBER days in advance. While employed by Company, Employee shall devote his or her
full working time to Companys affairs and shall faithfully and diligently serve Companys
interests.

Employee recognizes and acknowledges that the systems which Company owns, plans
or develops, whether for its own use or for use by its clients, are confdential and are
the property of Company. Employee further recognizes and acknowledges that in
order to enable Company to perform services for its clients, such clients may furnish to
Company confdential information concerning their business affairs, property, methods
of operation or other data; that the goodwill afforded to Company depends upon,
among other things, Company and its employees keeping such services and information
confdential (collectively, including Company systems and Company client information,
the Confdential Information).
3. NON-DISCLOSURE
Employee agrees that, except as directed by Company, the Employee will not at any
time, whether during or after his employment with Company, disclose to any person or
use any Confdential Information, or permit any person to examine and/or make copies
of any documents which contain or are derived from Confdential Information, whether
prepared by the Employee or otherwise coming into the Employees possession or control
without the prior written permission of Company.
4. POSSESSION
Employee agrees that upon request by Company, and in any event upon termination
of employment, Employee shall tum over to Company all documents, papers or other
material in his possession or under his control which may contain or be derived from
Confdential Information, together with all documents, notes or other work product
which is connected with or derived from Employees services to Company whether or not
such material is at the date hereof in Employees possession. Employee agrees that the
Employee shall have no proprietary interest in any work product developed or used by
Employee and arising out of his employment by Company. Company shall, from time to
time as may be requested by Company, do all things which may be necessary to establish
or document Companys ownership of any such work product, including, but not limited
to execution of appropriate copyright applications or assigoments
5. NON-COMPETITION
Employee agrees and covenants that because of the confdential and sensitive nature of
the Confdential Information and because the use of, or even the appearance ofthe use
of, the Confdential Information in certain circumstances may cause irreparable damage
to Company and its reputation, orto clients of Company, Employee shall not, until the
expiration of two years after the termination of the employment relationship between

Company and Employee, engage, directly or indirectly, or through any corporations or
associates in any business, enterprise or employment which is directly competitive with
Company.
6. SAVING PROVISION
Company and Employee agree and stipulate that the agreements and covenants not
to compete contained in the preceding paragraph are fair and reasonable in light of
all ofthe facts and circumstances ofthe relationship between Employee and Company;
however, Employee and Company are aware that in certain circumstances courts have
refused to enforce certain agreements not to compete. Therefore, in furtherance of and
not in derogation of the provisions of the preceding paragraph Company and Employee
agree that in the event a court should decline to enforce the provisions of the preceding
paragraph, that paragraph shall be deemed to be modifed to restrict Employees
competition with Company to the maximum extent, in both time and geography, which
the court shall fnd enforceable; however, in no event shall the provisions of the preceding
paragraph be deemed to be more restrictive to Employee than those contained therein.
7. ENFORCEABLE
The provisions of this Agreement shall be enforceable notwithstanding the existence of
any claim or cause of action of Employee against Company whether predicated on this
Agreement or otherwise.
8. ENTIRE AGREEMENT
This Agreement contains the entire agreement ofthe parties relating to the subject matter
hereof. This Agreement may be modifed only by an instrument in writing signed by both
parties hereto.
9. INJUNCTIVE RELIEF
The Employee acknowledges that disclosure of any Confdential Information or breach
of any of the non competitive covenants or agreements contained herein will give rise
to irreparable injury to Company or clients of Company, inadequately compensable in
damages. Accordingly, Company or, where appropriate a client may seek and obtain
injunctive relief against the breach or threatened breach of the foregoing undertakings,
in addition to any other legal remedies which may be available. The Employee further
acknowledges and agrees that in the event ofthe termination of employment with the
Company the Employees experience and capabilities are such that the Employee can
obtain employment in business activities which are of a different or non-competing
nature with his or her activities as an employee of Company; and that the enforcement of

a remedy hereunder by way of injunction shall not prevent the Employee from earning a
reasonable livelihood. The Employee further acknowledges and agrees that the covenants
contained herein are necessary forthe protection of the Companys legitimate business
interests and are reasonable in scope and content.
10. COMPANYS CLIENTS
If Employees employment with Company terminates for any reason, the Employee shall
not, for a period of one year from the date oftermination, have any business dealings
whatsoever, either directly or indirectly or through corporate entities or associates with
any customer or client of Company or its subsidiaries or any person or frm which has
contacted or been contacted by Company as a potential customer or client of Company;
and Employee shall keep in strictest confdence, both during the Employees employment
and subsequent to termination of employment, and shall not during the period of
employment or thereafter disclose or divulge to any person, frm or corporation, or
use directly or indirectly, for the Employees own beneft or the beneft of others, any
information which in good faith and good conscience ought to be treated as confdential
information including, without limitation, information relating to the software developed
by Company, information as to sources of, and arrangements for, hardware supplied to
customers or clients of Company, submission and proposal procedures of Company,
customer or contact lists or any other Confdential Information.
11. GOVERNING LAW
The Agreement shall be construed in accordance with the laws of the State of STATE/
PROVINCE.
12. NOTICE
Any notice to be given under this Agreement shall be suffcient if it is in writing and is
sent by certifed or registered mail to Employee at his residence address as the same
appears on the books and records of Company orto Company at its principal offce,
attention of the President, or otherwise as directed by Company, from time to time.
13. SURVIVAL
The provisions ofthis Agreement relating to confdentiality or non-competition shall
survive the termination of employment, however caused.

1. EMPLOYMENT

and employment, subject to the general supervision and pursuant to the orders,
advice, and direction of employer.
B. Employee shall perform such other duties as are customarily performed by
one holding such position in other, same, or similar businesses or enterprises as
that engaged in by employer, and shall also additionally render such other and
unrelated services and duties as may be assigned to HIM/HER from time to time
by employer.

2. BEST EFFORTS OF EMPLOYEE
Employee agrees that HE/SHE will at all times faithfully, industriously, and to the best of
HIS/HER ability, experience, and talents, perform all of the duties that may be required
of and from HIM/HER pursuant to the express and implicit terms of this Agreement,
to the reasonable satisfaction of employer. Such duties shall be rendered at ADDRESS,
CITY, STATE/PROVINCE, and at such other place or places as employer shall in good faith
require or as the interest, needs, business, or opportunity of employer shall require.
3. TERM OF EMPLOYMENT
The term of this Agreement shall be a period of NUMBER years, commencing DATE, and
terminating DATE, subject, however, to prior termination as provided in this Agreement.
At the expiration date of DATE, this Agreement shall be considered renewed for regular
periods of one year, provided neither party submits a notice of termination.
4. COMPENSATION OF EMPLOYEE
Employer shall pay employee, and employee shall accept from employer, in full payment
for employees services under this Agreement, compensation at the rate of SALARY
per MONTH/YEAR, payable twice a month on the NUMBER and NUMBER days of each
month while this Agreement shall be in force. Employer shall reimburse employee for
all necessary expenses incurred by employee while traveling pursuant to employers
directions.
5. TERMINATION DUE TO DISCONTINUANCE OF BUSINESS
In spite of anything contained in this Agreement to the contrary, in the event that
employer shall discontinue operating its business at ADDRESS, CITY, STATE/PROVINCE,
then this Agreement shall terminate as of the last day of the month in which employer
ceases operations at such location with the same force and effect as if such last day of
the month were originally set as the termination date of this Agreement.
6. OTHER EMPLOYMENT
Employee shall devote all of HIS/HER time, attention, knowledge, and skills solely to
the business and interest of employer, and employer shall be entitled to all of the
benefts, profts, or other issues arising from or incident to all work, services, and advice
of employee, and employee shall not, during the term of this Agreement, be interested
directly or indirectly, in any manner, as partner, offcer, director, shareholder, advisor,
employee, or in any other capacity in any other business similar to employers business

or any allied trade; provided, however, that nothing contained in this section shall be
deemed to prevent or to limit the right of employee to invest any of HIS/HER money in the
capital stock or other securities of any corporation whose stock or securities are publicly
owned or are regularly traded on any public exchange, nor shall anything contained in
this section be deemed to prevent employee from investing or limit employees right to
invest HIS/HER money in real estate.
7. TRADE SECRETS
Employee shall not at any time or in any manner, either directly or indirectly, divulge,
disclose or communicate to any person, frm, corporation, or other entity in any manner
whatsoever any information concerning any matters affecting or relating to the business
of employer, including but not limited to any of its customers, the prices it obtains or
has obtained from the sale of, or at which it sells or has sold, its products, or any other
information concerning the business of employer, its manner of operation, its plans,
processes, or other data without regard to whether all of the above-stated matters will
be deemed confdential, material, or important, employer and employee specifcally and
expressly stipulating that as between them, such matters are important, material, and
confdential and gravely affect the effective and successful conduct of the business of
employer, and employers good will, and that any breach ofthe terms of this section shall
be a material breach of this Agreement
8. TRADE SECRETS AFTER TERMINATION OF EMPLOYMENT
All of the terms of Section Eight of this Agreement shall remain in full force and effect
for the period of NUMBER years after the termination of employees employment for any
reason, and during such NUMBER-year period, employee shall not make or permit the
making of any public announcement or statement of any kind that HE/SHE was formerly
employed by or connected with employer.
9. REIMBURSEMENT OF EXPENSES
The Employee may incur reasonable expenses for furthering the Companys business,
including expenses for entertainment, travel, and similar items. The Company shall
reimburse Employee for all business expenses after the Employee presents an itemized
account of expenditures, pursuant to Company policy.
10. RECOMMENDATIONS FOR IMPROVING OPERATIONS
Employee shall make available to employer all information ofwhich employee shall have
any knowledge and shall make all suggestions and recommendations that will be of
mutual beneft to employer and employee.

11. ADDITIONAL COMPENSATION
Employee shall not be entitled to any additional compensation by reason of any service
that HE/SHE may perform as the member of any managing committee of employer, or
in the event that HE/SHE shall at any time be elected an offcer of director ofemployer.
12. EMPLOYEES INABILITY TO CONTRACT FOR EMPLOYER
In spite of anything contained in this Agreement to the contrary, employee shall not have
the right to make any contracts or commitments for or on behalf of employer without
frst obtaining the express written consent of employer.
13. AGREEMENTS OUTSIDE OF CONTRACT
This Agreement contains the complete Agreement concerning the employment
arrangement between the parties and shall, as of the effective date of this Agreement,
supersede all other Agreements between the parties. The parties stipulate that neither of
them has made any representation with respect to the subject matter of this Agreement
or any representations including the execution and delivery of this Agreement except
such representations as are specifcally set forth in this Agreement, and each of the
parties acknowledges that HE/SHE/IT has relied on its own judgment in entering into
this Agreement. The parties further acknowledge that any payments or representations
that may have been made by either of them to the other prior to the date of executing
this Agreement are of no effect and that neither of them has relied on such payments or
representations in connection with HIS/HER/ITS dealings with the other.
14. VACATION
Employee shall be entitled to NUMBER days of paid vacation each year during the term
of this Agreement, the time for such vacation to be determined by mutual Agreement
between employer and employee.
15. MODIFICATION OF AGREEMENT
Any modifcation ofthis Agreement or additional obligation assumed by either party in
connection with this Agreement shall be binding only if evidenced in writing signed by
each party or an authorized representative of each party.
16. FIDELITY BONO
Employee will immediately make application for a fdelity or a surety bond, to any company
designated by employer, in such amount as may be specifed by employer. Employer shall
pay the premium on such bond, and such bond shall continue in force in such amounts

as employer may from time to time require and in the event such bond is refused, or is
ever canceled, except with the approval of employer, employees employment may be
terminated immediately and employee shall be entitled to compensation to the date of
such termination only.
17. TERMINATION
A. This Agreement may be terminated by either party on NUMBER days written
notice to the other. If employer shall so terminate this Agreement, employee shall
be entitled to compensation for NUMBER days.
B. In the event of any violation by employee of any of the terms of this Agreement,
employer may terminate employment without notice and with compensation to
employee only to the date of such termination.
C. It is further agreed that any breach or evasion of any ofthe terms ofthis
Agreement by either party will result in immediate and irreparable injury to the
other party and will authorize recourse to injunction and or specifc performance
as well as to all other legal or equitable remedies to which such injured party may
be entitled under this Agreement.
18. TERMINATION FOR DISABILITY
A. In spite of anything in this Agreement to the contrary, employer has the option
to terminate this Agreement in the event that employee shall, during the term of
this Agreement, become permanently disabled as the term permanently disabled is
fxed and defned in this Section. Such option shall be exercised by employer giving
notice to employee by registered mail, addressed to HIM/HER in care of employer at
MAILING ADDRESS or at such other address as employee shall designate in writing
of employers intention to terminate this Agreement on the last day of the month
during which such notice is mailed. On the giving of such notice, this Agreement
shall cease on the last day ofthe month in which the notice is so mailed, with the
same force and effect as if such last day ofthe month were the date originally set
forth in this Agreement as the termination date of this Agreement.
B. For the purposes ofthis Agreement, employee shall be deemed to have become
permanently disabled, if, during any year ofthe term of this Agreement, because
of ill health, physical or mental disability or for other causes beyond employees
control HE /SHE shall have been continuously unable or unwilling or shall have
failed to perform HIS /HER duties under this Agreement for NUMBER consecutive
days, or if, during any year of the term ofthis Agreement, employee shall have been
unable or unwilling orshall have failed to perform HIS/HER duties for a total period

of NUMBER days, irrespective ofwhether or not such days are consecutive. For
the purposes ofthis Agreement, the term any year ofthe term of this Agreement
is defned to mean any 12-calendar-months period commencing on DATE, and
terminating on DATE, during the term of this Agreement.
19. DEATH BENEFIT
Should Employee die during the term of employment, the Company shall pay to
Employees estate any compensation due through the end of the month in which death
occurred.
20. EFFECT OF PARTIAL INVALIDITY
The invalidity of any portion of this Agreement will not and shall not be deemed to affect
the validity of any other provision. In the event that any provision of this Agreement is
held to be invalid, the parties agree that the remaining provisions shall be deemed to be
in full force and effect as if they had been executed by both parties subsequent to the
expungement of the invalid provision.
21. CHOICE OF LAW
It is the intention of the parties to this Agreement that this Agreement and the performance
under this Agreement, and all suits and special proceedings under this Agreement, be
construed in accordance with and under and pursuant to the laws of the State of STATE/
PROVINCE and that, in any action, special proceeding or other proceeding that may
be brought arising out of, in connection with, or by reason of this Agreement, the laws
of the State of STATE/PROVINCE shall be applicable and shall govern to the exclusion
of the law of any other forum, without regard to the jurisdiction in which any action or
special proceeding may be instituted.
22. NO WAIVER
The failure of either party to this Agreement to insist upon the performance of any of the
terms and conditions of this Agreement, or the waiver of any breach of any of the terms
and conditions of this Agreement, shall not be construed as thereafter waiving any such
terms and conditions, but the same shall continue and remain in full force and effect as
if no such forbearance or waiver had occurred.
23. ATTORNEY FEES
In the event that any action is fled in relation to this Agreement, the unsuccessful party
in the action shall pay to the successful party, in addition to all the sums that either party
may be called on to pay, a reasonable sum for the successful partys attorneys fees.

relational competence by utilizing recruitment techniques through-
out the hiring and on-boarding processes.
Common companies tend to hire solely based on functional
expertise. Interviewing candidates based only on their functional
expertise produces as much of a chance for a return on your
investment as blind speed dating. Efective leaders utilize
behavioral interviewing questions and scenarios to hire for
relational competence.

Leaders who take pride in

skills (ability to motivate

management (diplomatic

(drive for results), fitting
into the organizational
culture, catalyzing positive
changes (driving for CQI),
representing the organization
well to external entities, and
going beyond formal job
descriptions to contribute
outside of ones own role.
At the end of each
assessment, candidates
will be found to be one of
two types of people: A giver
or a taker. Givers focus on
themselves and their own
personal improvement.
They build others up
through commitment,
communication, competency,
enthusiasm, dependability,
self-improvement and selfless
behaviors. Givers make you
feel good to be around them.
Its as if they give you wing
beneath your wings.
On the other hand, takers
look for someone to blame
when something is said or a
change is made. They seek
out ways to pin wrongdoings
on anyone except themselves.
Takers typically focus on
and talk about others. They
blame others or make excuses
for everything. Most takers
tend to build walls between
people, creating divisions.
Leaders end up spending all
their time managing takers,
their wants and endless
needs. Unfortunately,
this undermines your
organizations progress
with shared goals, shared
knowledge and mutual
respect.
If you surround
yourself with takers,
you will fail.

Draw a line in the dirt! Refuse to hire
individuals who havent behaviorally
demonstrated a commitment to
values such as integrity, responsibility,
respect, etc. Dont fall into the belief
trap believing (or hoping) that you
can train for these characteristics at a
later date. It rarely happens.
Hire for tomorrows job. Dont just
hire for a position, hire for the future.
Jobs, technologies, and markets are
changing faster than ever. Look for
people who are intelligent, quick
learners, and adaptable to change.
Hire people for who they are. One of
the biggest mistakes most employers
make is to value previous work
experience above all else. In todays
rapidly changing world, however,
experience ofen represents how it
used to be done. When evaluating
candidates, look for traits like
hard-working, good team player,
dependable, honest, etc. rather than
just an inventory of skills they acquired
in previous employment.

Bring on people who are diferent
from you. You dont need anyone else
to think what you think and do what
you do. Youre already there! Look for
fresh and diferent people who will
bring fresh and diferent ideas. Hire for
diversity.
If stafing is one of your leadership responsibilities, you undoubtedly know that hiring
the right people can be tough and tedious work.
But its also important work arguably the most important function you will ever
perform. With few exceptions, the more efort you put into the hiring process,
the less you need to devote to managing the performance of the people you bring on.
