Attached for your review and signature, please find the Unanimous Written Consent related to the renewal of the current worldwide
CBS Administration Agreement. In exchange for a five (5) year renewal period (starting after the current expiration date of December
31, 2014) CBS will be paid a total advance of $30 million. Also attached for your review and consideration is the deal summary that
has been prepared by Sony/ATV management.
