Professional Services: Installation and Training

The solution will be installed at Customer Site by HT field application engineers.
Duration of the activities is actually planned for one (1) working day and it will be under Customer responsibility to
prepare the Operation Environment.
In addition to that, there will be four (4) days of training focused on the usage of RCS.

Terms & Conditions

a. Warranty
The warranty period for HT software products is one year starting from date of delivery.

b. Maintenance
Maintenance fee for four (4) years is included in the price; it includes:
Remote Control System Software Update (bug fixing, Software enhancement for the platforms
acquired)
Dedicated Support through Web Ticketing System

c. Financials
1. Pricing doesnt include VAT and local taxes.
2. Prices are reserved to Sym for Jalisco Antisecuestro
3. Sym accepts to purchase REMOTE CONTROL SYSTEM Galileo as above reported for a price of
US$ 925,000.00
4. Sym has to sign this proposal for acceptance and General Terms and Conditions.
5. The End User has to sign the End User License Agreement
6. Software Delivery within 60 days upon the Purchase Order is received.
7. Local Training (held at Customer premises) within 60 days from PO signature (to be agreed)
8. Terms of Payment: $550,000.00 advanced payment, 3 installments of $125,000.00 at the completion
of delivery and installation activities.
9. Invoices and Payments. The Invoice will be issued:
o $550,000.00 when the PO is received, Payment at the signature of the PO.
o $375,000.00 in three installments of $125,000.00 each every two month starting at the
completion of delivery and installation activities.
10. Offer Validity: The quotation is valid 30 days.

General Terms and Conditions

With reference to what is not provided in this Proposal, the contract relation shall be ruled/governed by the
legal rules and principles contained in the General Terms and Conditions herewith enclosed and forming
integral and substantial part of this Proposal.
According to article 1341 and 1342 of Italian Civil Code, the following articles of the General Terms and
Conditions are specifically approved: 7 (LIMITED WARRANTY); 8 (NO OTHER WARRANTIES.); 9
(NO LIABILITY FOR CONSEQUENTIAL DAMAGES); 10. (WARNING); 11 (FORCE MAJEURE) 12
(LIMITED INDEMNITY AGAINST INFRINGEMENT) 13 (GOVERNING LAW) 14 (MANTENANCE;
LIMITATION OF LIABILITY; NO OTHER WARRANTIES; NO LIABILITY FOR CONSEQUENTUAL
DAMAGES).
