Each year, a business corporation must file an annual report and verify its continued existence as a corporation. Annual reports for domestic
corporations are due each year on or before August 1. If your corporation is no longer active and wishes to voluntarily dissolve itself as a legal entity,
contact the Secretary of State's Business Division for information regarding the dissolution process. If a corporation chooses not to file an annual
report by the due date or file articles of dissolution, state law requires the involuntary dissolution of the corporation one year after the report's due date,
which, for this report is August 1, 2008.
State law (N.D.C.C., Section 10-19.1-146) requires specific information on a domestic corporation's annual report. Therefore, please read the
following instructions carefully. Even though a corporation's annual report is submitted for filing, it cannot be considered timely filed until the report
contains all of the information required by state law. A rejected report may result in late filing penalties.
Corporate Name: The corporation's name is pre-printed on the form exactly as it is stated in the corporation's articles of incorporation on record with
the Secretary of State. If the corporation has changed its name, do not make any changes on this form to the pre-printed name. By law, a corporation
is only allowed to change its legal corporate name by filing an amendment to its articles of incorporation. Contact the Secretary of State's Business
Division for information regarding the filing of a name change amendment.
Registered Agent/Agent's Address: By law, all corporations must continuously maintain a registered agent and have the name and address of that
registered agent on file with the Secretary of State. The name pre-printed at the top of the report below the corporate name is the name of the
registered agent currently on file with the Secretary of State. A Registered Agent/Office Statement of Change form is enclosed (also available on the
Secretary of State's website) to be completed if the corporation needs to change either the registered agent or the address of the registered agent. Do
not cross out or make changes to the registered agent or address on this report form.
Instructions: The following numbered instructions correspond to the numbers on the annual report form.
Payment of the fees may be made by credit card (VISA, MasterCard, or Discover) or checks payable to the Secretary of State for negotiable United
States funds.
An annual report may be faxed to the Secretary of State when payment has already been made to the Secretary of State, or is accommodated with the
credit card authorization form at the bottom of page 2 of the form. When faxing an annual report, maintain the fax transmission log as proof the report
was faxed.
NONREFUNDABLE FEE: North Dakota law provides that annual report filing fees and late filing fees are nonrefundable when a corporation submits an
annual report and fails to provide sufficient information or fees to enable the Secretary of State to file the annual report. The nonrefundable fees are
credited to the state general fund. (N.D.C.C., Section 10-19.1-147).
EXTENSION: If the annual report cannot be filed by the filing deadline date, the law allows the Secretary of State to grant an extension. The request
for a deadline extension must be made in writing and received on or before August 1, 2007. A written request can be hand carried, mailed or faxed. It
must include: (a) the name of the corporation; (b) the pre-printed "ID #" from the upper right corner of the front page; and (c) a specific date (month,
day, year) by which the 2007 report will be filed. The new extended filing deadline must be within the 11-month period after August 1, 2007. Please
note, only one extension can be granted. Do not send the filing fee with the extension request.
STANDING EXTENSION: A corporation with a fiscal year ending between May 1 and August 1 may request an extension to apply to reports for
subsequent years. A standing extension must be requested in writing and be postmarked or faxed on or before August 1, 2006. It must include (a) the
name of the corporation; (b) the "ID #" from the upper right corner of the front page; and (c) a specific date (month, day) by which the report will be filed
each year. The extended filing deadline must be within the 11-month period after the August 1 deadline. This date will be the extended date of the
report each year until the fiscal year is changed, or an alternate extension is requested. Do not send the filing fee with the extension request.
2. Describe the business activities in which the corporation is actually engaged in North Dakota if not already preprinted as previously reported. You may
change the business activity on the form if not correctly stated.
3. While the federal ID number is not required to be disclosed, a corporation's Federal ID number is helpful for maintaining accurate records. Please
provide, if you have one. If the preprinted number is not correct, cross out and correct as necessary.
Privacy: In compliance with N.D.C.C., Section 10-19.1-149.1, social security or Federal ID numbers are not disclosed to the public. They are used by
the Secretary of State to maintain accurate corporate files. Therefore, while voluntary disclosure is requested, failure to do so will not result in
rejection of the document.
4. A telephone number for the corporation is required. The number as previously reported is preprinted on the form. Change the number if no longer
correct.
5. The address of the corporation's principal office is preprinted as previously reported to this office. If this address is no longer correct, cross out the
incorrect address and provide the correct complete address. If the corporation does not maintain an office, provide the address of one of the
corporation's officers. A complete address must include a street or rural address, a post office box (if applicable), the city and state, and a zip code
address with 4-digit extension. The address cannot only be a post office box. It must include a street or rural address.

6. This report must list the name and a complete mailing address for the president, secretary, treasurer, and at least one director. Quite often, the
secretary and treasurer are the same person. If an individual serves in more than one position, list the same name for each office or use ditto marks.
By law, a corporation must have at least one director (an officer may also serve as a director). A complete address must include a street or rural
address, a post office box (if applicable), the city and state, and a zip code with 4-digit extension.
NOTE: Because of statutory changes in HB. 1241 passed by the sixtieth Legislative Assembly, line items 8 - 10 may be left blank if the
annual report is submitted after July 1, 2007.
7. Enter the number of shares actually issued. If shares have not been issued, enter a "0" or "None" in this item. This item must be completed. A
blank, dashes, or slashes in this number are not interpreted as "0".
You may change the class, number, or par value of the authorized shares only by filing an amendment to the articles of incorporation. Contact the
Secretary of State's Business Division for information regarding amendments. When a corporation has delayed payment of license fees until after
shares are issued, the corporation will be notified of license fees due. The license fees must be paid before the report can be officially filed.
8. This line item reflects the fiscal year-end for the financial information in numbers 9 and 10. If the corporate fiscal year (tax year) ends on December
31, the year-end should be December 31, 2006. If the fiscal year (tax year) ends before August 1, the year end should be that month, day, 2007. If
the fiscal year (tax year) ends on or after August 1, the year-end should be that month, day, 2006.
If the corporation has filed a previous report, the fiscal year-end (tax year) for this report which is subsequent to that on the previous report filed has
been preprinted on the form. If this year end has changed, provide the correct year-end and put a statement in number 7 to explain the change in the
fiscal year-end.
The FINANCIAL AMOUNTS FOR NUMBERS 9 AND 10 ARE FOR THE FISCAL YEAR (TAX YEAR) ENDING DECLARED IN NUMBER 8 OF THIS
REPORT. Both items must be completed with a figure or a "0". Blanks, dashes, or slashes in these line items cannot be accepted or interpreted as
"0".
9. Provide the value (in U.S. dollars) of all the property owned by the corporation wherever located. This amount is the same amount reported as "Total
Assets" on the federal tax return. Property is defined in North Dakota Century Code, Section 1-01-49 to include both real and personal property
which are defined as follows:
a. Personal property includes money, goods, chattels, things in action, and evidences of debt.
b. Real property shall be coextensive with lands, tenements, and hereditaments (things capable of being inherited).
10. Provide the total gross income (in U.S. dollars) the corporation derived from business operations during its fiscal year (tax year). This amount is the
same amount reported as "Total Income" on the federal tax
11. The report must be dated and bear the signature of someone authorized by the corporate articles or bylaws, or by a resolution approved by the
Board of Directors. A stamped or facsimile signature is acceptable.
12. Provide the name, email address, daytime telephone number, and extension, if any, of the person to contact for any issues related to this report.
However, it may allow the Secretary of State's staff to make contact with the right person, either by telephone or e-mail, for expediting additions or
corrections to the annual report form without returning it to the filer. If the report must be returned to the filer by regular mail,
the following information will make it possible to send it direct to the filer's contact person who can provide a timely response.
Occasionally, returned reports are misplaced or misdirected within a filer's office, which sometimes results in the assessment of a late
filing fee. Your volunteering the requested information may prevent that from happening and result in faster processing of your report.

year, annual reports for domestic corporations are due on or before August 3. If your corporation is no longer active and wishes to voluntarily dissolve
itself as a legal entity, contact the Secretary of State's Business Division for information regarding the dissolution process. If a corporation chooses
not to file an annual report by the due date or file articles of dissolution, state law requires the involuntary dissolution of the corporation one year after
the report's due date, which, for this report is after August 2, 2010.
State law (N.D.C.C., Section 10-19.1-146) requires specific information on a domestic corporation's annual report. Therefore, please read the
following instructions carefully. Even though a corporation's annual report is submitted for filing, it cannot be considered timely filed until the report
contains all of the information required by state law. A rejected report may result in late filing penalties.
Corporate Name: The corporation's name is pre-printed on the form exactly as it is stated in the corporation's articles of incorporation on record with
the Secretary of State. If the corporation has changed its name, do not make any changes on this form to the pre-printed name. By law, a corporation
is only allowed to change its legal corporate name by filing an amendment to its articles of incorporation. Contact the Secretary of State's Business
Division for information regarding the filing of a name change amendment.
Registered Agent/Agent's Address: By law, all corporations must continuously maintain a registered agent and have the name and address of that
registered agent on file with the Secretary of State. The name pre-printed at the top of the report below the corporate name is the name of the
registered agent currently on file with the Secretary of State. A Registered Agent/Office Statement of Change form is enclosed (also available on the
Secretary of State's website) to be completed if the corporation needs to change either the registered agent or the address of the registered agent. Do
not cross out or make changes to the registered agent or address on this report form.
Instructions: The following numbered instructions correspond to the numbers on the annual report form.
Payment of the fees may be made by credit card (VISA, MasterCard, or Discover) or checks payable to the Secretary of State for negotiable United
States funds.
An annual report may be faxed to the Secretary of State when payment has already been made to the Secretary of State, or is accommodated with the
credit card authorization form at the bottom of page 2 of the form. When faxing an annual report, maintain the fax transmission log as proof the report
was faxed.
NONREFUNDABLE FEE: North Dakota law provides that annual report filing fees and late filing fees are nonrefundable when a corporation submits an
annual report and fails to provide sufficient information or fees to enable the Secretary of State to file the annual report. The nonrefundable fees are
credited to the state general fund. (N.D.C.C., Section 10-19.1-147).
EXTENSION: North Dakota corporate laws are changing effective July 1, 2009! The Sixty-First Legislative Assembly recently passed House Bill 1298
which included a provision repealing the Secretary of State's authority to extend the filing date for annual reports. Therefore, the Secretary of State will
not be able to grant extensions for later filing of annual reports. The annual report must be postmarked on or before August 3, 2009.
2. Describe the business activities in which the corporation is actually engaged in North Dakota if not already preprinted as previously reported. You may
change the business activity on the form if not correctly stated.
3. While the federal ID number is not required to be disclosed, a corporation's Federal ID number is helpful for maintaining accurate records. Please
provide, if you have one. If the preprinted number is not correct, cross out and correct as necessary.
Privacy: In compliance with N.D.C.C., Section 10-19.1-149.1, social security or Federal ID numbers are not disclosed to the public. They are used by
the Secretary of State to maintain accurate corporate files. Therefore, while voluntary disclosure is requested, failure to do so will not result in rejection
of the document.
4. A telephone number for the corporation is required. The number as previously reported is preprinted on the form. Change the number if no longer
correct.
5. The address of the corporation's principal office is preprinted as previously reported to this office. If this address is no longer correct, cross out the
incorrect address and provide the correct complete address. If the corporation does not maintain an office, provide the address of one of the
corporation's officers. A complete address must include a street or rural address, a post office box (if applicable), the city and state, and a zip code
address with 4-digit extension. The address cannot only be a post office box. It must include a street or rural address.
6. This report must list the name and a complete mailing address for the president, secretary, treasurer, and at least one director. Quite often, the secretary
and treasurer are the same person. If an individual serves in more than one position, list the same name for each office or use ditto marks. By law, a
corporation must have at least one director (an officer may also serve as a director). A complete address must include a street or rural address, a post
office box (if applicable), the city and state, and a zip code with 4-digit extension.
7. Enter the number of shares actually issued. If shares have not been issued, enter a "0" or "None" in this item. This item must be completed. A blank,
dashes, or slashes in this number are not interpreted as "0".
You may change the class, number, or par value of the authorized shares only by filing an amendment to the articles of incorporation. Contact the
Secretary of State's Business Division for information regarding amendments.

8. The report must be dated and bear the signature of someone authorized by the corporate articles or bylaws, or by a resolution approved by the Board
of Directors. A stamped or facsimile signature is acceptable.
9. Provide the name, email address, daytime telephone number, and extension, if any, of the person to contact for any issues related to this report.
However, it may allow the Secretary of State's staff to make contact with the right person, either by telephone or e-mail, for expediting additions or
corrections to the annual report form without returning it to the filer. If the report must be returned to the filer by regular mail,
the following information will make it possible to send it direct to the filer's contact person who can provide a timely response.
Occasionally, returned reports are misplaced or misdirected within a filer's office, which sometimes results in the assessment of a late
filing fee. Your volunteering the requested information may prevent that from happening and result in faster processing of your report.
10. Provide the name and mailing address where the Secretary of State should return the report, if necessary, for corrections, additional
information, or payment.
READ CAREFULLY! Mark the circle to elect postcard notification instead of a paper form packet when future annual reports are due.
11. ASSISTANCE: If assistance is required to complete the annual report, contact the Secretary of State.
