Agreement

THIS AGREEMENT made on the 8th day of May, 2016


BETWEEN:
M/s S.S REALESTATE, the Proprietorship Firm having its office address at 205,
Dumrao Palace, Frazer road, P/S-Gandhi Maidan, Patna, Bihar-800001,
represented by Mohammad Shamsher S/O Mohammad Shamsuddin resident of
205, Dumrao Palace, Frazer road, P/S-Gandhi Maidan, Patna, Bihar-800001,
hereinafter referred to as First Part ,
AND:
M/s Seth Edu Private Limited, the company having its registered office at 704,
Gharounda Complex, Bailey Road, Jagadeo Path, Patna, Bihar-800011,
represented by Mr. Gautam Seth, Director of the company, hereinafter referred to
as Second Part,
WHEREAS:
1)
The company is carrying on the business activities of real estate in the State
of Bihar.
2)
The First Part has its land at Bihta which is known by the project name
S.M. Patli.

3)
The parties hereto are desirous of recording the terms and conditions of
their Agreement in writing;
NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES
HERETO AS FOLLOWS:1) That the Second Part is Sales Partner with the First Part and the sales &
marketing responsibilities will be on the Second Part.
2) Any Booking made by the Second Part will be treated as the booking of
First Part and the amount of booking will be paid to the First Part.
3) The receipt will be valid only if it is issued by the First Part.
4) That the First Part will pay 10% of the booking amount to the Second Part
on the booking contribution made by it.
5) In case of cancellation of booking made by the Second Part, refund will be
granted to the purchaser by the First Part.
6) The Parties have mutually agreed for the term of 2 (Two) Years and after its
expiry, the agreement will be renewed if both the parties have given their
consent.
7) No modification of alteration of this Agreement or any of its terms or
provisions shall be valid or binding unless made in writing duly signed by
all the part mentioned above.

8) This Agreement is personal to the parties mentioned above and shall not be
transferred or assigned in whole or in part by either party without the prior
written consent of the other.

9) If any dispute or difference shall at any time arise between the parties as to
any terms, provisions or matters contained herein on as to their respective
rights, claims, duties or liabilities hereunder or otherwise, howsoever in

relation to or arising out of or concerning this Agreement, such dispute or


difference shall be referred to the arbitration. Such arbitration shall be held
under and in accordance with the provisions of the Arbitration and
Conciliation Act, 1996.

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be
executed as of the date stated above.
