its Proposal including but not limited to preparation, copying, postage, delivery fees, expenses
associated with any demonstrations or presentations which may be required by the Authority or
any other costs incurred in connection with or relating to its Proposal. All such costs and expenses
will remain with the Bidder and the Authority shall not be liable in any manner whatsoever

Definitions
Andhra Pradesh State FiberNet Limited (APSFL), is a PSU 100% owned by the Government of
Andhra Pradesh. The corporation has been established primarily to undertake the works of AP
Fiber Grid. APSFL is planning to procure Customer Premise Equipment (CPE)-IPTV Box with
Wi-Fi(2k enabled) and IPTV Box with Wi-Fi(4K enabled) to deliver the intended services such as
internet/telephony/IPTV/triple play services for households, PHC, schools and Government
institutions through AP Fiber Grid. As part of the procurement activities, APSFL invites bids for
empanelment of vendors for procurement of CPEs on rate contract basis.
Short Titles used in the Tender Document:
1. Bidder: Bidder means the party who makes a formal offer in pursuance of the tender
floated.
2. Successful Bidder: Successful Bidder means the Bidder who becomes successful through the
tender process.
3. Day: A day means a calendar day.
4. Service Centre: Service Centre means the centre or place, wherein the Bidder, interalia
undertakes and performs the service activities relating to CPEs/tendered items as indicated
in the tender and shall include a Direct service centre or Authorized dealer or Franchisee
service centre of the bidder:

5. Life Cycle Cost: Life Cycle Cost means the total cost to be incurred by APSFL towards the
purchase of CPE and also charges to be incurred by APSFL for maintenance of the same
during the Standard warranty period of one year and Post Warranty period of 2 years.
6. Purchaser: Purchaser means the end-user for whom the procurement is indented through
the tender.

1 Project Back Ground


Andhra Pradesh State FiberNet Limited (APSFL) has been incorporated under the Companies Act,
2013 in October 2015, to undertake the works of AP Fiber Grid, its operations & maintenance and
its business activities. It is a fully owned entity of the Government of AP under the control of
Energy, infrastructure & Investment (E, I&I) department. APSFL aims to provide the high quality &
affordable digital services to households, Government and Business. .
Fiber Grid is one of the 5 Grids identified by the Government of Andhra Pradesh to accelerate socioeconomic growth of the State. Fiber Grid is primarily aimed at harnessing the power of information
resource and enabling provision of qualitative and cost-effective IT, Communication (data, voice &
video) related services to the citizens of A.P.
Vision of AP Fiber Grid is as follows:
To establish a highly scalable network infrastructure, accessible on a non-discriminatory basis, to
provide on demand, affordable and end-to-end broadband connectivity of 10 Mbps for ALL households
and 1 to 10 Gbps for ALL institutions & Multi-Dwelling Units by 2018, to enable realization of the
Vision of Digital Andhra Pradesh, in partnership with the Government of India and the private sector
In line with the vision, a dual phased approach has been undertaken to deliver the project mandate
in AP.
Phase I Aerial Fiber Grid Network will create an aerial fiber network up-to Mandal Level by
leveraging assets of Electricity companies.
Phase II - Underground Fiber Network is envisioned to create an underground Fiber network
covering the entire State upto Gram Panchayats level.
The diagram below depicts the proposed architecture for aerial and underground Fiber networks:
Phase-I of the Project (Aerial Fiber grid project), which is presently under implementation is
creating an overhead Fiber network across AP State. The Fiber is being laid overhead using the
network of electricity poles across the State. Approximate length of Fiber to be laid as part of this
project is 22,400 Kms.
Phase-I project components include laying aerial optical Fiber across the State upto mandal level, so
that the State, District, Zonal and Mandals are connected with each other using ring topology as
much as possible. In addition, the last mile connectivity is to be made available through a network
of Local Cable Operators that have the capability to provide bandwidth.

Points of Presence (PoPs) are to be created at the State, District and Mandal level. The objectives of
the PoPs is to enable the customers / ecosystem partners like Local Cable Operators etc. to have
easy access to the network. A total of approx. 2449 PoPs are created across the state.
Phase 1 AP Aerial Fiber project implementation works are under active progress and commercial
services are scheduled to commence shortly.
The specifications and open standards for Customer Premises Equipment (CPE) under this
network, which can deliver all the three services i.e. Triple play Cable TV, high-speed broadband
and Telecom, have already been released.
Online enrolment of MSOs/LCOs for business association with APSFL have been opened on 14th
March 2016 and received enthusiastic response with around 700 MSOs/LCOs enrolled so far.
The APSFL has obtained the required licenses to carry on its business activities Internet Service
Provider (ISP-B), National Long Distance and Unified Service Access License from the Dept. of
Telecom, Govt. of India on 8th March 2016.
In the context of this project, Authority intends to empanel vendors for procurement of Customer
Premise Equipment to be provided to the end users of AP Fiber Grid.

2 Scope of Tender
Andhra Pradesh State FiberNet Limited intends to provide the services through the AP Aerial Fiber
Network to the households and the government offices (Departments/schools/hospitals etc),
APSFL has finalized the standards & specifications for the Customer Premise Equipment (CPE) to
enable the intended services. The CPEs will be procured by APSFL based on the requirement/need
of Government offices from the empanelled vendors. The registered MSOs/LCOs of APSFL may
procure the CPEs from the empanelled vendors and from open market.
APSFL has planned to commence the services of AP Fiber Grid from September 2016. This
empanelment is valid for first year operation and the same will be extended for further periods
(second & third year) on a mutually agreeable basis between APSFL & vendors and APSFL reserves
the right to extend the contract beyond one year.
The proposed number of CPEs that will be installed by APSFL or its associates in the first year is 8
to 10 lakhs (approx.) and about 20 lakhs in the second year and about 30 lakhs in the third year.
Since the requirement is huge, APSFL has decided to empanel multiple vendors for procurement
and the finalization of the vendors will be done as per the Empanelment Process mentioned in this
tender including the preference and indicative allocation of the quantity in percentage.
APSFL has decided to procure the CPE- IPTV Box with Wi-Fi(2k enabled) and IPTV Box with WiFi(4K enabled) and the details & specifications of the CPE is given at Section 8
The scope of work covers three phases as follows:

2. Delivery Phase
3. Maintenance Phase

Sample Testing & Acceptance
The shortlisted empanelled vendors (post issue of LOI) have to submit the sample for each type of
the CPE for which they have been short listed for testing and the CPE has to comply for all the
standards & specifications given in the tender and any other compliance that are deemed necessary
for delivery of quality services to the end users adhering to the SLA.

The number of samples will be spelt out by APSFL at the time of calling for sample testing and also
testing will done at the lab and as well as at the field as per requirement. Two weeks time will be
given for submission of samples. In case of any failure/delay in submission of samples, APSFL
reserves the right to cancel the LOI issued.
Delivery Phase
The scope of work shall comprise of delivery of the CPEs against the work order that will be
released by on periodical basis by APSFL. The delivery site will be identified in the following
Districts by APSFL:
1. Amravati ( Vijayawada/Guntur region)
2. Tirupati
3. Vishakhapatnam
4. APSFL may add additional Districts for delivery.
Warranty Phase
After the installation and commissioning of the CPE by the service provider of APSFL, the
maintenance of the CPEs as per the Service Level Agreement (SLA) to be maintained during the
warranty phase of one year from the date of commissioning date..
The service provider of APSFL will attend to any last mile connectivity problem/issue in delivering
the service. If the issue is with the CPE, then it has to be attended by the empanelled. Till the
problem is rectified, spare CPE is to be provided.
Empanelled Vendors have to setup the service centers in selected Districts (Minimum 5 Districts) of

6 Tender Terms & Conditions


6.1 General
The Bidders are requested to examine the instructions, terms and conditions and specifications
given in the Tender. Failure to furnish all required information in every respect will be at the
Bidder's risk and may result in the rejection of bid.
It will be imperative for each Bidder(s) to familiarize themselves with the prevailing legal situations
for the execution of contract. APSFL shall not entertain any request for clarification from the Bidder
regarding such legal aspects of submission of the Bids.
It will be the responsibility of the Bidder that all factors have been investigated and considered
while submitting the Bids and no claim whatsoever including those of financial adjustments to the
contract awarded under this tender will be entertained by APSFL. Neither any time schedule nor
financial adjustments arising thereof shall be permitted on account of failure by the Bidder to
appraise themselves.
The Bidder shall be deemed to have satisfied itself fully before Bidding as to the correctness and
sufficiency of its Bids for the contract and price quoted in the Bid to cover all obligations under this
Tender.
It must be clearly understood that the Terms and Conditions and specifications are intended to be
strictly enforced. No escalation of cost in the Tender by the Bidder will be permitted throughout the
period of Agreement or throughout the period of completion of contract whichever is later on
account of any reasons whatsoever.
The Bidder shall make all arrangements as part of the contract to submit the samples for testing
and acceptance before award of the contract/first work order. The bidder shall deliver the
equipment at the location specified in the tender at their own cost and transport. Also, necessary
training to be provided to APSFL/ their service providers for installation of the equipment at the
end user premises. The support services such as keeping the required spares and service engineers
at their service centre(s) and maintenance of the equipment during the warranty period and
extended warranty period shall be the responsibility of the bidder.
The Bidder should be fully and completely responsible to APSFL and State Government for all the
deliveries and deliverables.

6.2 Clarifications in the Tender


A prospective Bidder requiring any clarification in the Tender may notify APSFL by letter or by Fax
or by E-mail to md@apsfl.in with a copy to edc.apsfl@ap.gov.in.
The bidder shall submit any queries related to the Bid document in the following format. The

6.3 Amendments to the Tender


A Pre-bid meeting will be held for addressing the clarifications on the date and time mentioned in
the Tender Data Sheet or any other date to be decided by APSFL. The Bidders are requested to
participate in the Pre-bid meeting and get the clarifications.
Before closing of the Tender, clarifications and amendments if any will be notified in the websites
mentioned in the Tender Schedule. The Bidders periodically check for the amendments or
corrigendum or information in the websites till the closing date of this Tender. APSFL will not make
any individual communication and will in no way be responsible for any ignorance pleaded by the
Bidders.
Before the closing of the Tender, APSFL may amend the Tender document as per requirements or
wherever APSFL feels that such amendments are absolutely necessary.
Amendments also may be given in response to the queries by the prospective Bidders.
Such amendments will be notified in the websites mentioned in the tender schedule.
APSFL at its discretion may or may not extend the due date and time for the submission of bids on
account of amendments.
APSFL is not responsible for any misinterpretation of the provisions of this tender document on
account of the Bidders failure to update the Bid documents on changes announced through the
website.

6.4 Language of the Bid


The bid prepared by the Bidder as well as all correspondence and documents relating to the bid
shall be in English only. The supporting documents and printed literature furnished by the bidder
may be in another language provided they are accompanied by an accurate translation in English
duly notarized, in which case, for all purposes of the bid, the translation shall govern. Bids received
without such translation copy are liable to be rejected.

6.5 Bid Currency


Price should be quoted in Indian Rupees (INR) only and Payment shall be made in Indian Rupees
only.

6.6 Contacting Tender Inviting Authority


Bidders shall not make attempts to establish unsolicited and unauthorized contact with the Tender
Accepting Authority, Tender Inviting Authority or Tender Scrutiny Committee after the opening of
the Tender and prior to the notification of the Award and any attempt by any Bidder to bring to
bear extraneous pressures on APSFL shall be sufficient reason to disqualify the Bidder.
Notwithstanding anything mentioned above, APSFL may seek bonafide clarifications from Bidders
relating to the tenders submitted by them during the evaluation of tenders.

6.7 Force Majeure


Neither the Purchaser / APSFL nor the Successful Bidder shall be liable to the other for any delay or
failure in the performance of their respective obligations due to causes or contingencies beyond
their reasonable control such as:

Natural phenomena including but not limited to earthquakes, floods and epidemics.

Acts of any Government authority domestic or foreign including but not limited to war
declared or undeclared, priorities and quarantine restrictions.

Accidents or disruptions including, but not limited to fire, explosions, breakdown of


essential machinery or equipment, power and water shortages.

6.8 Arbitration
In case of any dispute, the matter will be referred to a sole Arbitrator to be appointed by the
Managing Director of APSFL under the Arbitration and Conciliation Act 1996. The arbitration
shall be held in Hyderabad, India and the language shall be English only. Subject to the above, the
Courts at Hyderabad alone only shall have jurisdiction in the matter.

6.9 Cost of bidding


The Bidders should bear all costs associated with the preparation and submission of Bids. APSFL
will in no way be responsible or liable for these charges/costs incurred regardless of the conduct or
outcome of the bidding process.

6.10 Tender Document Fees


The Tender Documents may be directly downloaded from APSFL website on payment of fees as
mentioned in the Tender Schedule.

6.11 Earnest Money Deposit


An EMD amount as specified in the Tender Schedule should be paid by way of Demand Draft or
Banker's Cheque drawn in favour of Andhra Pradesh State FiberNet Limited payable at
Hyderabad. The Demand Draft or Banker's Cheque should be deposited physically along with the
bid.
The EMD of the unsuccessful Bidders will be returned at the expense of the Bidders within a
reasonable time consistent with the rules and regulations in this behalf. The EMD amount held by
APSFL till it is refunded to the unsuccessful Bidders will not earn any interest thereof.
The EMD amount of the Successful Bidder can be converted into Security Deposit (SD) for
successful execution of the work and will be returned only after the successful fulfillment of the
Contract.
The EMD amount will be forfeited by APSFL, if the Bidder withdraws the bid during the period of its
validity specified in the tender or if the Successful Bidder fails to sign the contract or the Successful
in bidder fails to remit Security Deposit within the respective due dates.

6.12 Letter of Authorization


A letter of Authorization from the Board of Directors / appropriate authority authorizing the
Tender submitting authority or a Power of Attorney should be scanned and submitted in the
Tender, otherwise the Bids will be summarily rejected.

6.13 Two Part Bidding


Bidders should examine all Instructions, Terms and Conditions and Technical specifications given
in the Tender document. Failure to furnish information required by the Bid or submission of a Bid
not substantially responsive in every respect will be at the Bidders risk and may result in rejection

Technical Bid Format (Technical Bid Cover)
The Technical Bid format as given in the Tender shall be filled, signed and stamped on all pages.
Errors if any shall be attested by the Bidders. The Technical Bid shall not contain any indications of
the Price otherwise the Bid will be summarily rejected.
The Technical Bids shall be typed, signed and stamped in all pages by the authorized signatory of
the Bidder. Any alternations, deletions or overwriting shall be attested with full signature of the
authorized signatory.

Price Bid Form (Price Bid Cover)
All the Price items as asked in the Tender should be filled in the Price Bid Format as given in the
Tender.
The price quoted by the Bidder shall include cost and expenses on all counts viz. cost of equipment,
materials, tools/ techniques/ methodologies, manpower, supervision, administration, overheads,
travel, lodging, boarding, in-station & outstation expenses, inclusive of all applicable Government
and local body taxes and any other cost involved in the supply and commissioning.
The Price Bid Form should not contain any conditional offers or variation clauses, otherwise the
Bids will be summarily rejected.
The Prices quoted shall be only in INDIAN RUPEES (INR) only. The tender is liable for rejection if
Price Bid contains conditional offers.
The Price Bid shall be typed and shall be signed by the authorized signatory in all pages. Any
alterations, deletions or overwriting shall be attested with full signature of the authorized
signatory.
The cost quoted by the Bidder shall be kept firm for a period specified in the Tender from the date
of opening of the tender. The Bidder should keep the Price firm during the period of Contract
including during the period of extension of time if any. Escalation of cost will not be permitted
during the said periods or during any period while providing services whether extended or not. The
Bidders should particularly take note of this factor before submitting the Bids.

6.14 Bid Closing Date and Time


The Bids should be submitted not later than the date and time specified in the Tender Schedule or
Corrigendum if published.

6.15 Mode of Submission of Bids


The Bids should be submitted strictly as specified in the Tender document. The Bids should be
reach at APSFL, on or before the due date and time. The Bids will not be received personally.
If the Bidder prefers to submit the Bid by post, the Bidder should ensure that the Bid reaches to the
Managing Director, APSFL on or before the due date and time. APSFL will not be liable or
responsible for any postal delay or any other delay whatsoever.
If any Bid is received after Due Date and Time or unsealed or disorderly submitted or received by
Facsimiles (FAX), the Bid will be treated as non-responsive.

6.16 Modification and withdrawal of Bids


The Bids once submitted cannot be modified or amended or withdrawn. No documents would be
supplemented after submission of Bids

6.17 Technical Bid Opening


The Technical Bid will be opened on the date and time as specified in the Tender schedule in the
presence of those Bidders, who choose to be present against production of an authorization letter
from the Bidding authority.

6.18 Tender Validity


The offer submitted by the Bidders should be valid for a minimum period of 180 days from the date
of opening of the Tender. The Rate Contract will be valid for 1 year from the date of signing of the
contract or agreement/date of release of the first Purchase order. However APSFL reserves the
right to extend or short close the Tender validity period if situation warrants to benefit the
Government.

6.19 Initial Scrutiny


Initial Bid scrutiny will be conducted and incomplete details as given below will be treated as nonresponsive.
If Tenders are;

All responsive Bids will be considered for further evaluation. The decision of APSFL will be final in
this regard.

6.20 Clarifications by APSFL


When deemed necessary, APSFL may seek bonafide clarifications on any aspect from the Bidder.
However, that would not entitle the Bidder to change or cause any change in the substance of the
Bid or price quoted. During the course of Technical Bid evaluation, APSFL may seek additional
information or historical documents for verification to facilitate decision making. In case the Bidder
failed to comply with the requirements of APSFL as stated above, such Bids may at the discretion of
APSFL, shall be rejected as technically non-responsive.

6.21 Suppression of facts and misleading information


During the Bid evaluation, if any suppression or misrepresentation of is brought to the notice of
APSFL. APSFL shall have the right to reject the Bid and if after selection, APSFL would terminate the
contract, as the case may be, will be without any compensation to the Bidder and the EMD / SD, as
the case may be, shall be forfeited.
Bidders should note that any figures in the proof documents submitted by the Bidders for proving
their eligibility is found suppressed or erased, APSFL shall have the right to seek the correct facts
and figures or reject such Bids.
It is up to the Bidders to submit the full copies of the proof documents to meet out the criteria.
Otherwise, APSFL at its discretion may or may not consider such documents.
The Tender calls for full copies of documents to prove the Bidder's experience and capacity to
undertake the project.

6.22 Technical Bid Evaluation


A Technical Committee will examine the Technical Bids against the Prequalification Criteria and
Technical Criteria given in the Tender document and all other terms & conditions in the tender.
The evaluation will be conducted based on the support documents submitted by the Bidders.
The documents which did not meet the eligibility criteria in the first stage of scrutiny will be
rejected in that stage itself and further evaluation will not be carried out for such bidders.
The eligible Bidders alone will be considered for further evaluation for technical criteria.
The technical evaluation score of 40 marks will be the minimum score and the bidders who have
scored 40 marks will be declared as Technically Qualified Bidders

6.23 Price Bid Evaluation


The Price Bids of the Technically Qualified Bidders alone will be opened and evaluated. The Price
Bid should include all expenses towards this Tender.
All the taxes indicated in the Price Bid will be taken for the Price Bid evaluation

As this is a rate contract, the following method of price evaluation will be adopted.
1. The bid cost of all the bidders will be arranged in ascending order such as L1, L2, L3, L4, etc.
for each type of CPE mentioned in the Price bid.
2. The L2, L3 and L4 bidders will be asked to match the price of L1 to declare them as the
shortlisted bidders for each type of the CPEs.
3. All the Bidders, who have got shortlisted, will be the Successful Bidders.
4. If the Tender ends with only one Successful Bidder, the value of the order will be restricted
to the monthly licensed manufacturing capacity of the Bidder and remaining quantity will
be re-tendered.

6.24 Negotiations
Negotiations will be conducted with all the Successful Bidders for improvement in the Scope of
Work, Specification, further reduction in price and advancement of delivery schedule.
No dispute can be raised by any Bidder who Bid has been rejected and no claims will be entertained
or paid on this account.

6.25 APSFL reserves the right to


1. Negotiate with the Bidder whose offer is the lowest evaluated price for further reduction of
prices.
2. Insist on quality / specification of materials to be supplied.
3. Modify, reduce or increase the quantity requirements to an extent of the tendered quantity
4. Change the list of areas of supply locations from time to time based upon the requirement of
the purchase.
5. Ask other qualified Bidders to match the L1 price as this is a rate contract tender.
6. If delivery performance of the Bidder is not as per the Schedule, then APSFL reserves the
right to reallocate the quantity to other Bidder.
7. APSFL reserves its right to withhold any amount for the deficiency in the service aspect of
the ordered items supplied to the customers.

6.26 Empanelment Process


The Successful bidders (up to L4) shall be selected based on the outright purchase mode quoted by
the bidder on each type of the CPEs.
Orders will be placed as per APSFL requirements on the empanelled vendors as stated below:
The quantity of CPEs that will be allocated to the successful bidders will be based on their ranking
( L1,L2,L3,L4 ) and also manufacturing facility at Andhra Pradesh ( existing facility /new facility
where from the product will be manufactured & supplied).

Note:

Incase less than four agencies get empanelled, percentage will be adjusted on proportionate
basis taking the above percentage as the basis.

Incase L1 fails to supply, the quantity will be equally allotted to other bidders as per the
ranking.

Incase only one or two or three agencies have manufacturing facility in AP, the 20%
quantity will be equally given irrespective of the ranking at L1 rate.

Incase L2,L3,L4 do not accept L1 rate or fails to supply order quantity, and order will be
placed on L1.

If other bidders refuse to sign the empanelment after matching the prices quoted by the lowest
bidder, their EMD will be refunded and offer will be extended to other qualified bidders.
The empanelment will be valid for a period of 12 (twelve) months in the first instance. It may be
extended further depending upon the need for continuity & the performance of the empanelled
service provider(s) and based on mutually agreeable terms and conditions and APSFL reserves the
right for such extension.
In the event of an empanelled Company or the concerned division of the Company is taken over
/bought over by another company, all the obligations and execution responsibilities under the
agreement with the APSFL, should be passed on for compliance by the new company in the
negotiation for their transfer.
In case any selected L1 bidder refuses to sign empanelment within seven days of communication
from APSFL, the offer would be treated as withdrawn and the bidders EMD will be forfeited and

offer will be extended to other bidders. If other bidders refuse to sign the empanelment after
matching the prices quoted by the lowest bidder, their EMD will be forfeited and offer will be
extended to other qualified bidders. The defaulting bidder may also be debarred from participating
in APSFL tenders for a period of three years.
In case of empanelled bidder is found in breach of any condition(s) of tender or supply order, at any
stage during the course of supply / installation or warranty period, the legal action as per
rules/laws, shall be initiated against the bidder and EMD/Security Deposits shall be forfeited.
In the event of termination of this contract due to failure of the bidder to meet the terms and
conditions stipulated herein, the bidder will not be able to work with APSFL for the next 3 years
and the empanelment will stand cancelled effective from the date of termination.
The bidder should not assign or sublet the empanelment or any part or it to any other vendor in any
form. Failure to do so shall result in termination of empanelment and forfeiture of Security deposit,
APSFL may, at any time, terminate the empanelment by giving written notice to the empanelled
vendor without any compensation, if the empanelled vendor becomes bankrupt or otherwise
insolvent, provided that such termination will not prejudice or affect any right of action or remedy
which has accrued or will accrue thereafter to APSFL

6.27 Letter of Acceptance


The final acceptance of the tender is entirely vested with APSFL who reserves the right to accept or
reject, any or all of the tenders in full or in parts without assigning any reason whatsoever. The
Tender Accepting Authority may also reject all the tenders for reasons such as change in Scope,
Specification, lack of anticipated financial resources, court orders, calamities or any other
unforeseen circumstances. After acceptance of the Tender by APSFL, the Successful Bidder shall
have no right to withdraw their tender or claim higher price.
After acceptance of the Tender by APSFL, a Letter of Acceptance (LOA) will be issued to the
Successful Bidder(s) by APSFL. Under this rate contract, APSFL has the right to issue LOA to more
than one bidder.

6.28 Payment of Security Deposit (SD)


The successful Bidder will be required to remit a Security Deposit (SD) equivalent to the value of
EMD in the form of unconditional irrevocable Bank Guarantee valid for a period equivalent to the
delivery period from the date of acceptance of the tender on receipt of confirmation from APSFL.
The SD shall be paid within 10 days from the date of issue Letter of Acceptance (LOA) by APSFL.
The SD furnished by the Successful Bidder in respect of the tender will be returned to them after
successful fulfillment of work. The Security Deposit will be refunded to the Successful Bidder only
after successful completion of the all the Purchase Orders. The Security Deposit held by APSFL till it
is refunded to the Successful Bidder will not earn any interest thereof.
The Security Deposit will be forfeited if the Successful Bidder withdraws the Bid during the period
of Bid validity specified in the Tender or if the Bidder fails to sign the contract.

6.29 Execution of Contract


The Successful Bidder should execute a Contract in the INR 100 non-judicial Stamp Paper bought in
Andhra Pradesh/Hyderabad only in the name of the Bidder within one week from the date of Letter
of Acceptance issued by APSFL with such changes/modifications as may be indicated by APSFL at
the time of execution on receipt of confirmation from APSFL.

The Successful Bidder shall not assign or make over the contract, the benefit or burden thereof to
any other person or persons or body corporate for the execution of the contract or any part thereof
without the prior written consent of APSFL. APSFL reserves its right to cancel the purchase order
either in part or full, if these conditions are violated. If the Successful Bidder fail to execute the
agreement, the SD of the Successful Bidder will be forfeited and their tender will be held as nonresponsive.
The expenses incidental to the execution of the agreement should be borne by the Successful
Bidder.
The conditions stipulated in the agreement should be strictly adhered to and violation of any of the
conditions will entail termination of the contract without prejudice to the rights of APSFL and
APSFL also have the right to recover any consequential losses from the Successful Bidder.

6.30 Release of Purchase Order


After execution of the Contract and payment of Security Deposit, Firm Purchase Order for the
supply and delivery of Tendered items will be issued to the Successful Bidder by APSFL. The supply
and payment will be based on the Purchase Order(s) issued from time to time.

6.31 Refund of EMD


If the Successful Bidder submits Security Deposit for the stipulated value in full by way of Bank
Guarantee, the EMD will be refunded. The EMD amount of the Unsuccessful Bidder will be refunded
after finalization and issue of Firm Purchase Order to the Successful Bidder.

6.32 Release of SD
The Security Deposit will be refunded to the Successful Bidder on completion of entire supply
subject to satisfaction of APSFL. Such completion would be arrived at when the entire quantity is
supplied by the Bidder as per the Contract Agreement and as per Purchase Order(s) issued by
APSFL from time to time.

6.33 Forfeiture of EMD and SD


If the successful Bidder fails to act according to the tender conditions or backs out, after the tender
has been accepted, the EMD will be forfeited to APSFL.
If the Successful Bidder fails to remit the SD, the EMD remitted by him will be forfeited to APSFL
and the tender will be held void.
If the Successful Bidder fails to act up on to the tender conditions or backs out from the contract,
the SD mentioned above will also be forfeited by APSFL.

6.34 Termination of Contract


Termination for default
APSFL may without prejudice to any other remedy for breach of contract, by written notice of
default with a notice period of 7 days, sent to the Successful Bidder, terminate the contract in whole
or part, (i) if the Successful Bidder fails to deliver any or all of the goods within the time period(s)
specified in the Contract, or fails to supply the items as per the Delivery Schedule or within any
extension thereof granted by APSFL; or (ii) if the Successful Bidder fails to perform any of the

obligation(s) under the contract; or (iii) if the Successful Bidder, in the judgment of APSFL, has
engaged in fraudulent and corrupt practices in competing for or in executing the Contract.
In the event APSFL terminates the Contract in whole or in part, APSFL may procure, upon terms
and in such manner as it deems appropriate, the goods and services similar to those and delivered
and the Successful Bidder shall be liable to APSFL for any additional costs for such similar goods.
However, the Successful Bidder shall continue the performance of the contract to the extent not
terminated.
Termination for Insolvency
APSFL may at any time terminate the Contract by giving written notice with a notice period of 7
days to the Successful Bidder, if the Successful Bidder becomes bankrupt or otherwise insolvent. In
this event, termination will be without compensation to the Successful Bidder, provided that such
termination will not prejudice or affect any right of action or remedy that has accrued or will accrue
thereafter to APSFL.
Termination for Convenience
APSFL may by written notice, with a notice period of seven days sent to the Successful Bidder, may
terminate the Contract, in whole or in part, at any time for its convenience. The notice of
termination shall specify that termination is for APSFLs convenience, the extent to which
performance of work under the Contract is terminated, and the date upon which such termination
becomes effective. On termination, the successful Bidder is not entitled to any compensation
whatsoever.

6.35 Execution of Work Order


The Successful Bidder should nominate and intimate APSFL, an Account Manager for Single Point of
Contact (SPOC), who should be responsible for effective delivery of work complying with all the
terms and conditions. The Successful Bidder should ensure that the Account Manager fully
familiarizes with the Tender Conditions, Scope of Work and deliverables.

6.36 Assigning of Tender whole or in part


The successful Bidder shall not assign or make over the contract, the benefit or burden thereof to
any other person or persons or body corporate. The Bidder should not under-let or sublet to any
person(s) or body corporate for the execution of the contract or any part thereof without the
written consent of APSFL.

6.37 Liquidated Damages (LD)


A penalty will be levied at the rate specified in the Agreement Format for non-fulfillment of delivery
schedule subject to the force Majeure conditions. Even If the work is not completed in full beyond
this period, such performance may entail termination of contract and black listing of the Bidder
from participating in any of the APSFL's Tenders. This alone will not relieve the Bidder and the
difference in cost of the items purchased through other technically qualified Bidders or any other
alternative sources will be recovered from the successful Bidder.

6.38 Penalty for Non-Fulfillment of Tender


A penalty will be levied at the rate specified in the Agreement Format in the event of non-fulfillment
or non-observance of any of the conditions stipulated in the Agreement, Terms and Conditions and
Work Order.

6.39 Other Conditions


The final decision would be based on the technical capacity and pricing of the Bidder. APSFL does
not bind itself in selecting the bidder offering lowest prices.
Empanelment does not mean order placement is assured. APSFL reserves its right to place
order on a vendor who is not empanelled, in case of any innovative product, solution that is
introduced.
APSFL reserves the right not to accept lowest price, to reject any or all the tenders without
assigning any reason, to relax or waive any of the conditions stipulated in the terms and conditions
of tender as deemed necessary in the best interest of APSFL for good and sufficient reasons.

6.40 Arbitration and Jurisdiction


In case of any dispute, the matter will be referred to a Sole Arbitrator to be appointed by the
Managing Director of APSFL in accordance with the "Arbitration and Conciliation Act 1996". The
arbitration shall be held in Vijayawada, India and the language English only.
Subject to the above, the Courts at Vijayawada alone only shall have jurisdiction in the matter.

7 Service Level Agreement (SLA)


The empanelled Vendor has to maintain the CPEs that are commissioned by the service provider of
APSFL, during the warranty period of one year from the date of commissioning as per the terms &
conditions in the tender and to meet the SLA as stated below: The SLA will be calculated per District
Basis on quarterly basis and the SLA parameters are as given below:
Specification of Severity Levels and Penalties during the business hours (09:00 hrs to 21:00 hrs) are
as stated below:
The SLA will be calculated against every minimum order quantity of 50000 CPEs.
Specification of Severity Levels and Penalties during the business hours (08:00 hrs to 21:00 hrs).
The time will be calculated from the time the problem is reported by the help desk of NOC of AP
Fiber grid /from the time the CPE is handed over at the service centre.
(i)

The average downtime (fault restoration time) of faulty CPEs in a District will be
taken as reference for define the severity level and the penalty.

(ii)

The CPE failures in a District, which results in non-availability of


services/interruption of services/performance issues, will be treated as down time
and the same will be calculated for all the faulty CPEs and if the average down is
within 8 Hours, the failures shall be treated as Severity Level 1.

(iii)

The CPE failures in a District, which results in non-availability of


services/interruption of services/performance issues, will be treated as down time
and the same will be calculated for all the faulty CPEs and if the average down is
beyond 8 Hours and within 24 hours, the failures shall be treated as Severity Level
2

(iv)

The CPE failures in a District, which results in non-availability of


services/interruption of services/performance issues, will be treated as down time
and the same will be calculated for all the faulty CPEs and if the average down is
beyond 24 hours and within 40 hours, the failures shall be treated as Severity
Level 3

(v)

The CPE failures in a District, which results in non-availability of


services/interruption of services/performance issues, will be treated as down time
and the same will be calculated for all the faulty CPEs and if the average down is
beyond 40 hours, the failures shall be treated as Severity Level 4.

(vi)

Partial restoration of failures resulting in deteriorated functioning of the system


shall not be treated as rectification, under any circumstances and the down time till
the proper restoration of failure shall be counted in full.

(vii)

The SLA will be calculated per District Basis on quarterly basis and the SLA

For the purpose of calculating SLA, the following faults or outage hours shall be excluded:
(i)

Periods where the APSFL/customer is inaccessible to confirm the status of the


system after fault clearance by the vendor.

(ii)

Periods where any CPE is switched off at the customer end due its own reasons. The
onus lies on APSFL to ensure that the on-site equipment are Powered ON and / or
the Network Monitoring tools, if any, that are used by APSFL should be able to filter
out the time period of CPE being voluntarily switched off, from the Down Time
calculations.

(iii)

Periods where the failure of any components or equipment belonging to


APSFL/Customer.

(iv)

The time lost in attending to a complaint due to delay in entering


APSFLs/customers premises shall not be considered as a down time

This CONTRACT is entered into at Hyderabad on the


day of
2016 between Andhra
Pradesh State FiberNet Limited (APSFL), a PSU wholly owned by Government of Andhra
Pradesh, a Company registered under the Indian Companies Act, 1956 and having its Registered
office at Plot No.5, 6, 15&16, 1st Floor, KKR Square (Opp: Hotel Jubilee Ridge), Jubilee Hills,
Hyderabad 500 033, India herein after referred to as APSFL which term shall mean and
include its Successors and permitted assigns) on behalf of Customer (s) to be communicated by
APSFL from time to time (herein after referred to as Purchaser (s)) and
a Company
registered under the Indian Companies Act, 1956 and having its Registered Office at
,
hereinafter referred to as the Successful Bidder which term shall mean and include its Successors
and permitted assigns)
Whereas, APSFL had floated a Rate Contract Tender vide Tender No. APSFL/CPE/41/2016
Dt:27/08/2016 for procurement of CPEs and the Successful Bidder has been empanelled as
bidder for procuring the
box in the Tender .
APSFL and the Successful Bidder arrived at the following terms and conditions in respect of the
same:1.

This document on having been signed by both the parties shall constitute a binding contract
between the parties and shall remain in force for a period of 12 months. But in the event of
any breach of agreement at any time on the part of the Successful Bidder, the contract shall
be determinable by APSFL without compensation to the Successful Bidder. The contract
may also be put to an end at any time by APSFL upon giving seven days notice to the
Successful Bidder.

The Successful Bidder agrees that in the event of failure of 10% or more of the vital
components of the equipment occurring during the first year warranty period, APSFL would
have a right to blacklist them for any procurement through APSFL for a period of three
years from that date.

3.

The Successful Bidder agrees to supply and maintain the Bill of Material detailed in APSFL
Tender No. APSFL/CPE/41/2016 Dt: /08/2016 after carrying out successfully all tests
prescribed by the Purchaser(s) at a unit price plus applicable Taxes as indicated in Annexure
to this Agreement to the Purchaser(s) before the specified date. The price offered is firm and
is not subject to enhancement on any ground.

4.

The ordered items should be delivered within 8 weeks from the date of Purchase Order,
Subject to integration of Middle Ware and DRM Minimum. Delivery order should be of
50,000 CPEs.

5.

The price of the ordered items as per the Tender includes excise duty, Surcharges, Freight,
Octroi, insurance, commissioning, and such other levies that may be applicable.

The goods or materials to be supplied under this contract are to be of the quality and of the

7. The goods or materials are to be delivered on F.O.R destination indicated by


APSFL/Purchaser(s) without any extra cost in such quantities or numbers contained in the
purchase order to be issued by APSFL from time to time. Any amendments to the orders in
terms of quantities or delivery period etc., may be incorporated on a mutually agreed basis.
The delivery of goods to the destination is the responsibility of the Successful Bidder only.
The goods supplied under the contract should be covered for comprehensive insurance by
the Successful Bidder till delivery and acceptance by the authority concerned.
8.

The procurement of CPE Boxes may be either by APSFL or any other Government
Agencies or organizations. The successful bidder should supply the boxes at the same price
as agreed. APSFL is entitled to change the delivery site/location address if need arises. In
this situation, the Successful Bidder should not claim any additional charges except for any
major amount involved which will be resolved mutually.

9.

The goods sold under this agreement shall not be taken back. However any replacement
necessitated, as part of the warranty commitments shall be carried out by the Successful
Bidder and faulty parts/materials that arise out of such replacements shall be taken back by
the Successful Bidder within a reasonable time.

10. If delivery of ordered items are not effected as specified in the purchase order, APSFL shall
have the full authority to cancel the order and to take any such action that will be deemed fit
in the circumstances.
11. In case of failure by the Successful Bidder to deliver goods or materials demanded from
them, within the period specified for delivery or in case of goods or materials delivered by
them, not being of the stipulated quality and specifications or in the case of goods or
materials being delivered without a correct invoice in duplicate, APSFL or anyone duly
authorized by APSFL shall have the power to reject any such goods or material and to
purchase from others instead of any goods or materials so rejected or not delivered. Unless
the Successful Bidder shall themselves forthwith supply that shall be sufficient and
satisfactory any excess of cost so incurred by the Purchaser(s) over the contract price
together with all charges and expenses attending the purchase shall be recoverable by
APSFL / Purchaser(s) from the Successful Bidder.
12. A penalty will be levied at the rate of 0.25% per day on the un-delivered portion of the
material value subject to a maximum of 10% if the delivery has not been completed in full
within the stipulated period subject to Force Majeure conditions. The delivery period will
effect from the date of receipt of confirmed consignee address. Besides such performance
may entail black-listing of the Successful Bidder. If the Successful Bidder fails to supply
even after the lapse of one month after the stipulated date of delivery, then the
orders/contracts are liable for cancellation and the EMD/ Security Deposit will be forfeited
in addition to APSFL reserving the right to blacklist the suppliers for a period of three years
from participating in APSFLs tenders for Government contracts/projects.

13. A Penalty for non-fulfillment or non-observance of tender conditions will be levied at 10% of
the total value of the Purchase Order.
14. Notwithstanding anything contained in the penalty clause, APSFL reserves the right to
blacklist the bidder from taking part in any of the procurement operations of APSFL for a
minimum period of three years from the date of blacklisting for failure to carry out supply in
time or according to the quality and quantity prescribed or any such similar reasons. This
penalty shall be over and above all other penalties.
15. WARRANTY:
1.

The materials or goods are to be given warranty for a period of 12 months in outright
purchase mode, after installation and commissioning against any manufacturing defect
and bad workmanship solely by the Successful Bidder irrespective of whether the same
have been manufactured by them or not. The warranty period of 12 months will
commence from the date of installation and commissioning of the ordered items after
carrying out successfully the tests prescribed by Purchaser/(s) and installation in good
working condition. A report of services attended on monthly basis must be submitted to
APSFL for each order during the warranty period.

2.

The Successful Bidder shall undertake to supply the spares for the Standard warranty
and Extended Warranty Period of the offered items for warranty period. If any
manufacturing or other technical defect(s) is/are found during the warranty period from
the date of installation, commissioning and handing over of the ordered items to
Purchaser (s), they will have to be rectified or replaced free of cost by the Successful
Bidder in good working condition.

3.

During the warranty period, the Successful Bidder agrees to arrange for a backup item
of the ordered items at their cost, if due to manufacturing and other Technical defects of
the ordered items, the system is down and if it is not restored in working condition as
per the SLA. The warranty will cover all the materials and goods supplied by the
Successful Bidder under this contract irrespective of the fact whether these have been
manufactured by Successful Bidder or not.

4.

The Successful Bidder agrees to provide comprehensive maintenance of the ordered


items, which shall include preventive maintenance and corrective maintenance at the
location specified by the Purchaser(s). The maintenance shall include replacement of all
parts. The Ordered items, which are down, should be restored in good working
condition as per the SLA. Purchaser(s) reserves right to terminate the maintenance
contract in the event of unsatisfactory maintenance and claim damages for nonfulfillment of contract.

5.

PAYMENT TERMS:
Outright purchase
a. Delivery Phase
The payment against each work order will be made after the delivery of the ordered
items at the site. If the order could not be completed within the stipulated time as per
the work order, then partial payment will not made by APSFL. After completion of full
order, 95% of the total cost of ordered items will be paid by APSFL on behalf of the
Purchaser in 30 days after the delivery of the items at the site, after deducting the LD if
applicable.
b. Warranty Phase
5% will be retained during the first year warranty period and this amount will be
returned after completion of one year warranty period, after deducting the any SLA
penalty during the first year operation or the 5% payment will be released after
submission of Bank guarantee against the 5% payment that is payable.

16. The Successful Bidder agrees that in the event of non-fulfillment or non-observance of any
of the conditions stipulated in the contract, the Successful Bidder shall pay as penalty an
amount equivalent to 10% of total value of contract or an amount equal to the actual loss
incurred by the Purchaser (s) whichever is higher subject to the condition that the loss
amount would not exceed the value of the goods supplied.
17. The contract or any part share of interest in it is not to be transferred or assigned by the
successful Bidder directly or indirectly to any person or persons whomsoever without the
written consent of the APSFL.
18. Neither the Purchaser(s)/APSFL nor the Successful Bidder shall be liable to the other for
any delay or failure in the performance of their respective obligations due to causes or
contingencies beyond their reasonable control such as
1.

Natural phenomena including but not limited to earthquakes, floods and epidemics.

2.

Acts of any Government authority domestic or foreign including but not limited to war
declared or undeclared, priorities and quarantine restrictions.

3.

Accidents or disruptions including, but not limited to fire, explosions, breakdown of


essential machinery or equipment, power and water shortages.

Wherever the offer conditions furnished by the Successful Bidder are at variance with
conditions of this contract or conditions stipulated in the purchase order, the latter shall
prevail over the offer conditions furnished by the Successful Bidder.

20. (a) Unless otherwise provided in the agreement, any notice, request, consent or other
communication given or required to be given hereunder shall be given by mailing the same
by registered mail, postage prepaid, return receipt requested in the case of the Successful
Bidder to the Purchaser(s) at their respective addresses and set forth above or with other
addresses and to the attention of such other person or persons as may hereafter be designated
by like notice hereunder and any such notice sent by post shall be deemed to have been
served on the date when in the ordinary course of post, it would have been delivered at the
address to which it was sent. (b) Any notice to the Successful Bidder shall be deemed to be
sufficiently served, if given or left in writing at their usual or last known place of abode or
business.
21. Termination of Contract
1. Termination for default
a.

(i)APSFL may without prejudice to any other remedy for breach of contract, by
written notice of default with a notice period of seven days, sent to the Successful
Bidder, terminate the contract in whole or part, (i) if the Successful Bidder fails to
deliver any or all of the goods within the time period(s) specified in the Contract,
or fails to supply the items as per the Delivery Schedule or within any extension
thereof granted by APSFL; or (ii) if the Successful Bidder fails perform any of the
obligation(s) under the contract; or (iii) if the Successful Bidder, in the judgment
of APSFL, has engaged in fraudulent and corrupt practices in competing for or in
executing the Contract.

b.

In the event APSFL terminates the Contract in whole or in part, APSFL may
procure, upon terms and in such manner as it deems appropriate, the goods and
services similar to those and delivered and the Successful Bidder shall be liable to
APSFL for any additional costs for such similar goods. However, the Successful
Bidder shall continue the performance of the contract to the extent not terminated.

2. Termination for Insolvency


APSFL may at any time terminate the Contract by giving written notice with a notice
period of 7 days to the Successful Bidder, if the Successful Bidder becomes bankrupt or
otherwise insolvent. In this event, termination will be without compensation to the
Successful Bidder, provided that such termination will not prejudice or affect any right
of action or remedy that has accrued or will accrue thereafter to APSFL.

3. Termination for Convenience
APSFL may by written notice, with a notice period of seven days sent to the Successful
Bidder, may terminate the Contract, in whole or in part, at any time for its convenience.
The notice of termination shall specify that termination is for APSFLs convenience, the
extent to which performance of work under the Contract is terminated, and the date
upon which such termination becomes effective. On termination, the Successful Bidder
is not entitled to any compensation whatsoever.
22. Any notice to the Successful Bidder shall be deemed to be sufficiently served, if given or
left in writing at their usual or last known place of abode or business.
23. APSFL reserves the right to cancel the order(s) and to terminate the contract in the event of
short performance or non-performance of the Successful Bidder. Arbitration Clause:1.

Except as otherwise provided elsewhere in the contract, if any dispute, difference,


question or disagreement arises between the parties hereto or their respective
representatives or assignees, at any time in connection with construction, meaning,
operation, effect, interpretation or out of the contract or breach thereof, the same shall
be decided by Sole Arbitrator to be appointed by the Managing Director of APSFL.

2.

If the Arbitrator so appointed dies, resigns, incapacitated or withdraws for any reason
from the proceedings, another Arbitrator shall be appointed by the Managing Director
of APSFL. The Arbitrator so appointed shall proceed with the reference from the stage,
where his predecessor had left if both parties consent for the same, otherwise, he shall
proceed de novo.

3. It is a term of the contract that the party invoking arbitration shall specify all disputes to
be referred to arbitration at the time of invocation of arbitration and not thereafter.
4.

It is also a term of the contract that neither party to the contract shall be entitled to seek
interest and the arbitrator should not grant interest.

5.

The Arbitral Tribunal shall give reasoned award and the same shall be final, conclusive
and binding on the parties.

6.

The venue of the arbitration shall be Hyderabad and language English.

7.

The fees of the Arbitrator and expenses incidental to the arbitration proceedings shall be
borne equally by the parties.

8.

Subject to as aforesaid, the provisions of the Arbitration and Conciliation Act, 1996 and
any statutory modifications or re-enactment in lieu thereof shall apply to the arbitration
proceedings under this Clause.

9.

Subject to the above, the Courts at Vijayawada alone shall have jurisdiction in the
matter.

16 Letter of Guarantee for Maintaining Minimum Stock

We, M/s ______________hereby undertake and ensure that for the Tender reference ___________ floated
by APSFL, will maintain the minimum stock for the tendered items and strictly follow the
instructions of APSFL for the immediate delivery of the CPEs as per the conditions stipulated in the
Tender.
1. Minimum ex-stock of about 100 units of the item will be kept in the premises as confirmed
by APSFL. Upon issuance of notice from APSFL, we will deliver the items within 24 hours
2. No financial commitment will be claimed by us for maintaining the ex-stock items.
3. We ensure that at any point of time the minimum ex-stock level will be maintained. The
short fall of 100 numbers will be replenished within 7 days from the date of delivery of the
items from the minimum stock.
4. APSFL can inspect the Minimum stock level at any point of time and may impose a penalty
of 10% of the cost of the equipment which are shortage of the specified qty.
5. If we fail to maintain the minimum stock level in three instances during the Rate Contract
period, APSFL reserves the right to terminate the RC contract with us and we may be
declared as non-performer which may not permit us in participating tenders floated by
APSFL in future, for the next three years.
In case of violation of any of the conditions above, I/We ____________________-understand that I/We are

Note:

The unit rate shall be inclusive of excise duty/import duty/freight &


forwarding/insurance/transport /out of pocket expenses and other taxes /sur
charges/statutory charges of Government.

The rate quoted will be valid throughout the contract period and not subject to vary during
the contract period.

The comprehensive one year warranty shall cover the spares, service charges, all taxes, etc.

The bidders will be ranked based on the rate quoted against each type of box under
outright purchase mode.

Bidders may provide quotes for both the options - outright purchase mode and EMI mode
or either one of them

The minimum order quantity will be for 50,000 which can be for a particular model or a
combination of models as per the demand
