Through negotiation, the Parties hereby agree to trade the following products

Article 4: Liabilities of both parties
1.Trch nhim ca Bn B:

- Cung cp sn phm cho bn A theo ng s lng, cht lng, mu m, thi
gian v a im nh tha thun trong hp ng ny.
- Supply products to party A with quantity, specification, time and place of
delivery as agreed in sales contract
- Cung cp ha n GTGT cho bn A ngay sau khi bn A yu cu
- Provide VAT invoice to party A as soon as delivery done
- Phi hp cng bn A gii quyt cc vn pht sinh trong qu trnh thc hin
hp ng v giao nhn hng ha.
- Cooperate with party A to resolve any matter occur during period of contract
and merchandise exchange process
2.Trch nhim ca Bn A :
- Phi hp cng bn B gii quyt cc vn pht sinh trong qu trnh thc hin
hp ng v giao nhn hng ha.
- Cooperate with party B to resolve any matter occur during period of contract
and merchandise exchange process.
- Thanh ton y v ng hn cho bn B s tin tha thun trong hp
ng v theo k hoch thanh ton c hai bn nht tr ti iu 4.
- Pay in full and on time to party B total amount as agreed in sales contract as
well as payment schedule agreed in article 4
iu 5: IU KHON CHUNG:
Article 5: Other terms
- Hai bn thng nht thc hin nghim chnh cc iu khon trong hp ng.
- Both parties agree to implement seriously terms and conditions mentioned in
sales contract
- Nu bn no t hy b hp ng m khng c s ng ca bn kia th
phi chu bi thng tng ng gi tr hp ng v n b nhng thit hi
pht sinh do vic hy hp ng gy ra cho bn b thit hi
- If either of the Buyer or Seller cancels the contract without agreement of other
party, the party is subjected to a penalty equivalent to the value of contract and
it must compensate the loss due to calcellation of contact to the other party.

cng buc hai bn phi thc hin v n ph s do bn c li chu.

- During the period of the contract, if it arise appendix or modification, both
parties has to agree by issueing document of nortification. If it arises conflict
which is not solved by negotiation, the final judgement is made by Hanoi
Commercial Court and the fee is paid by offending party.

This contract is made into 04 copies; each party keeps 02 copies which has the
same legitimacy. This contract comes into effect from the date of signing.
