Dear Vikas,
This has reference to your application & subsequent meetings, on behalf of CRM Services
India Private Limited (The Company); we are pleased to appoint you to the post of
Technical Support Executive at CRM Services India Private Limited on following terms

1.1 Remuneration: You will be entitled to remuneration as per Annexure 1
1.2 Job Assignment and Reporting: You will report to the Viee President -

1.3. Probation: You will be on probation for a period of six months from the date of
your joining. During the period of probation, your services are liable to be
terminated by either side without assigning any reason and/or without any notice or
without any payment in licu of notice. Your probation period may be extended for
such further period as may be decided by the Management. However, you shall
ae to be on probation unless confirmed in writing

1.4 Workplace: Your initial workplace will be Jaipur; in addition you may need to
travel within or outside the country as required for busine
related assignments.
However, your services are transferable and you may be assigned after reasonable
notice, to any location in India or abroad, either existing or to be set up in future,
where the company conduets its business.
15 Confident
ity: Except in the proper course of your employment or thereafter, you
will not divulge to any third party any information regarding the affairs or business
matters of the company or information regarding its customers without prior written
approval. All information that comes to your knowledge by reasons of your
employment with the company is deemed to be confidential.
1.6 Intellectual Property: The rights to any invention, discovery or creation of any
system or method related to the company’s operations and arising out of any work
done in the course of your employment will automatically vest with the company
In this connection, the company may obtain patent rights in its name (or jointly with
others) based on the fact of your invention, discovery or other creative effort. You
are specifically made aware that you will not be made liable to any compensation
for such acts of yours, and that any reward that the company chooses to bestow will
not be deemed to confer any rights towards that invention, discovery or
improvement in system or method, by you.
1.7. Use of Personal Information: | confirm that | have voluntarily furnished my
personal information to the Company and the Company shall be free to use such
information and all other information that | may provide at any time hereinafter.
The Company may share such information in connection with my employment and
other related matters, as deemed fit and necessary by the Company

itlement: You shall be entitled to casual and sick leaves and also Earned
leave/privilege leave as per law applicable in this regard,
1.9 Retirement: You will retire on your 58" birthday or last working day before that, if
your birthday does not fall on a working day.

1.10 Whilst employed by the company
- You will not be permitted to undertake any other employment or engage in any
external activities of a commercial nature without prior written approval either on
honorary basis or otherwise.
+ You will be required to effectively carry out all duties and responsibilities assigned
to you by your manager and others authorised by the company to assign such duties
and responsibilities. Your performance will be subject to appraisal by your
manager as per the performance management system laid out by the company
~ You will be required to apply and maintain the highest standards of personal
conduct and integrity and comply with all company policies and procedures.
- You shall be required to sign a Non-disclosure agreement on the date of joining,

= Verification: Your appointment is subject to satisfactory verification of your
character, antecedents and testimonials. This appointment is based on the details
provided by you in your application to the company and your curriculum vitae
1.11 Termination: After the written confirmation of your services by the Company,
your services shall be liable to be terminated without assigning any reason but by
giving one month notice in writing or payment in lieu of one month notice. In case
of violation of any procedure or service rules of the Company or any other act of
misconduct including improper behaviour, theft, fraud and any other act of
misconduct not specified herein, your services are liable to be terminated without
giving you one month notice or payment in lieu of such notice.. Alternatively, you
can r
‘sign from the services of the Company by giving one month notice or salary
in lieu of one month notice.
1.12 Recovery of Dues : It is clearly understood and agreed particularly in view of
the training imparted to you and the expenses of such training borne and paid by
the Company, that you shall not leave your service of the company before
completion of six months. If you leave your service before the completion of
aforesaid six months, the company shall deduct an amount of Rs. 7,000/-

(Rupees Seven thousand only) from the amount of your salary or wages payable
to you or from the amount of your full and final dues towards the expenses
incurred by the Company on the mentioned training
‘Any intentional violation of these or any other Company procedures can result in
isciplinary action being taken against you, which may result in termination. In the event
of any dispute regarding the terms and conditions of your appointment, you will be
subject to the jurisdiction of the relevant courts of law at the headquarters of the company
viz. New Delhi only.
Upon separation from the company on account of either resignation or termination, you
need to immediately return to the company all assets and property of the company
including documents, files, books, papers and memos in your possession or custody.
You are required to join the Company on April 10, 2015.
The terms of this offer are meant to be kept strictly confidential.
