office lease contract with the following terms and condition):

IU 1 : MC CH V DIN TCH THU/CHO THU


(ARTICLE 1 : PURPOSE AND AREA FOR LEASE)

working conditions which has been checked and agreed by Party B)

IU 2 : THI GIAN THU


(ARTICLE 2 : DURATION OF THE LEASE)

new contract, but Party B has to inform the matter in writing to Party A in advance at least 02
(two) month prior to the termination).

IU 3 : GI THU & CC CHI PH KHC


(ARTICLE 3 : RENTAL FEE & EXTRA COSTS)

1. Gi thu/cho thu vn phng ni trn (Office rental fee) :


Gi thu/cho thu ni trn bao gm thu VAT 10% v tt c cc loi thu c lin quan
c th pht sinh t hp ng ny; v khng bao gm tin in, in thoi, fax, chi ph
dch v v sinh trong vn phng v cc chi ph khc do Bn B s dng.
(The about rental fee includes VAT 10% and all kinds of related tax that may arise under
this contract; and excludes costs of electricity, telephone, fax, sanitation services inside
the office and other services in the course of using those equipment/services by Party B).

(The about rental fee is fixed for the duration of the lease mentioned in Article 2.1)

2. Cc chi ph khc (Extra costs):


Tin in sinh hot: Do Bn B chu theo gi in kinh doanh do ngnh in lc a
phng quy nh v theo thc t s dng hng thng (c ng h o m in ring).
(Cost for using running electricity: To be covered by Party B according to the price used
for business purpose stipulated by Local Electricity Agency and according to the monthly
actual consumption [having the separate electricity computer])

(In case of using fuel to run electricity generator due to electricity cut-off. Party B must
pay fuel charges equivalent to Party B's rate of electricity consumption in 01 month

IU 4 : THANH TON
(ARTICLE 4 : PAY MENT)

(Payment currency: By VND [Vietnam Dong] according to the selling exchange rate of
USD/VND of Vietcombank Danang at the time of payment)

3. Thi hn thanh ton : (Payment time)


a) Tin t cc : Trong vng 05 (nm) ngy lm vic sau khi k hp ng ny, Bn B
chuyn trc cho Bn A tin t cc tng ng vi 02 (hai) thng tin thu/cho
thu vn phng l
Khon tin t cc ny sau khi tr i cc khon chi ph in thoi, in, v.v s
c hon li cho Bn B trong vng 05 ngy lm vic sau khi kt thc hp ng cng
vi iu kin Bn B phi hon tt mi trch nhim nu trong hp ng ny.
(Amount of security deposit: Within 05 (five) working days after signing this present
contract, Party B must transfer in advance to Party A an amount of security deposit
equivalent to the rental fee of 02 [two months as .......................................................]
Such amount of security deposit after deducting costs of using electricity, telephone, etc.
will be refunded to Party B within 05 [five] working days after the proper termination of
this present contract as long as Party B has fulfilled the liabilities stated hereby)

b) Tin thu/cho thu vn phng : Bn B thanh ton cho Bn A tin thu/cho thu vn
phng ca mi k 03 (ba) thng, tng ng ..
K u : Trong vng 05 (nm) ngy lm vic sau khi k hp ng ny, Bn B thanh
ton cho Bn A .
Cc k tip theo : Trong vng 05 (nm) ngy lm vic u tin ca mi k 03 (ba)
thng, Bn B thanh ton cho Bn A s tin ..
Trong trng hp thanh ton chm so vi thi gian quy nh ni trn, Bn B phi
thanh ton cho Bn A chi ph ph tri bng 0,1% ( khng phy mt phn trm) cho
mi ngy chm thanh ton trn tng s tin chm thanh ton. Nu chm thanh ton
vt qu 30 (ba mi) ngy, Bn A c quyn n phng chm dt hp ng ny.
(Rental fee: Party B will pay to Party A the rental fee for each duration of 03 [three]

For the first duration: Within 05 [five] working days after signing this present contract,

In Case such payment is made later than the stipulated date, Party B has to Party A an
additional charge of 0,1% [ zero point one] per one day of such delayed payment. If such
payment delay time passes over 30 [thirty] days, Party A has the right to terminate
unilaterally this present contract).

c) Tin s dng in sinh hot : Bn B thanh ton cho Bn A tin s dng in sinh
hot hng thng trong vng 05 (nm) ngy u tin ca thng tip theo.

(Charge for using running electricity: Party B will pay to Party A the charge for using
running electricity per month within 05 [five] working days of next consecutive month)

4. Phng thc thanh ton : Bng tin mt hoc chuyn khon theo chi tit nh sau:

IU 5 : TRCH NHIM CA BN CHO THU (BN A)


(ARTICLE 5 : LESSORS (PARTY AS) RESPONSIBILITIES)

1.

(Assuring and committing that the above-mentioned building belongs to Party A, and Party A has
the right to lease/rent it out; that this building is not in the state of dispute).

Bn giao cho Bn B ton b din tch cho thu vi mi trang thit b, tin nghi ca h tng
k thut nh quy nh ti iu 1, vo ngy c hiu lc ca hp ng ny.
(Handing over to Party B the rented area and all of its equipments, facilities of the technical
infrastructure as stipulated in the Article 1, on the validity date of the contract).

(Ensuring Party B the right to use legally, fully ad separately the said rented area).

Sa cha kp thi nhng h hng v cu trc xy dng ta nh gy ra, o tui ca ta


nh, hoc do thin tai, v chu mi chi ph cho vic sa cha ny.
(Timely repairing any damages of the building structure caused by its longevity or by natural
disasters and bearing all expenses for these repairs).

Bi thng cho Bn B mi thit hi v vt cht v sc khe gy ra do s chm tr sa cha


trong trng hp xy ra s h sp ta nh.
(Compensating Party B for all damages of materials and health caused by the delay of repair in
case the collapse of the building happens).

6.

Hng dn Bn B chp hnh nghim tc v y mi lut l quy nh php l do Chnh


Ph nc CHXHCN Vit Nam ban hnh.
(Guiding Party B in implementing fully and strictly all legal regulations stipulated by the
Government of the S.R of Vietnam).

IU 6 : TRCH NHIM CA BN THU (BN B)


(ARTICLE 6 : LESSEES (PARTY BS) RESPONSIBILITIES)

1. Tr tin t cc, tin thu/cho thu v cc chi ph khc y v ng thi hn.


(Paying timely and fully the amount of security deposit, the rental fee and other costs/fees).

2. S dng din tch c cho thu theo ng mc ch ng k v cho php.

(Using the said rented area in compliance with the above registered and authorized purpose).

3. Nu cn sa cha v ci to din tch c thu do nhu cu s dng ca mnh, Bn B phi


c s ng ca Bn A bng vn bn, v phi tun th cc quy nh v xy dng c bn;
mi chi ph xy dng, sa cha, ci to do Bn B chu. Khi hp ng ny chm dt hoc khi
Bn B bn giao li cho Bn A din tch c thu cho Bn A, vn phng phi c gi
nguyn trng khi bn giao v Bn B khng c i bi thng v nhng chi ph xy dng,
ci to mi ny.
(If Party B needs to repair or to renovate the rented area by its use requirements, Party B must get
Party A's agreement in writing and must comply with the regulations on construction. All expenses
of repairing/renovating will be born by Party B. When this present contract terminates or when
Party B transfers the rented area to Party A, the rented office must be kept as per the current status
upon delivery and Party B shall not claim for any/all compensation for such new
repair/renovation).

(Compensating for any/all damages to the rented place and/or any/all losses of facilities and
equipments and furnitures as well as bad consequences caused to the others by Party B's use).

5. Thng bo kp thi cho Bn A bt k h hng phn c thu ca ta nh do tui th ta


nh hoc do thin tai gy ra.
(Timely informing Party A of all/any damages to the rented area caused by its longevity or by
natural disasters).

6. Tun th nghim tc mi lut l, php lut quy nh do nh nc CHXHCNVN ban hnh.


(Strictly obeying all laws and regulations promulgated by the State of S.R VIETNAM).

(Abiding all regulations and rules on the environmental hygiene. public order and security,
fire fighting and prevention, etc.)

(Taking full responsibilities for the activities of itself to the current Vietnamese Laws).

7. Khng c cho thu li hoc chuyn nhng mt phn hoc ton b din tch c thu
cho c nhn/cng ty/t chc khc.
(Not sub-leasing or transferring partly or wholly the rented area to another
person/company/entity).

8. Thanh ton dt im mi chi ph s dng in, in thoi, fax v cc chi ph khc (nu c)
trc khi thanh l hp ng.
(Paying up all expenses of electricity, telephone, fax and other charges, if any, before making the
contract liquidation).

9. Chu trch nhim v bt k/ton b s bo dng v mt mt cc trang thit b, ni tht


trong vn phng, ti sn c nhn.

(Taking responsibilities for any/all maintenance[s] and loss[es] of facilities, furniture inside the
office, his personal properties).

IU 7 : IU KHON V BO DNG, SA CHA NH & CC TRANG THIT B


(ARTICLE 7 : PROVISIONON HOUSE & EQUIPMENTS MAINTENACE AND REPAIR)

Khi cn thit phi bo dng hoc sa cha ta nh, BN A phi thng bo cho BN B bit trc
bng vn bn v BN B cn to mi iu kin thun li cho BN A thc hin cc cng vic nu
trn. Nu BN B gy kh khn mt cch v l cho cc cng vic nu trn gy nguy him i vi ta
nh, BN B phi chu chi ph hp l khc phc hu qu gy ra.
(ll' it is needed to do the maintenance/repair works on the building, PARTY A must inform PARTY B in
writing in advance and PARTY B must create favorable conditions to enable PARTY A to carry out
such works. If PARTY B unreasonably hinders such works thus endangering the safety of the building,
then PARTY B must bear the reasonable costs arising from the consequences).
IU 8 : CHM DT HP NG
(ARTICLE 8 : CONTRACT TERMINATION)
1. Hp ng ny ng nhin chm dt trong cc trng hp sau:
(This present contract evidently terminates under the following cases)

a. Vo ngy ht hn hp ng.
(On the expiration of this present contract)

b. Trng hp bt kh khng nh thin tai, bo lt, chin tranh, ha hon, v.v.


(In case of Force Majeure: Act of God, flood, storm, war, fire, etc.)

c. Theo quy hoch chung ca Thnh ph Nng.


(By replanning according to the Master plan of Danang City)
d. Bn B khng th tip tc ti Thnh ph Nng theo quy nh ca cp thm quyn.
(Party B cannot continue its business operation in Danang City under the command of
competent authorities)

Trong trng hp ny (a, b, c, d), Bn A s hon li cho Bn B tin t cc.


(In these cases [1, 2, 3], Party A will reimburse to Party B the amount of security amount)

e. Chm thanh ton theo quy nh ca iu 4.


(Delay of payment stipulated in the Article 4)

Trong trng hp ny (e), Bn A s khng hon li cho Bn B tin t cc.


(In this case [5], Party A will not reimburse to Party B the amount of security amount)
2. Chm dt hp ng trc thi hn do tha thun ca cc Bn:
(Contract termination prior to its expiration under both party's agreement)

Hp ng ny khng c n phng chm dt trc thi hn bi bn no. Nu mt trong hai bn


mun chm dt hp ng trc thi hn, phi thng bo trc cho bn kia bng vn bn t nht l 02
(hai) thng v thi hn thu/cho thu phi t c ti thiu l 2/3 (tng ng vi 08 thng).

Trong trng hp ny, Bn A s hon tr li cho Bn B tin t cc v tin thu/ cho thu vn phng
cn tha ca Bn B (nu c).
(This contract shall not be unilateraly terminated prior to its expiration by either party. Should either
party want to terminate this contract prior to its expiration, he must inform in writing to the other party
at least 02 [two] months and the duration of the lease should be at least 2/3 (equivalent to 08 months).
In this case, Party A shall refund Party B the amount of security deposit and the remaining amount of
the rental fee, if any)

Nu Bn B chm dt hp ng ny trc thi hn m khng tun th quy nh ni trn, Bn B s

(Should Party B terminate this present contract prior to its expiration without complying with the above
stipulations, Party B will lose the amount of security deposit)

Nu Bn A chm dt hp ng ny trc thi hn m khng tun th quy nh ni trn, Bn A phi


hon tr li cho Bn B tin t cc, tin thu/cho thu cn tha ca Bn B (nu c) v phi bi
thng cho Bn B s tin tng ng vi tin t cc.
(Should Party A terminate this present contract prior to its expiration without complying with the above
stipulations, Party A will refund Party B the amount of security deposit, the remaining amount of the
rental fee, if any, and must pay to Party B amount equivalent to the amount of security deposit as
compensation)

IU 9 : CAM KT CHUNG
(ARTICLE 9 : GERENAL COMMITMENT)
1. Hai bn cam kt thc hin nghim tc v y cc iu khon v iu kin quy nh trong
hp ng ny. Mi thay i, hy b hoc b sung mt hay nhiu iu khon, iu kin ca
hp ng ny phi c c 2 bn tha thun bng vn bn v lp thnh ph lc hp ng.
(Both parties undertake to perform strictly and fully the articles and conditions stipulated in this
present contract. Any/all smendment, cancellation or addition of one or more terms, conditions of
this present contract must be agreed by both parties in writing ad must be made into relevant
annex)

2. Trng hp cc c quan c thm quyn ca Vit Nam ban hnh cc vn bn php l lin
quan n vic cho thu vn phng, Hp ng ny s c iu chnh cho ph hp vi nhng
quy nh ca Php lut Vit Nam.
(On the issuance of any legislation by a competent authority concerning office leasing, this
present contract will be adjusted in accordance with Vietnamese laws and regulations)

3. Tranh chp pht sinh lin quan n hp ng ny hoc vic vi phm hp ng s c gii
quyt trc ht bng thng lng trn tinh thn thin ch, hp tc. Nu thng lng khng
thnh th v vic s c a ra ta n c thm quyn ti Tp. Nng xt x. Quyt nh
ca ta n l chung thm v c hiu lc cng ch thi hnh vi cc bn c lin quan. Bn
thua phi chu ton b n ph v cc chi ph khc (nu c), tr khi c tha thun khc.
(Any disputes arising in reaction to this present contract or the breach of this present contract
shall be settled firstly be negotiation under goodwill, cooperativeness. Should the negotiation
fail, the matter shall be submitted to the competent court in Danang City for settlement. And the
Court's decision will be considered as final and binding on all concerning parties to execute. The
Court charges and other expenses, if any, must be born by the losing party, unless otherwise
agreed)
