In the absence of quality standards being specified in this Contract, CONTRACTOR shall establish CONTRACTOR’s own quality standards for equipment and materials based on the Job Specification and industry practices, subject to review and approval by SAUD! ARAMCO. Project Language and Interpretation of Contract Terms 1.24 122 All correspondence and project documents including, but not limited to, drawings, specifications, data sheets, calculations, manuals, reports and NMR's shall be in the English language CONTRACTOR shall ensure that all such documents prepared for submittal or delivery to SAUD! ARAMCO for the WORK under this Contract, whether prepared by CONTRACTOR, Subcontractor, Vendor or any other party to the WORK, are prepared in the English language The terms “LSTK Contractor,” ‘Tumkey Contractor,” "Lump Sum Procure Build (LSPB) Contractor," “LSPB Contractor,” “FACILITIES Contractor,” “Plant Contractor,” “Project Construction Agency,” when used in the Job Specification or documents incorporated in the Job Specification, shall have the same meaning as CONTRACTOR Bet MP-IK-LSPB 10/09 Revised 084 SCHEDULE “B" CONTRACT NO. 6600035720 1.3 14 15 Company Representative and Contractor Representative 1.3.1. Company Representative SAUDI ARAMCO shall notify CONTRACTOR in writing of the designated Company Representative within five (5) working days of the Effective Date of this Contract and shall promptly notify CONTRACTOR of any change in the designation of Company Representative. 1.3.2 Contractor Representative 1.3.2.1 Immediately after the Effective Date of this Contract, CONTRACTOR shall notify SAUDI ARAMCO in writing of the designated Contractor Representative and shall promptly notify SAUDI ARAMCO of any change in the designation of Contractor Representative, 1.3.2.2 For any physical absence of Contractor Representative from the WORK Site exceeding one (1) working day, CONTRACTOR shall appoint a substitute Contractor Representative. Notice to Proceed The “Notice to Proceed,” which directs the CONTRACTOR to commence WORK related to the actual physical installation of the FACILITIES as stated in the Critical Milestone Dates, will be issued by SAUD! ARAMCO, within seven (7) calendar days after receipt of a written request from CONTRACTOR. SAUDI ARAMCO shall issue the Notice to Proceed upon verifying that CONTRACTOR has achieved Site Mobilization Completion and all WORK required under the Job Specification prior to Construction Start has been completed. The actual physical FACILITIES installation WORK shall not occur until after receipt of this “Notice to Proceed’ Construction Kick-Off Meeting A construction kick-off meeting shall be held by CONTRACTOR shortly after issue of the "Notice to Proceed”. The time and place of the meeting will be designated by the Company Representative. CONTRACTOR shall prepare and issue for SAUDI ARAMCO review and approval a meeting agenda at least three (3) calendar days prior to the scheduled meeting date. CONTRACTOR shall prepare and issue the minutes of the meeting. B2 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “B" CONTRACT NO. 6600035720 1.6 Contract Deliverables and Distribution CONTRACTOR shall prepare and submit to Company Representative, within thirty (30) calendar days after the Effective Date of this Contract, a document distribution matrix, listing all CONTRACTOR submittals, reports, notices, and similar deliverables required for this Contract. The distribution matrix shall be subject to prior SAUDI ARAMCO approval and include submission frequency, quantities required and updating frequency. 2.0 DESCRIPTION OF WORK 24 General Description and Scope of the WORK 244 212 243 Further to Paragraph 2.1 of Schedule "A", CONTRACTOR shall furnish, without limitation, all facilities, tools, labor, supervision, technical and professional services, material, equipment, supplies and consumables including any other work required for installation, construction, completion, cleaning, testing and Start- Up of the FACILITIES. The WORK is the complete delivery of the facilities, including procurement, construction, installation and testing of CONTRACTOR provided materials (and any SAUDI ARAMCO materials provided) in accordance with the Job Specification and Schedule “G’, including Pre-Commissioning, Commissioning and Start-Up (to the extent specified in the scope of work in the Job Specification) of the FACILITIES. The applicable standards and specifications listed in Attachment | to this Schedule “B", and all documents referred to by them, are by this reference incorporated into and made part of the Job Specification. This list represents the minimum requirements that the CONTRACTOR must adhere to in designing and constructing the FACILITIES. SAUDI ARAMCO in its sole discretion may add additional standards and specifications as necessary during execution of the WORK. Where reference is made to a Mandatory SAUDI ARAMCO Engineering Requirement under the SAUDI ARAMCO provided standards, or specifications, without noting a specific revision number or date, the specifications or standards which were in effect on the cutoff date specified in Attachment I to this Schedule “B" shall govern. B-3 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE ‘B" CONTRACT NO. 6600035720 2.2 23 24 CONTRACTOR shail obtain from SAUDI ARAMCO all current SAUDI ARAMCO specifications, standards, manuals and other documents as may be required to complete any WORK under this Contract. CONTRACTOR shall maintain all such documents to reflect the latest revisions when issued periodically by SAUDI ARAMCO. All SAUDI ARAMCO supplied documents shall be returned to SAUD! ARAMCO at such time this Contract expires or is terminated. CONTRACTOR shall ensure that all CONTRACTOR Personnel become familiar with these documents and that they use them correctly in the execution of the WORK CONTRACTOR shall provide comprehensive training to all CONTRACTOR Personnel, at CONTRACTOR'S expense to ensure proper use of SAUDI ARAMCO procedures and conformance with SAUDI ARAMCO methods. The FACILITIES A complete description of the FACILITIES is listed in the Job Specification including Attachment Ill, “Scope of Facilities," and any other attachments, exhibits, documents or standards mentioned, and are by this reference incorporated into and made part of this Contract and shall be adhered to by CONTRACTOR in performance of the WORK. Additional WORK Requirements CONTRACTOR shall comply with all additional WORK requirements Stipulated in Attachment | to this Schedule “B" and any other applicable Attachment or Schedule. Working Hours 24.1 Unless otherwise directed by the Company Representative, CONTRACTOR shall observe the normal SAUDI ARAMCO Construction WORK Site hours which are sixty (60) hours per week, ten (10) hours per day, six (6) days per week, Saturday through Thursday, including work in the month of Ramadan Holidays are observed in accordance with the calendar issued annually by SAUDI ARAMCO 242 If WORK after daylight hours has been scheduled, CONTRACTOR shall ensure that there is a suitable work environment including, but not limited to, adequate safety precautions, sufficient lighting, and supervisory staff to. the satisfaction of Company Representative. MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “B” 25 243 244 245 246 CONTRACT NO. 6600035720 CONTRACTOR shall notify SAUDI ARAMCO one (1) week in advance of any planned WORK outside SAUDI ARAMCO normal Contractor work hours as described herein or on national holidays. CONTRACTOR shall propose alternative work hours to SAUDI ARAMCO in order to coordinate and schedule the WORK with work being executed by Other Contractors. CONTRACTOR shall coordinate its WORK with Other Contractors’ on-going activities such as shift changes, deliveries, lunch, WORK Site arrival and departure times. Any deviations from the normal work hours or alternative work hour plans are subject to SAUDI ARAMCO approval. Right to Review WORK 2.5.4 2.5.2 2.5.3 SAUDI ARAMCO reserves the right to review CONTRACTOR WORK. SAUDI ARAMCO may seek further clarifications to determine if the WORK has been or is being performed in accordance with all requirements of the Contract. Absence or inclusion of SAUDI ARAMCO comments noted in log books or other documents provided for comments following witnessing or inspections of WORK shall serve as a notification to CONTRACTOR of any non-compliance with this Job Specification without further notice from SAUD! ARAMCO. However, absence of such comments shall not relieve CONTRACTOR of its overall responsibility regarding WORK under this Contract or for non- compliant items that may later be identified by SAUDI ARAMCO. CONTRACTOR's submittal of documentation to SAUDI ARAMCO for review and comment shall be scheduled during normal SAUDI ARAMCO working hours on normal scheduled CONTRACTOR workdays. Documents submitted for review after normal SAUDI ARAMCO working hours shall be considered received by SAUDI ARAMCO the next workday. Documents received on a non- normal scheduled CONTRACTOR work day shall be considered received on the next normal scheduled CONTRACTOR work day. SAUDI ARAMCO shall provide comments on project documenis and submittals prepared by CONTRACTOR within fifteen (15) working days after receipt. If notified by Company Representative that additional time is Fequired by SAUDI ARAMCO to complete the review, and/or approval, of specific project documents, CONTRACTOR shall advise Company Representative within three (3) working days of BS MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “8” 26 2.5.4 2.5.5 256 CONTRACT NO. 6600035720 such notice of any impact on CONTRACTOR's WORK. Unless CONTRACTOR receives formal correspondence from Company Representative to wait until SAUDI ARAMCO completes the review, CONTRACTOR shall proceed with the WORK as if documents had been returned without comment. Failure by CONTRACTOR to advise Company Representative of impact within the time stipulated shall preclude CONTRACTOR from claiming for any delays associated with SAUDI ARAMCO's extended review or approval. If any document or submittal is rejected by Company Representative, then each subsequent re-submittal shall be treated as a new submittal for SAUDI ARAMCO review. CONTRACTOR shall establish and maintain an electronic database in a format acceptable to SAUD! ARAMCO, to include listing of all submitted documents, dates of submittal, dates of return, SAUDI ARAMCO comments and CONTRACTOR's responses to agreed actions to comments, SAUDI ARAMCO shall have access to the database at all times and an updated copy of this log shall be provided at each regular progress review and planning meeting according to Paragraph 5.0 below. Electronic Review 2.6.4 2.6.2 2.0.3 CONTRACTOR shall provide software, which is subject to approval of Company Representative, capable of indexing, retrieving, viewing and printing all documents. The software shall be compatible with SAUDI ARAMCO systems. The software shall address 2D and 3D CADD files, scanned images and alll other document formats; to include database, word and processor files. The software shall be suitable for use on a SAUDI ARAMCO Local Area Network (LAN), CONTRACTOR shall provide SAUD! ARAMCO personnel access to and use of CONTRACTOR LAN system and the use of a separate work station connected to CONTRACTOR LAN system for access to WORK related data held in CONTRACTOR information systems, databases, logs and control systems. This access shall not compromise or infringe on CONTRACTOR's own data security requirements. CONTRACTOR shall not remove from the WORK Site any computing or printing devices utilized for electronic storage and B-6 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “8” 27 26.4 CONTRACT NO, 6600035720 data transmission until the Company Representative confirms that the computing devices have been sanitized. CONTRACTOR shall use hard disk sanitization software that is approved by SAUDI ARAMCO. Field Engineering 274 27.2 27.3 274 CONTRACTOR shall verify the accuracy of the Job Specification documents and the detailed design documents provided by SAUDI ARAMCO to the extent necessary to enable CONTRACTOR to construct, install, and complete the FACILITIES. CONTRACTOR shall 2.7.2.1 perform inspection, checking, calibration, testing and liaison services for Vendors; 27.2.2 interpret construction drawings, specifications and purchase order documents; 2.7.2.3 Evaluate required field modifications to construction or shop fabrication drawings; 2.7.2.4 Accurately record as-built information on drawings. 2.7.2.5 Furnish support to ensure that the FACILITIES are constructed and completed in accordance with the Contract terms and conditions. Field engineering shall be limited to that which is required to Support construction of the WORK based on “Issued for Construction” documents, and items such as compliance with material specifications, coordinating requests for engineering clarifications and field mismatch corrections. CONTRACTOR may identify and propose to the Company Representative modifications or deviations to the Job Specification that in the CONTRACTOR's judgment may advance the Scheduled Completion Date, improve Critical Milestone Dates, reduce costs, or improve the efficiency, safety or operability of the FACILITIES. No modifications or deviations to the WORK shall, however, be pursued by the CONTRACTOR without the written approval of the Company Representative B7 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE B” 28 29 CONTRACT NO. 6600035720 As-Built Drawings 2.81 CONTRACTOR shall prepare and submit for Company Representative approval a plan to prepare, maintain and verify accuracy on drawings reflecting as-built conditions 2.8.2 Thirty (30) calendar days after Mechanical Completion CONTRACTOR shall submit the revised “As-Built Drawings’ reflecting the as-built status of the FACILITIES to Company Representative as follows: 2.8.2.1 Four (4) complete sets of "D” size drawings organized in binders, 2.8.2.2 Four (4) sets of electronic files for CADD drawings on electronic media. Interface Coordination At the request of the Company Representative, CONTRACTOR shall appoint an interface coordinator responsible for overseeing all interfaces between CONTRACTOR and SAUD! ARAMCO and Other Contractors 2.9.1 CONTRACTOR shall identify all interfaces required to complete the WORK including any other documents referenced in the Job Specification. 2.9.2 CONTRACTOR's WORK Schedule shall include and clearly identify all interface points. 2.9.3 CONTRACTOR shall be familiar with the design and installed condition for an interface item, and the item’s respective boundary conditions. 2.9.4 CONTRACTOR shall insure that the design intent of the system affected by the interface is consistently upheld across the interface in accordance with the Job Specifications. 2.9.5 CONTRACTOR shall develop interface drawings in sufficient detail to define the method and location of interfaces of the WORK and the work performed by SAUD! ARAMCO and /or Other Contractors. 2.9.6 CONTRACTOR shall develop an interdependency schedule within 60 days after the Effective Date of the Contract. The interdependency schedule shall identify the required date for 88 MP-IK-LSPB 10/09 Revised 0814 SCHEDULE * 2.10 21 2.9.7 2.9.8 2.9.9 CONTRACT NO. 6600035720 information exchange between CONTRACTOR, SAUDI ARAMCO and Other Contractors to allow the WORK to proceed without delay. CONTRACTOR shall provide responsibility matrices that specify the scope of CONTRACTOR’s WORK and identifies the WORK to be performed by Other Contractors and SAUDI ARAMCO. CONTRACTOR shall submit to Company Representative a WORK Schedule analysis of alternatives to include the cost estimates for the interference or delay situation. CONTRACTOR shall comply with any additional interface coordination requirements as set forth in Attachment | to this Schedule “B" Project Record Books CONTRACTOR shall always update and have available for Company Representative the following project record books in full compliance with Schedule 'Q: 2.10.1 Drawing Books 2.10.2 Facllities Operating and Maintenance Instructions Manual 2.10.3 Design Calculation Book 2.10.4 Vendor Equipment Operating Instructions & Maintenance Manuals 2.10.5 Vendor Inspection Record Books 2.10.6 Operating Instructions & Maintenance Manual for Process Automation Systems 2.10.7 Plant Inspection Book 2.10.8 Construction inspection Records 2.10.9 Pre-Commissioning Record Book Equipment Inspection Schedule Report (EIS: CONTRACTOR shall provide an Equipment Inspection Schedule Report (EIS) in accordance with the Job Specification, and with respect to inspection activities, during the construction and Pre-Commissioning of the FACILITIES, comply with the following requirements: MP-IK-LSPB 10/09 Revised oai14 SCHEDULE "B" CONTRACT NO. 6600035720 2.41.1 CONTRACTOR shall perform corrosion readings and analysis of the installed WORK using qualified professional corrosion engineers to identify corrosion circuits within the FACILITIES, 2.41.2 The EIS shall include an analysis of the results of the inspection activity on all piping circuits and major pressurized equipment prioritized by their expected corrosion activity 2.11.3 The analysis in Paragraph 2.11.1 shall form the basis of the ElS to be provided by CONTRACTOR 2.11.4 The EIS shall include digitized isometric drawings for piping and pressurized equipment presented in a format acceptable fo the Company Representative of all the corrosion circuits showing designated locations for ultrasonic thickness measurements (‘Thickness Measurement Location’ or “TML"). 2.11.5 TML type shall be single points with the exception of injection points. Close grid ultrasonic measurements or scanning shall be used for injection points. 2.41.6 CONTRACTOR is responsible for ensuring that all initial (base line) thickness measurements are taken at the TMLs per Paragraphs 2.11.2 and 2.11.3 2.11.7 After the TMLs assignment per Paragraphs 2.11.2 and 2.11.3, CONTRACTOR shall obtain ultrasonic wall thickness measurement of TMLs to benchmark the original condition before product, media or fluid introduction and service exposure. 2.11.8 The benchmark (baseline) thickness data shall be provided after clearing construction debris and cleaning according to the Job Specification 2.11.8 CONTRACTOR shall record the initial ultrasonic thickness according to the Job Specification. 2.11.10 CONTRACTOR, upon the request of the Company Representative, shall provide help at no additional cost to record, migrate and transfer all the inspection data to the SAUDI ARAMCO data base. 2.11.11 Construction inspection records shall reflect all inspection activities performed during the WORK. The documentation of these inspections activities shall be in accordance with the Job Specification. B-10 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “B” 212 CONTRACT NO, 6600035720 2.11.12 The EIS interval readings during the construction recorded in the construction inspection book shall be submitted to Company Representative thirty (30) days prior to Mechanical Completion. Commissioning Data Packages In a format acceptable to SAUDI ARAMCO and prior to requesting the MCAN, the CONTRACTOR shall develop and issue to Company Representative data packages for the equipment listed in Attachment | to this Schedule “B" 3.0 CONSTRUCTION 34 3.2 Survey Monuments and Survey Control CONTRACTOR shail carefully preserve all monuments, benchmarks, reference points and stakes. CONTRACTOR will be charged for the expense of replacement of any such items destroyed or damaged and shall be responsible for any mistake or loss of time that may be caused by such destruction or damage. Permanent monuments or benchmarks which must be removed or disturbed shall be protected until they can be properly referenced for relocation. CONTRACTOR is responsible for femoving, relocating and replacing the monuments and benchiarks. Access to the Construction WORK Site 3.2.1 SAUDI ARAMCO shall monitor and approve CONTRACTOR, Vendor and Subcontractor personnel access and egress to and from the construction WORK Site. CONTRACTOR shall implement @ monitoring and control system such as identification cards, vehicle and equipment stickers issued for access to the construction WORK Site that covers CONTRACTOR, Subcontractor and Vendor equipment, vehicles and personnel SAUDI ARAMCO may at any time ask for a personnel and equipment count report at any WORK Site. A weekly summary report of personnel and equipment at any WORK Site shall be submitted as part of the monthly progress report 3.2.2 In the event WORK is performed in an existing operating SAUDI ARAMCO facility CONTRACTOR shall obtain valid SAUDI ARAMCO restricted area and safety inspection stickers for all CONTRACTOR, Subcontractor and Vendor vehicles and equipment engaged in the performance of the WORK. 3.2.3 Access to the construction area shall be indicated on a temporary Contractor Camp and Project Support Building site facilities layout B-11 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “B* 3.3 34 CONTRACT NO. 6600035720 plan. The drawing shall depict a general site layout and proposed and allocated spaces for CONTRACTOR offices and work areas. Further access requirements shall be the responsibility of CONTRACTOR within its designated area 3.24 CONTRACTOR shall strictly control access into its WORK areas. CONTRACTOR shall provide a detailed plan for approval by SAUDI ARAMCO on its methods of transporting its staff and work force to and from the WORK Site, Contractor Camp and Project Support Buildings and facilities area. The control of traffic and labor plan shall describe CONTRACTOR management, supervisory, and administration controls on workforce personnel within the construction area, and supporting Contractor Camp and Project Support Building temporary facilities, Protection of Existing Facilities CONTRACTOR shall locate, identify, mark and protect existing underground pipe, conduit and cable runs utility lines, electrical conduit and cables, telephone cables, sewer lines within the limits of the WORK Site as shown on relevant as-built and design drawings. CONTRACTOR shall also use reasonable efforts in accordance with best industry practices to locate any other underground items within the limits of the WORK Site. CONTRACTOR shall incorporate in the red-lined "as-built" drawings the actual surveyed locations of the underground items. Personnel at the WORK Site 3.4.1 CONTRACTOR personnel at the WORK Site or Fabrication Yard, or Laydown Yard shall wear distinctive clothing and hard-hats, or other visible means of identification, to show CONTRACTOR name and special certifications. Such means of identification shall be subject to prior review and approval by the Company Representative. 3.4.2 CONTRACTOR shall obtain SAUDI ARAMCO identification in accordance with SAUDI ARAMCO security requirements for CONTRACTOR's, Vendors’ and Subcontractors’ personnel CONTRACTOR shall be responsible for any loss, damage or misuse of SAUDI ARAMCO identification by — the CONTRACTOR's, Vendors’ and Subcontractors’ personnel CONTRACTOR shall prepare, maintain, and make available to SAUDI ARAMCO upon request, a control record log of all CONTRACTOR, Subcontractor, Vendors’ and Subcontractors’ personnel, vehicle, and equipment identification stickers issued by and retumed to SAUDI ARAMCO Industrial Security Unit. B42 MP-IK-LSPB 10/09 Revised 84 SCHEDULI 3.5 3.4.3 CONTRACT NO. 6600035720 CONTRACTOR shall provide SAUDI ARAMCO in writing, by 7:30 am. each work day, the previous work day's work force report showing the numbers of CONTRACTOR, Subcontractor, and Vendor personnel, by work area and/or job assignment, crafts and/or discipline, nationality, and include a list of all equipment at the WORK Site. CONTRACTOR shall provide additional information on the performance of the WORK as may be requested by SAUDI ARAMCO for its internal reporting requirements. WORK Permits and Certifications 3.5.4 3.5.2 3.5.3 3.5.4 CONTRACTOR shall obtain all necessary WORK Permits for executing WORK at the construction WORK Site. CONTRACTOR shall not perform any WORK requiring a WORK Permit without such permit CONTRACTOR shall obtain WORK Permits prior to arrival of CONTRACTOR personnel at the WORK Site to avoid delays in commencement of daily WORK activities. CONTRACTOR shall submit no later than one (1) hour after scheduled WORK day, lists of CONTRACTOR personnel engaged in WORK that requires a WORK Permit. CONTRACTOR shall be responsible for any schedule delays or cost impact associated with CONTRACTOR's inability to obtain WORK Permits due to CONTRACTOR's failure to properly and timely complete forms, or to comply with, or execute the established SAUDI ARAMCO WORK Permit procedures. Further to the requirements of Paragraph 3 of Schedule *A’, CONTRACTOR shall ensure that all specialist personnel such as equipment operators, welders, riggers, painters and electricians, have in their possession at all times the proper crafi/trade certification as may be required by the Saudi Arab Government and/or SAUDI ARAMCO. CONTRACTOR shall obtain SAUDI ARAMCO approval of all job classifications (crafts) that require qualification procedures and job clearance cards according to SAUDI ARAMCO requirements. CONTRACTOR shall not perform any such WORK without such permits. Cranes or heavy equipment shall not be allowed io work on the construction WORK Site without having all required current valid Saudi Arab Government and SAUD! ARAMCO permits, certificates, operator certificates and approvals. B13 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE 3.6 37 CONTRACT NO. 6600035720 Construction Site Subsurface In the event of probable and possible subsurface obstructions and hazards, CONTRACTOR shall develop and submit a WORK Site Subsurface hazard identification plan for Company Representative's review and comment thirty (30) days prior to commencing construction WORK. CONTRACTOR site subsurface hazard Identification plan shall identify probable and possible subsurface hazards such as natural obstructions, pipelines, utilities and services, The subsurface identification plan shall describe CONTRACTOR's proposed methods to locate and identify subsurface hazards, and provide details of the excavation to be performed to include the layouts and depths, and hazard safe obsiruction removal management procedures, priot to commencing excavation in any WORK Site area. Rock Removal Subject to Paragraph 6 of Schedule “A”, all excavation of whatever nature that is required to perform the WORK shall be included in CONTRACTOR's lump sum Contract Price. 3.7.1 Rock excavation quantities, separately by hand and/or machine methods, as set forth in this Job Specification. In the absence of reference in this Job Specification, all Rock excavation shall be by machine, 3.7.2 For "Rock" excavation in excess of or below the quantities stated above, CONTRACTOR will be compensated or SAUDI ARAMCO. will be credited, as the case may be, in accordance with the differential price between the applicable rock and non-rock unit excavation rate contained within Attachment | to Schedule “C” For calculation purposes, and in the absence of reference in this Job Specification, all Rock excavation shall be by machine 3.7.3 Rock excavation is defined in SAES-A-114 and CONTRACTOR shall, at its own expense, perform the required seismic tests to determine if the excavated material shall be classified as Rock per SAES-A-114, The tests shall be carried out on each and every occurrence, 3.7.4 For calculation purposes, the volume of Rock excavation shall be measured on site and the calculations recorded daily and sign-off by both CONTRACTOR and SAUDI ARAMCO representative. For calculation purposes, the volume of excavated Rock shall be calculated based on the minimum excavation necessary to perform the WORK. B14 MP-IK-LSPB 10/09 Revised 08/14. 3.8 3.9 3.10 CONTRACT NO. 6600035720 3.7.5 CONTRACTOR shall ensure that each stage of the measurement of Rock excavated is inspected by SAUDI ARAMCO before such section is covered or closed-up. Failure by CONTRACTOR to obtain SAUDI ARAMCO inspection prior to close-up shall be grounds for rejection of any claim for Rock excavation. Any costs associated with the excavation or opening up works to verify Rock excavation shall be at Contractor's expense. 3.7.6 CONTRACTOR shall remove, at its expense: all excavated material from the excavation site to SAUDI ARAMCO approved dumping areas. Any quantity and cost adjustment, as defined in Paragraph 3.7.2 above, shail be included in a Change Order and issued in accordance with Paragraph 10 of Schedule “A”, Handling and Disposal of Hazardous Material CONTRACTOR shall handle and dispose of hazardous materials in strict adherence to the requirements set forth in Schedule D of this Contract and the SAUDI ARAMCO Hazardous Waste Code, Photography CONTRACTOR understands that possession and use of cameras in restricted areas in Saudi Arabia, without proper written authority, is prohibited by SAUDI ARAMCO and the Saudi Arabian Government CONTRACTOR shall photograph SAUDI ARAMCO facilities, including facilities under construction, only after obtaining the express written approval of the Company Representative. Heavy Lifts 3.10.1 CONTRACTOR is responsible for all heavy and oversize equipment transportation and rigging from ex-works to final resting location. 3.10.2 CONTRACTOR shall provide heavy equipment transportation and rigging plans for Company Representative's review and comment 90 days prior to the expected delivery of the first heavy lift or oversized piece of equipment at the construction WORK Site CONTRACTOR shall survey and study the routes for moving the equipment and shall advise SAUDI ARAMCO, in a timely manner, in case any modifications are required to be carried out by CONTRACTOR on the route for executing the transport B45 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “8” 3.10.3 3.10.4 3.10.5 3.10.6, 3.10.7 CONTRACT NO. 6600035720 CONTRACTOR shall submit to Company Representative a heavy lift and erection plan for each individual equipment or pipe lift to be erected over existing live pipes thirty (30) days prior to the scheduled erection date. The heavy equipment transportation and rigging plan at a minimum shall address road load and clearance requirements, ex-works to final resting location, transport sequence, crossing pipeline corridors, routings under/overhead electrical power lines, the use of underwriters’ cargo surveyors as applicable, access to the WORK Site, coordination of rigging, lifting and final placement activities to handle the heavy load/oversize items, and appropriate Saudi Arab Government agency permits and clearances required for the transportation. For scheduling and coordination purposes, CONTRACTOR shall provide 72-hour advance construction WORK Site notice to Company Representative for each equipment and pipe to be erected over existing live pipes and for each heavy equipment delivery notice to Company Representative CONTRACTOR shall ensure that Issued for Construction (IFC) documents are based on heavy transport and lift construction plans for the FACILITIES or separable portions thereof CONTRACTOR shall ensure that all relevant documents fully reflect the certified ratings of the construction equipment CONTRACTOR proposes to use during the construction WORK including adequate safety margins, as applicable. CONTRACTOR shail design pipeline crossings to satisfy the Job Specification, SAUDI ARAMCO Engineering Standard SAES-L. 460, SAUDI ARAMCO Standard Drawing AC-036660 Sheet 004 and other applicable engineering standards set forth in this Job Specification in order to handle the maximum expected loads over the life of the project. The proposed pipeline crossing designs shall be submitted to Company Representative for review sixty (60) days prior to Site Mobilization Start. Review by SAUDI ARAMCO shall not relieve CONTRACTOR from its obligation to Provide adequate designs for such pipeline crossings. 3.11 Safety Valve Testing and Documentation 3.411 CONTRACTOR shall ensure that all safety relief devices (e.g., relieffsafety valves, emergency vent, vacuum breakers and Tupture disks) installed in the FACILITIES are identified by a B-46 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE "B” 3.12 3.11.2 3.14.3 3.11.4 3.11.5 3.12.6 Radios CONTRACT NO, 6600035720 unique number in accordance with the references contained in the Job Specification. CONTRACTOR shall request the unique numbers from Company Representative. CONTRACTOR shall designate a coordinator to ensure that all safety devices meet the requirements of skid mounted and packaged equipment pursuant to references contained in the Job Specification. The coordinator shail ensure that the proper documentation as outlined below is assembled during the procurement phase. CONTRACTOR shall remove from the FACILITIES all safety valves, including Vendor supplied equipment, and transport them to SAUDI ARAMCO approved test facilities, CONTRACTOR shall bench test the safety valves, and certify, seal and tag the safety valves according to the references in the Job Specfication not more than sixty (60), and not less than fifteen (15), days prior to Mechanical Completion of the FACILITIES, or separable portions thereof. CONTRACTOR shall ensure that car sealing of all safety valves is maintained at all times after permanent installation, and shall have safety valves re-tested, re-certified and car sealed, if car sealing is broken for any reason. CONTRACTOR shall provide safe transportation of valves from valve shop to the WORK Site. CONTRACTOR shall check all documents in the Commissioning data packages required by the Job Specification, against the nameplate of each safety valve for errors, or inconsistencies, and shall correct any error, or inconsistencies in data, documentation, or nameplate. CONTRACTOR shall submit two (2) copies of each completed safety relief device package to Company Representative prior to Mechanical Completion of the FACILITIES or Company Representative defined separable portions _ thereof CONTRACTOR shall create and maintain a comprehensive database for all safety valves in the FACILITIES. Relief device package and database content shall meet all requirements set for in this Job Specification CONTRACTOR shall be responsible for applying for, and obtaining Permission to operate, any two-way radio transmission or receiving equipment, necessary to assist CONTRACTOR to perform WORK. B-17 MP-IK-LSPB 10/09 Revised 08/14 3.13 3.14 CONTRACT NO. 6600035720 CONTRACTOR shall comply with the current SAUDI ARAMCO established procedure to be followed by all radio operators during a declared emergency. CONTRACTOR understands that the use of two- way radio equipment is a convenience, and is not an essential tool for performing WORK Mechanical Completion Plan 3.13.1. CONTRACTOR, in conjunction with Affiliated Contractor, shall prepare a Mechanical Completion plan for the FACILITIES one hundred and eighty (180) days prior to the planned start date for Mechanical Completion activities. 3.13.2 CONTRACTOR shall schedule Pre-Commissioning WORK activities such as chemical cleaning, individual and systems testing and demonstration of operability for equipment or systems, leading to Mechanical Completion, in conjunction with SAUDI ARAMCO Vendor Assistance 3.14.1 CONTRACTOR shall provide, at the construction WORK Site, Vendor representative services to ensure proper installation and pre-commissioning of equioment as necessary to maintain Vendor warranties and as required to successfully complete the pre-commissioning and the Mechanical Completion of the FACILITIES or separable portions or systems 3.14.2 CONTRACTOR shall follow Vendors’ written instructions and recommended practices for application, assembly, preservation, installation, protective or preventive maintenance, and testing. Resolution of any conflicts between such instructions and practices and the Job Specification shall be at the direction of the Company Representative. 3.14.3 As a minimum, CONTRACTOR shall provide Vendor representatives for installation and Pre-Commissioning services for the types of equipment listed in Attachment | to this Schedule “Be 3.14.4 CONTRACTOR shall advise Company Representative when Vendor representatives are ready to demobilize from the construction WORK Site and arrange to have Vendor representative(s) available to SAUDI ARAMCO during Commissioning, and Start-Up if requested by Company Representative. B-18 MP-IK-LSPB 10/09 Revised o8rt4 SCHEDULE CONTRACT NO. 6600035720 3.15 Mechanical Completion Acceptance Notice (MCAN) 3.15.1 CONTRACTOR shall perform troubleshooting, problem resolution, and modifications to WORK as required for Mechanical Completion 3.16.2 CONTRACTOR shall prepare a list of Exception Items to be completed after obtaining the MCAN. CONTRACTOR shall complete WORK on these Exception Items after the MCAN. This list shall include all open record books entries, and any other items identified by Company Representative, at any time prior to the MCAN 3.15.3 CONTRACTOR shall maintain, update, and publish the list of Exception Items daily. A report on the status of the Exception Items shall be issued within four (4) hours after receipt of request from Company Representative. 3.18 WORK after Mechanical Completion WORK completed in any portion of the FACILITIES alter the issuing of MCAN, including the WORK related to the Exception Items list, shall be accomplished upon CONTRACTOR's receipt of a SAUDI ARAMCO WORK Permit. CONTRACTOR understands that Performance Acceptance activities take precedence, and shall prioritize WORK to accommodate SAUDI ARAMCO requirements. 3.16.1 Except for Exception Items and remedy of Defects, any WORK item performed by CONTRACTOR after obtaining the MCAN shall be considered a change to the Contract, 3.16.2 CONTRACTOR shall coordinate with SAUDI ARAMCO to witness, review, and inspect, specific activities as part of the Commissioning and Performance Acceptance. 3.17 Commissioning and Start-Up Assistance 3.17.1 Commissioning and assistance with Start-Up if provided as part of the Contract Price, shall be provided in the quantities of man- hours of labor, vendor assistance, and equipment time specified in Attachment | to this Schedule “B”, The total number of labor man-hours does not include Vendor representative's man-hours at the WORK Site. B-19 MP-IK-LSPB 10/09 Revised 0814 SCHEDULE "B’ 3.18 3.17.2 3.17.3 CONTRACT NO. 6600035720 CONTRACTOR shall develop and issue a Commissioning and Start-Up plan to permit the proper and safe Start-Up of the FACILITIES one hundred eighty (180) days prior to the planned Commissioning start date. The plan shall estimate the man-hours of any required Vendor representative assistance in excess of that provided under the Contract Price. The Commissioning and Start-Up plan, and any revisions, shall be submitted to Company Representative for approval. Company Representative may request, and CONTRACTOR shall make available, designated CONTRACTOR selected personnel to oversee Start-Up activities, subsequent to Mechanical Completion of the FACILITIES. Performance Acceptance 3.18.1 3.18.2 Performance Acceptance and demonstrated performance of the FACILITIES shall be based on strict compliance with the criteria established in the Job Specification and will be in accordance with Schedule A, Paragraph 9 (‘Work Commencement, Prosecution, and Completion’) and Paragraph 11 (‘Warranty and Remedy of Defects”) and any other applicable requirements set forth in this Contract. Performance Acceptance tests shall be completed after operating the FACILITIES for the minimum period specified in Attachment | to this Schedule “B", in a smooth and continuous manner. 4 ADMINISTRATION 44 Commu ations Administr Procedures Routine contractual communication between SAUDI ARAMCO and CONTRACTOR shall be in original document letter format according to the following: 444 4.1.2 All correspondence between SAUDI ARAMCO = and CONTRACTOR shall be uniquely and sequentially numbered by both SAUDI ARAMCO and CONTRACTOR, CONTRACTOR shall maintain a register of all correspondence with SAUDI ARAMCO, noting the sequence number, the correspondence date, the originator, and a description of the subject, B-20 MP-K-LSPB 10/09 Revised 08/4. Communication by E-mail is for the expedient transfer of preliminary technical data and non-contractual information. E-mail, documentation included therein, or other electronic communication sent from CONTRACTOR to SAUD! ARAMCO is not a formal means of communication. CONTRACTOR shall provide all contractually required submittals, notifications and the like in accordance with this administrative procedure, E-mail, or documentation included therein, sent from SAUDI ARAMCO to CONTRACTOR does not constitute a change, or a change request to the Contract Project Execution Plan 434 4.3.2 43.3 43.4 CONTRACTOR shall prepare and submit for Company Representative’s review a detailed project execution plan (PEP). The PEP shall establish the managerial and administrative requirements, and processes, to be followed in the execution of all phases of the WORK, and shall provide a uniform system for the performance, monitoring, reporting and control of all Contract and WORK activities. CONTRACTOR shall, subject to review and comments by SAUD! ARAMCO, revise the PEP as required throughout the execution of the WORK CONTRACTOR shall develop and implement a plan describing how technical documents are to be provided to SAUDI ARAMCO for SAUDI ARAMCO’s review and comment prior to inclusion in the PEP. CONTRACTOR shall ensure that that ali PEP comments received from the Company Representative are tracked for progress until resolved. CONTRACTOR shall prepare the PEP and any other correspondence, reports, or other documents, and submit to the 8.21 MP-IK-LSPB 10/09 Revised osi4 SCHEDULE “B" 4.3.5 43.6 4.3.7 CONTRACT NO. 6600035720 Company Representative using the latest version of Microsoft Office Professional. The PEP shall be submitted within forty-five (45) days from the Effective Date of this Contract and shall address the following to the satisfaction of SAUDI ARAMCO: 4.3.7.4. Project organization chart of CONTRACTOR personnel, to the level of engineering discipline lead, listed by name, job title, and forecasted mobilization and demobilization dates. 4.3.7.2. Manpower staffing plan, with histograms, required to execute the WORK. 4.3.7.3 Administrative procedures. 4.37.4 Control of drawings and related technical documents review procedure. Development and preparation by the CONTRACTOR of a material procurement plan (MPP) for all material and equipment required for construction, reflecting dates when required, expediting services, and Saudi Arabian manufacturer participation Development and preparation by CONTRACTOR of a plan for coordination, transport, staging, and storage of materials in Saudi Arabia Development and preparation by CONTRACTOR of a construction execution plan that addresses and identifies major or special construction methods, construction logic, and activity durations necessary for inclusion in the construction schedule. Development and preparation by CONTRACTOR of a format for “Inspection Log Books" and reports to be used during construction Development and preparation by CONTRACTOR of Contractor Camp and Project Support Buildings for CONTRACTOR and SAUDI ARAMCO personnel in accordance with the terms and requirements set forth in this contract B-23 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE "B" 44 CONTRACT NO. 6600035720 4.37.15 CONTRACTOR's performance, as necessary, of WORK Site investigations and surveys including geotechnical investigations, soils boring, soil resistivity tests, cathodic protection surveys, and geotechnical analysis reports, and use of the relevant facts derived from these investigations and reports, for the design and construction execution phase(s), including 4.37.15.1 The preparation of a WORK Site investigation report shall be prepared to detail and provide any relevant general, and local, information required to design, engineer, and construct, the FACILITIES and support FACILITIES; 4.3.7.15.2 And any additional _ geotechnical investigation, soils boring, and analysis reports which shall be undertaken to verify and confirm any SAUDI ARAMCO provided geotechnical data to ensure the accuracy and adequacy of geotechnical data used for design calculations. Project Risk Management 4.41 CONTRACTOR shall perform a Project Risk Management (PRM) process in compliance with SAUDI ARAMCO Procedure SAEP- 367 with a team composed of representatives from SAUDI ARAMCO and CONTRACTOR. This process shall follow the SAUDI ARAMCO structured methodology and all risk management sessions that conform to the stage gates as defined in section 4.4.4 must be conducted by a facilitator who has been approved by the SAUD! All PRM information and activities will be managed and captured using Active Risk Manager (ARM) software. Access to ARM may be provided by SAUDI ARAMCO subject to standard SAUD! ARAMCO IT access procedures and training on ARM shall be through a SAUD! ARAMCO approved provider. PRM Continuous Activities for Monitoring and Control of PRM (consisting of continual review of risk information, reassessment, and management of assigned risk actions) as described in the standards listed above shall be conducted as part of regular project management review, control, and status reporting Formal risk sessions shall be conducted at stage gate events as described in SAEP-367 and shall involve representation from all key stakeholder groups. Each risk session will include one complete cycle of ail activities described in the above standards and formal session reports shall be issued. The stage gate events for LSPB contractors are: a) Design completion (100% design completion) b) Prior to commencement of activities for mechanical completion of the WORK ©) Every six months throughout the life of the Contract. CONTRACTOR shall assign a qualified risk manager to ensure PRM is effectively conducted. The assigned risk manager shall coordinate and conduct the required risk monitoring and contro! activities on a regular basis, and will also be responsible for scheduling, planning and execution of the Stage Gate Events Information, plans, and documents generated during the PRM process shall be shared with SAUDI ARAMCO on a timely basis. The PRM process is conducted by the CONTRACTOR with SAUDI ARAMCO participation for the purpose of assisting the CONTRACTOR in planning and executing the WORK in a timely and effective manner and does not relieve the CONTRACTOR of any of its obligations to manage project risks under this Contract, CONTRACTOR indemnifies SAUDI ARAMCO from any and all claims arising from or related to SAUDI ARAMCO's support or participation in the PRM Process. B.25 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE CONTRACT NO. 6600035720 4.5 CONTRACTOR Organization and Personne! 454 4.5.2 4.5.3 454 45.5 45.6 4.5.7 4.5.8 45.9 CONTRACTOR Personne! performing the WORK shall be dedicated to the project on a full time basis, unless otherwise authorized in writing by SAUDI ARAMCO. CONTRACTOR shall ensure that all Key Personnel are fluent in the written and spoken English language CONTRACTOR shall provide the particular Key Personnel individuals proposed in its technical proposal to perform the WORK, unless SAUDI ARAMCO specifically approves substitutions in writing. Such approvals will be entirely at the discretion of SAUDI ARAMCO, but will not be unreasonably withheld Unless otherwise agreed in writing by the Company Representative, CONTRACTOR shall relocate the personnel listed in Attachment | to this Schedule “B” to the WORK Site to provide continuity between the Design Office and the WORK Site. CONTRACTOR shall arrange, at no additional cost to SAUDI ARAMCO, any and all required visas or other documentation, transportation, travel and living accommodation, for any personnel engaged in the WORK, including but not limited to Subcontractor and Vendor personnel CONTRACTOR shall comply with the requirements of SAUDI ARAMCO General Instruction 298.010, “Administration Procedure of Contractor Camps / Parks and Construction Camps.” CONTRACTOR shall notify Company Representative two (2) weeks prior to scheduled travel plans of any CONTRACTOR personnel, Vendor representatives, or other Subcontractor personnel planning to visit the FACILITIES, or any other facility of SAUDI ARAMCO, or its affiliates, where such personnel do not have prior access arrangements to the FACILITIES or facility CONTRACTOR shail provide and maintain all WORK Site engineering, procurement and construction functions necessary for continuous support of the WORK until Project Completion has been achieved Within thirty (30) calendar days after the Effective Date of this Contract, CONTRACTOR shall designate a Saudi National as documentation controller for maps, drawings and other sensitive B-26 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “B" CONTRACT NO, 6600035720 46 documents for the duration of the Contract and as required by references contained in the Job Specification. Change Order Development Further to the requirements of Paragraph 10 of Schedule “A" and Paragraph 2 of Schedule “C", Change Orders shall be developed and administrated at no additional cost to SAUDI ARAMCO as follows: 4.6.1 At such time as CONTRACTOR determines that CONTRACTOR is entitled to a Change Order as provided for by Paragraph 10 of Schedule CONTRACTOR shall request in writing to the Company Representative that SAUD! ARAMCO issue a letter that instructs CONTRACTOR to provide a priced proposal ("Change Request’). 46.2 Upon receipt of a letter from CONTRACTOR requesting that a Change Request be issued, SAUDI ARAMCO shall review the request and, in a timely manner, either issue a Change Request or respond to CONTRACTOR in writing with a letter explaining why a Change Request will not be issued, 4.6.3 At such time as SAUDI ARAMCO agrees or determines that CONTRACTOR is entitled to a Change Order as provided for by Paragraph 10 of Schedule * SAUDI ARAMCO shall issue a Change Request. 4.6.4 Upon receipt of a Change Request from SAUDI ARAMCO, CONTRACTOR shall comply with the instructions in the Change Request to meet with SAUDI ARAMCO personnel to define the scope of the potential change (if so instructed) and to prepare and submit a priced proposal. CONTRACTOR priced proposal shall include sufficient detail to permit SAUDI ARAMCO to analyze the price and schedule impact, if any. CONTRACTOR shall provide additional supporting detail if, in the sole judgment of SAUDI ARAMCO, the detail that has been submitted is not sufficient for SAUDI ARAMCO to analyze the price and/or schedule impact. The detail shall, at a minimum, provide a list of affected deliverables, a breakdown of man-hours by deliverable and job titlelequipment item as in Schedule "C’, a list of materials and quantities with associated cost for each individual item or cost per unit quantity as applicable, and a schedule fragment showing how the Change Order work would be incorporated into the Work Schedule and any resulting impact on Critical Milestone Dates. Following submittal of a priced proposal, CONTRACTOR shall meet with SAUDI ARAMCO to mutually agree a price that may be B-27 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE “B" 47 4.6.5 4.8.6 4.6.7 CONTRACT NO. 6600035720 used as the basis for issuing a Change Order in accordance with Paragraph 10 of Schedule “A”. All change order development work performed under this Paragraph 4.6.4 shall be at no additional cost to SAUDI ARAMCO regardless of whether or not a Change Order is issued as a result of the Change Request. At such time as CONTRACTOR considers that work under a Change Order is complete, CONTRACTOR shall so inform the Company Representative in writing and request that SAUDI ARAMCO initiate a Change Order settlement. Upon receipt of a letter from CONTRACTOR indicating that work under a Change Order is complete and requesting that a Change Order Settlement form be initiated, SAUDI ARAMCO shall review the work under the Change Order and, in a timely manner, either initiate a Change Order settlement form if SAUDI ARAMCO agrees that the work under the Change Order is complete: or respond to CONTRACTOR in writing with a letter explaining why SAUDI ARAMCO considers that the work under the Change Order is not complete and a Change Order Settlement will not be initiated. CONTRACTOR shall include and identify all WORK covered by Change Orders in the WORK Schedule. Meetings in_ addition to formal and informal communications between SAUDI ARAMCO and CONTRACTOR, formal routine meetings shall be conducted to assure continued communication and document interfaces for the duration of the Contract. These meetings shall be held as required by SAUD! ARAMCO. 4741 Major Meetings Meetings may be scheduled at any time to resolve problems. Major meetings shall be scheduled on a regular basis and the regularity determined in concert with the WORK. CONTRACTOR shall provide {to Company Representative an agenda, incorporating topics, if any, requested by SAUD! ARAMCO, for each meeting one (1) workday prior to the meeting for inclusion of Company Representative's comments. B28 MP-IK-LSPB 10/09 Revised 08/14 SCHEDULE "B” 47.2 4.7.3 474 CONTRACT NO. 6600035720 Regular Progress Review and Planning Meetings Progress review meetings shall be held at least weekly, on a regularly scheduled basis, usually for planning and progress overview, These meetings will provide a forum for review of CONTRACTOR's operations, overview of progress and schedule, discussion and resolution of problems facing the CONTRACTOR and SAUDI ARAMCO, and coordination of the activities, CONTRACTOR shall provide to Company Representative an agenda for each meeting at least one (1) workday prior to the meeting for inclusion of Company Representative's comments. For these meetings and the minutes thereof, CONTRACTOR shall include progress reports per the requirements set forth in Schedule “B” paragraph 5.8, separately for engineering, procurement, and construction, using forms and formats provided by SAUDI ARAMCO as part of the Job Specification. Weekly Procurement Meeting Within forty (40) calendar days of the Effective Date of Contract, CONTRACTOR shall initiate a formal weekly procurement meeting. Meetings shall be chaired by the CONTRACTOR's Procurement Manager and shall be attended by all supervisors of procurement, inspection, field engineering, and scheduling. The purpose of the meeting shalll be to ensure that procurement and field construction problems are addressed directly and effectively for resolution, CONTRACTOR shall document all such meetings including an action item list explaining concerns raised, the organization responsible for resolution, and a final resolution as approved by Company Representative. Management Review Meetings 4.7.4.1 SAUDI ARAMCO will provide instructions to CONTRACTOR regarding the preparation required for periodic SAUDI ARAMCO Management Review Meetings (MRM), and this will include schedules of occurrence, location, presentation formats, agenda, logistic support, and information or data requirements. 47.4.2 CONTRACTOR shall prepare presentations for, and participate, at SAUDI ARAMCO's discretion in SAUDI ARANICO MRM's that will be held periodically during the calendar year from the Effective Date of this Contract through Contract completion. CONTRACTOR shall incorporate information from Vendors, Licensors, Other Contractors, as required, in order to provide a complete status of the material procurement and construction of the FACILITIES. The MRM's shall be held in SAUDI ARAMCO offices. Attendance at the meeting will be limited to senior project personnel identified by the Company Representative. Some sessions of the MRM may be restricted to only SAUD! ARAMCO, or Other Contractor, personnel. Minutes of Meeting 4.7.6.1 4.7.5.2 4.7.5.3 4.7.5.4 CONTRACTOR shall prepare minutes for every meeting held within one (1) WORK day for review by the Company Representative. Minutes shall cover all issues discussed at each meeting. specific actions with the identity of the individual with action responsibility and the target completion date, and show status of all open issues carried forward from previous meetings. Meeting minutes shall be brief and prepared in a format acceptable to Company Representative. Minutes shall be countersigned by CONTRACTOR and Company Representative, or designee, before final distribution Approved meeting minutes shall not constitute agreements for change orders or amendments to this Contract. CONTRACTOR's meeting minutes shall include an action item log listing, and monitoring, all action items until resolution has been obtained, confirmed by CONTRACTOR and SAUD! ARAMCO. Issues identified at the meetings shall receive a unique sequential number, and shall remain on the agenda and in minutes until the Company Representative agrees that the issue is closed. Upon concurrence of the Company Representative, CONTRACTOR shall show the closed issues in the minutes with a status of “to be closed.” CONTRACTOR shall maintain a database of all open and closed issues, including status and recorded discussions, from each meeting when the issue was discussed.
